Corporate Governance Code 2019

The Croatian Financial Services Supervisory Agency (Hanfa) and the Zagreb Stock Exchange issued the 2019 Corporate Governance Code to replace the 2010 version and align listed companies with international best practices. The Code mandates compliance or explain-why-not for its provisions, requiring listed companies to submit annual compliance and management practice questionnaires while establishing clear governance structures for dualistic and monistic companies. It introduces stricter rules on conflict of interest, non-compete restrictions, related-party transactions, and gender balance targets to enhance transparency, investor protection, and long-term corporate value.
