Consortium administrators must engage CVM-registered independent auditors for financial statement audits, replacing auditors every five fiscal years and observing a three-year cooling-off period. Administrators must designate a qualified director for compliance, provide necessary data, and ensure auditor independence by avoiding conflicts, such as fee concentrations exceeding 25% of auditor revenue. Auditors must issue reports on financial statements, internal controls, and non-compliance, while communicating identified fraud or errors to the Central Bank of Brazil within three business days. This circular repeals Circulars No. 2,381, 2,990, 3,182, and 3,184, with full compliance required within two years of publication.

Sole Paragraph. The responsibility of administrators for the information contained in the financial statements or other provided does not exempt the independent auditor from the responsibility related to the preparation of the reports required by this regulation or the audit opinion, nor does it relieve them of the adoption of adequate audit procedures.
Art. 4. Administrators of consortium administrators will be held responsible for hiring an independent auditor that does not meet the requirements provided for in this regulation.
