The Securities and Exchange Commission establishes registration requirements, capital adequacy thresholds, and operational obligations for merchant bankers and portfolio managers. Merchant bankers must maintain a minimum paid-up capital of 25 crore BDT (with specific lower thresholds for limited services) and ensure at least 50% of this capital is retained as net worth, while portfolio managers require a minimum paid-up capital of 12.50 crore BDT. The rules mandate the appointment of a supervisory committee, impose strict prohibitions on insider trading and conflicts of interest, and require the maintenance of detailed accounts and regular reporting to the Commission.
