Conditions on Sale or Purchase of Assets by Issuer Companies

The Securities and Exchange Commission imposes further conditions on issuer companies in Bangladesh regarding contracts for the sale or purchase of assets or supply of goods amounting to 1% or more of total tangible assets or revenue. These transactions with directors, their firms, or related companies require general body shareholder approval. Issuer companies must disclose the nature and amount of such contracts to the Commission and stock exchanges within thirty minutes of execution and publish the details in two widely circulated newspapers. Additionally, companies must report shareholder borrowing through share pledges to lenders at the end of each quarter and in annual reports.
