Conditions on Sale of Assets of Listed Companies

The Bangladesh Securities and Exchange Commission imposes further conditions on issuer companies regarding asset sales and related-party contracts. Issuer companies are prohibited from entering into contracts for the sale or purchase of assets exceeding 1% of total tangible assets, or revenue exceeding 1%, with directors or related parties without shareholder approval, and from selling more than 50% of total tangible assets without such approval. Companies must disclose the nature and amount of such contracts to the Commission and stock exchanges within thirty minutes of execution and publish the details in two newspapers. Additionally, issuers must furnish information on shareholder borrowing through share pledges to lenders at the end of each quarter and in annual reports.
