Autoplan Empresa Administradora de Fondos Colectivos S.A. is sanctioned with two formal reprimands for failing to send account statements and assembly calendars to an associate as required by regulation. The violations involve two minor infractions under Annex XIII, section 3, clause 3.7 of the Sanctions Regulation, specifically the failure to remit information on account statements and assembly schedules for collective fund administration contracts. 2.4 of the TRANSACTION, the complainant indicated that he had received, among other things, the notification
of the summonses to the assemblies in which he was entitled to participate by the COMPLAINANT, and that due to failures in his email he would not have been able to take knowledge of this information, among other documents; AUTOPLAN EAFC has not presented the evidentiary means that prove that it has complied with delivering the assembly calendars corresponding to CONTRACT 1, for the assemblies held from June 2021 and the assembly calendars, corresponding to CONTRACT 2, for the assemblies held from August 2021 to July 2022;

to point out that AUTOPLAN EAFC is a company supervised by the SMV, with authorization of operation granted by Superintendent Resolution No. 024-2015- SMV/02 of February 17, 2015 and has knowledge of the regulations under which the collective fund system operates, as well as the rights and obligations established in the contracts it administers, which is why it has the obligation to act diligently as a collective fund administrator company; however, this did not happen, since the administrator company committed the commission of two infractions subject to charges;

fulfillment of its functions and obligations as a collective fund administrator company;
Additionally, AUTOPLAN EAFC has the
obligation to comply with the contract signed with its members, which establishes the rights and obligations of the members and the administrator company and whose model is authorized by the SMV, at the request of the administrator company;

7
“Article 257°.- Exemptions and mitigating factors of responsibility for infractions 1.- The following constitute conditions exempting responsibility for infractions:

In cases where the applicable sanction is a fine, it is reduced to an amount no less than half of its amount. b) Others that are established by special norm”.

Within that framework, the evaluation of the sanction
must consider: a) Antecedents of the offender; b) Recidivism; c) Circumstances of the commission of the infraction; d) Economic damage caused and its repercussion on the market; e) Illicit benefit resulting from the commission of the infraction; f) Probability of detection of the infraction; g) Severity of the damage to the public interest and/or legal good protected; h) Existence or not of intent in the conduct of the offender;
In this sense, for the purpose of concord the criteria
of the TUO LPAG, with those indicated in Decree Law No. 21907 and in the SANCTIONS REGULATION, and that these criteria are considered adequate for their valuation to observe the principle of reasonableness and that the sanction to be imposed adapts to these, it proceeds to analyze the following criteria;
Regarding the antecedents, in accordance with
what is established by article 25°, literal a) of the SANCTIONS REGULATION, antecedents constitute the final sanctions imposed by the SMV within a period of four (4) years prior to the commission of the infraction to be sanctioned. in the present administrative sanctioning procedure, so that no recidivism is configured;
With regard to the circumstances of the commission of the
infractions, it must be mentioned that AUTOPLAN EAFC, in its capacity as a company supervised by the SMV, knows the regulations that regulate the system of collective funds and in that sense, the regulations relative to the rights of the members, as well as the regulations that oblige to remit the account statements and the assembly calendars to the members in accordance with what is established in the REGULATION and in the contracts it administers;
However, AUTOPLAN EAFC failed to comply with what is
established in article 70° of the REGULATION and clause 10, numeral 10.4, literal l) of the CONTRACT, since it did not comply with sending to the COMPLAINANT the account statements and the assembly calendars;
Without prejudice to the above, it is worth adding that in the
present case the administrator company has celebrated the extrajudicial transaction of November 29, 2022 with the COMPLAINANT through which AUTOPLAN EAFC committed to grant to the COMPLAINANT, for the only time, the fixed, total and invariable sum of US$ 3,480.00 (Three thousand four hundred and 00/100 American Dollars), sum equivalent to the total of contributions made by virtue of CONTRACT 1 and CONTRACT 2 without the application of penalties. Regarding this, AUTOPLAN EAFC has presented a copy of a bank transfer receipt for the amount of US$ 3,480.00 (Three thousand four hundred and 00/100 American dollars) made in favor of the COMPLAINANT on December 7, 2022, in accordance with what is established in Clause Second, numeral 2.1 of the TRANSACTION, which is in File No. 2022038853;
With regard to the damage caused and to the repercussion
on the market, in the present case, it has not been evidenced that the infraction in which AUTOPLAN EAFC has committed has produced a concrete quantifiable damage in the market; however, these facts affect the confidence of the members or potential members in the collective fund system;
Regarding the illicit benefit resulting from the
commission of the infractions, it must be noted that it has not been proven that AUTOPLAN EAFC has obtained a benefit that is directly related to the infraction subject of analysis in the present administrative procedure;
With regard to the probability of detection of the
infractions, it must be indicated that the facts constitutive of the infraction committed by AUTOPLAN EAFC were evidenced when verifying the compliance with the regulation applicable to the development of its functions, based on the facts exposed by the COMPLAINANT in the complaint filed against the administrator company, so that the probability of detection of the infraction was low;
As for the severity of the damage to the public interest
and/or legal good protected, in the present case it has not been possible to prove that the action of AUTOPLAN EAFC in the commission of the infraction subject of analysis in the present sanctioning procedure has caused damage to the public interest determinable;
However, a protected legal good has been affected,
consisting in the protection of the member, since AUTOPLAN EAFC has

failed to comply with the obligation to provide periodic information to the associate. The unfulfilled obligation aims to prevent harm to the interests of the associates, particularly their confidence in the collective fund system, as the sending of account statements allows them to verify the details of their contributions based on paid quotas, the administration fees charged by the company, and to control their monthly payments, as well as other information established in Annex 8 of the REGULATIONS;
Likewise, it must be noted that the fact that the COMPLAINANT was not informed about the assembly calendars did not allow them to know the date of the regular assemblies corresponding to CONTRACT 1 and CONTRACT 2 from June 2021 onwards, so they would not have been able to participate in them, nor exercise their contractually agreed rights, such as, for example, the right to propose auctions;
In this way, taking into account that collective fund management companies have the obligation to act in strict compliance with the applicable regulations, such as the provisions established in CONTRACT 1, CONTRACT 2 and the REGULATIONS, in safeguarding the collective fund system, the transgression of said regulations affects the legal good referred to as market integrity, that is, the collective fund system, and especially affects the confidence of the associates or potential associates in the collective fund system;
Regarding the existence or not of intent in the infringer's conduct, it must be specified that intent has not been verified in the conduct of AUTOPLAN EAFC regarding the infractions under analysis;
In addition to the above, it corresponds to analyze the exemptions and mitigating circumstances of liability established in article 257 of the TUO LPAG as well as the mitigating and exempting conditions of liability established in articles 26 and 27 of the SANCTIONS REGULATION;
To this effect, in accordance with what is determined in article 257, numeral 1 of the TUO LPAG and in article 27 of the SANCTIONS REGULATION, it is not observed that in the present case any of the circumstances that constitute conditions exempting liability have been configured;
In accordance with the analysis carried out, in accordance with what is determined in article 257, numeral 1 of the TUO LPAG and article 27 of the SANCTIONS REGULATION, it is not observed that in the present case any of the circumstances that constitute conditions exempting liability have been configured;
Likewise, it is not observed that in the present case any of the circumstances that constitute conditions mitigating liability have been configured;
With regard to the voluntary declaration of the commission of the infractions (article 257, numeral 2 of the TUO LPAG) and the contribution of the infringer to their clarification, established in article 26, letters a) and b) of the SANCTIONS REGULATION, it must be indicated that AUTOPLAN EAFC did not present defenses. Consequently, it has not expressly recognized the commission of the infractions under evaluation, nor has it contributed to the clarification of the facts imputed as charges;

From the foregoing, it is concluded that AUTOPLAN EAFC has committed two (2) infractions classified as minor in Annex XIII, numeral 3, item 3.7 of the SANCTIONS REGULATION, regarding which it corresponds to impose on AUTOPLAN EAFC a sanction corresponding to the infractions classified as minor in accordance with article 39 of the SANCTIONS REGULATION;
However, taking into account the sanctioning criteria analyzed, and in application of the Principle of Reasonableness contemplated in article 248, numeral 3 of the TUO LPAG which states that sanctions to be applied must be proportional to the non-compliance classified as an infraction, it must be considered that regarding the infractions subject to charges, it has not been evidenced that they have caused economic harm or that they have had repercussions in the market. Likewise, it has not been verified that the management company has obtained any illicit benefit from the commission of the infractions subject to charges, nor that it has had intent in its actions regarding this matter. Similarly, it has been verified that AUTOPLAN EAFC is not a repeat offender regarding the infractions;
Likewise, the agreements adopted by AUTOPLAN EAFC and the COMPLAINANT through the celebration of the TRANSACTION described as part of the circumstances of the commission of the infraction must be taken into account. In this sense, it must be reiterated that AUTOPLAN EAFC reached a TRANSACTION with the complainant and returned their contributions to the COMPLAINANT, through a bank transfer for the amount of US$ 3,480.00 dated December 7, 2022, whose transfer receipt was presented as support for the total return made in favor of the COMPLAINANT;
In that sense, considering the analysis carried out, this Adjunct Superintendency considers that it corresponds to impose on AUTOPLAN EAFC a sanction corresponding to the minor infractions, in accordance with what is established in article 39 of the SANCTIONS REGULATION;
Being in accordance with what is provided by article 32°, numeral 16, of the Organization and Functions Regulation of the SMV, approved by Supreme Decree Nº 216-2011-EF and its amendments;
RESOLVES:
