Registrants must seek prior written approval from the Commission before soliciting expressions of interest in a proposed securities offering under Section 74 of the Securities Act, 2012. This requirement replaces previous allowances under the Securities Industry Act, 1995, which permitted such solicitation upon simple notification. To obtain approval, registrants must submit a written request identifying the issuer and security characteristics, along with a commitment to maintain adequate records of the solicitation. The Commission Staff will respond in writing to indicate whether the applicant may proceed.
