Securities and Exchange Board of India (Real Estate Investment Trusts) (Third Amendment) Regulations, 2025
The Securities and Exchange Board of India (SEBI) issued the Third Amendment Regulations, 2025, effective December 9, 2025, to further amend the REIT Regulations, 2014. These regulations introduce a new definition for 'institutional investor' and substitute definitions for 'qualified institutional buyer' and 'strategic investor' to clarify eligibility criteria for investments in Real Estate Investment Trusts. The amendments specify that strategic investors must invest at least five percent of the offer size and require SEBI to consult relevant financial sector regulators before designating entities under the strategic investor category.
