The Securities and Exchange Commission amends the 1996 Rules to impose eligibility criteria for merchant bankers and portfolio managers, requiring entity registration as a company or approved institution, and setting minimum paid-up capital thresholds of 10 crore BDT for merchant bankers and 5 crore BDT for portfolio managers. The amendment introduces new disqualification rules, mandates the segregation of client funds and securities, and updates annual certification fees to 50,000 BDT for both merchant bankers and portfolio managers. It also replaces references to 'partners' with 'directors' and removes provisions related to partnership and sole proprietorship structures.
