Bahamas Securities Commission Prospectus Filing Procedure

The Securities Commission of the Bahamas mandates that aspirant issuers submit initial documents, including audited financial statements and organizational charts, at least three weeks before the planned prospectus submission. The procedure requires a complete prospectus accompanied by a $1,000 filing fee, followed by a regulatory review estimated at four weeks, during which the Commission may request meetings to clarify transaction structures. If deficiencies are identified, the issuer must address them and submit a clean and redlined copy with explanatory notes, after which final filing fees are assessed. Upon payment of these fees and receipt of the approval letter, the issuer must submit three copies of the final prospectus to the Commission.
