BCB Resolution No. 358 on Broker-Dealer Counterparty Activity and Segregation of Third-Party Asset Management

Securities broker-dealers and distribution companies must segregate third-party portfolio administration from other activities and designate a compliant board member or administrator for each function. These designated officers must hold SEC authorization, cannot hold cumulative liability for fiduciary and resource management, and resource management officers must be independent of other institutional activities. Counterparty trading in third-party portfolios is prohibited unless the holder provides prior written authorization for individual portfolios or the institution lacks discretionary power and prior knowledge of the operation. This resolution enters into force on January 2, 2024.
