Beneficial Ownership Disclosure Rules of 2026

The Securities and Exchange Commission promulgates the Beneficial Ownership Disclosure Rules of 2026, applying to all domestic and foreign corporations, partnerships, and One-Person Corporations under its jurisdiction. The rules require reporting entities to identify and disclose natural persons qualifying as beneficial owners based on ownership of at least twenty percent of voting rights, contractual control, board election power, or senior management positions. The regulations prohibit the issuance, sale, or public offering of bearer shares and mandate the disclosure of nominee arrangements, including the identity of nominators and principals. Reporting entities must maintain accurate beneficial ownership records for at least five years after dissolution and report any changes to the Commission within the timelines specified in the rules.
