Ingingo ya 2: Ibisobanuro by’amagambo Uretse ighe byaba biteganijwe ukundi, ijambo cyangwa urwunge rw’amagambo byakoreshejwe muri aya Mabwiriza kandi akaba yarasobanuwe mu CAPITAL MARKET REGULATION Nº 12 ON INSTITUTIONS PROVIDING CUSTODIAL SERVICES Pursuant to the Law n° 11/2011 of 18/05/2011 establishing the Capital Markets Authority especially in its articles 3 & 4; Pursuant to the law n° 01/2011 of 10/02/2011 regulating the Capital market, especially in its
article 74;
Pursuant to the law n° 40/2011 of 20/09/2011 regulating the Collective Investment Schemes especially in its article 64; The Capital Market Authority hereinafter referred to as the “AUTHORITY”, decrees:
Article 1: Purpose
These Regulations are aimed at establishing guidelines on how custodians are licensed to operate on the capital market.
Article 2: Definitions

Article premier: Objet des présents Règlements
Les présents Règlements ont pour objet de mettre en place des directives régissant les modalités d’autoriser les fiduciaires à opérer sur le marché des capitaux.
Article 2: Définitions
Aux fins des présents Règlements et à moins que le contexte n’exige une interprétation différente, un terme défini dans portant régulation du marché des

Official Gazette n°53 bis of 31/12/2012 Itegeko rigenga isoko ry’imari n’imigabane mu Rwanda, akomeza kugira inyito isa n’iyo yahawe mu Itegeko. “Itegeko” bivuga Itegeko nº 01/2011 ryo ku wa 10/02/2011 rigenga isoko ry’imari n’imigabane mu Rwanda; “Ikigo” bivuga ikigo cya Leta gishinzwe kugenzura isoko ry’imari n’imigabane mu Rwanda; “Umubitsi” bivuga umuntu ukorera umukiriya cyangwa ugirana na we amasezerano akaba akora umurimo wo gucunga umutungo akanatanga serivisi zo kubika umutungo zifitanye isano no gucunga umutungo mu izina ry’abakiriya kandi muri izo serivisi hakaba harimo kubika imitungo ahantu hizewe kandi yarabiherewe icyemezo hakurikijwe aya mabwiriza; “Amasezerano y’ububitsi” bivuga amasezerano akorwa hagati y’Umukiriya n’Umubitsi agena uburyo bwo kubika imitungo y’Umukiriya ( Imitungo ibitswe) kandi akaba anateganya kubika iyo mitungo ahantu hizewe, kuwushaka; “Imitungo ibitse” bivuga imitungo icunzwe kandi ikabikwa n’Umubitsi hakurikijwe Amasezerano y’Ububitsi akoranwe n’Umukiriya kandi iyo mitungo ishobora kuba ari ibicuruzwa byo ku isoko ry’imari n’imigabane, amafaranga, umutungo cyangwa indi mitungo iyi n’iyi; “Umukiriya” bivuga umuntu wese ukora assigned to it in the Act. “Act” means the law No 01/2011 of 10/02/2011 regulating the Capital market in Rwanda; “Authority” means the Publci Institution charged with the regulation of capital market in Rwanda; “Custodian” means a person acting for or by arrangement with a Customer who performs stewardship and related custodial services on the Customers’ behalf which, including safekeeping of assets and is licensed to do so under this regulation; “Custodial Agreement” refers to the agreement between the Customer and the Custodian setting forth terms relating to the custody of the Customer’s assets (“Custodial Assets”), including the safekeeping, acquisition and disposition of such assets; “Custodial Assets” means those assets under the stewardship and custody of a Custodian pursuant to a Custodial Agreement with a Customer, and which may be securities, cash, property or other assets; “Customer” means any person with whom a capitaux au Rwanda doit avoir une définition qui lui est attribué par la Loi. «Loi» signifie la Loi n° 01/2011 du 10/02/2011 portant régulation du marché des capitaux au Rwanda ; « Autorité » désigne l’institution publique chargé de la réglementation du marché des capitaux au Rwanda ; «Fiduciaire» désigne une personne agissant au nom du client ou en vertu d’un accord avec celui-ci qui, au nom des clients, assure la gestion et les services de dépositaire connexes y compris la conservation des actifs et est autorisée à le faire en vertu des présents règlements ; «Accord de fiducie» désigne l’accord conclu entre le client et le fiduciaire énonçant les conditions relatives à la garde des actifs du client («Actifs en fiducie»), y compris la conservation, l’acquisition et l’aliénation de ces actifs ; «Actifs en fiducie» désigne les actifs placés sous l’administration et la
garde d’un fiduciaire en vertu d’un accord de fiducie conclu avec un client et qui peuvent être des valeurs mobilières, des liquidités, des biens ou d’autres sortes de biens ; «Client» désigne toute personne avec qui un

Ingingo ya 3: Gusaba guhabwa icyemezo Abantu bose bashaka gutanga serivisi zo kubikira abandi imitungo mu Rwanda bagomba kwandikira Ikigo gishinzwe isoko ry’imari n’imigabane mu Rwanda kugira ngo basabe icyemezo kibemerera kuba Ababitsi. Ushaka icyemezo cyo kwemererwa kuba Umubitsi agisaba Ikigo kandi ubusabe bwe akabutanga akurikije inyandiko yuzuzwa yabigenewe iri mu Mugereka wa I. Custodian has entered into a Custodial Agreement to provide custodial and ancillary services and products; “Permitted Custodial Services” means the services and products a Custodian may provide and activities that it may conduct under a Custodian’s License issued by the Authority upon application specifically identifying the particular services, products and activities, including but not limited to, the safekeeping of assets (including portfolio securities, cash, and other property), book‐entry transactions, income collection, trade settlement, corporate action monitoring, tax withholding, transfer agency support, auditing, financial reporting, cash management, securities lending and foreign currency exchange.
Article 3: Application for License
All persons seeking to provide custodial services in the Rwanda shall apply for and Obtain a Custodian's license from the Capital Market Authority. An Application for a Custodian's License shall be made to the Authority in the Prescribed Application Form, attached as appendix 1. fiduciaire a conclu un accord de fiducie en vue de lui fournir des services de fiducie ainsi que des services et des produits accessoires ; « Services de fiducie autorisés» désigne les services et les produits qu’un fiducie peut fournir ainsi que les activités qu’il peut réaliser en vertu d’une autorisation de fiducie délivrée par l’Autorité en réponse à la demande précisant spécifiquement les services, les produits et les activités quelconques, y compris la conservation des actifs (y compris les titres en portefeuille, les liquidités et autres biens), les transactions scripturales, la collecte de revenus, le règlement des transactions, le contrôle des opérations d’entreprise, la retenue de la taxe, le soutien aux agences de transfert, l’audit, la production de rapports financiers, la gestion de trésorerie, les prêts de titres et les opérations de change.
Article 3: Demande d’autorisation de fiducie
Toute personne désireuse de fournir des services de fiducie au Rwanda doit demander et se faire délivrer une autorisation fiduciaire délivrée par l’Autorité du marché des capitaux. Une demande d’autorisation de fiducie est adressée à l’Autorité à l’aide du Formulaire de demande prescrit, joint en Annexe 1.

Abemererwa gusaba no guhabwa icyemezo cyo kuba Umubitsi ni ibigo by’imari bikurikira:
(a) Ikigo cyemewe na Banki Nkuru y’Igihugu cyubahiriza amagegeko n’amabwiriza bigenga ibikorwa by’amabanki mu Rwanda; (b) Ikigo cy’imari cyemewe n’Ikigo kandi cyubahiriza amategeko n’amabwiriza bigenga isoko ry’imari n’imigabane mu Rwanda; (c) Ikigo cy’imari mvamahanga gisanzwe gicunga imitungo yo mu rwego rw’imari harimo ibicuruzwa byo ku isoko ry’imari n’imigabane kikaba kibicungira abakiriya kandi icyo kigo kikaba:
i. gifite icyemezo kitari cyarenza igihe
cyatanzwe n’Ikigo ngezuramikorere mu by’imari cyo mu mahanga cyemerwa n’Ikigo;
Article 4: Application Fees
An Application for a Custodian's License must be accompanied with a non-refundable Payments of an application processing fee as provided for in the fees regulations.
Article 5: Qualifications of Persons Seeking
Custodian's License
Custodian's License shall be issued only to qualified persons. Persons qualified to apply and obtain a Custodian's License are the following financial institutions:
(a) An institution licensed by the National Bank of Rwanda, which is in compliance with the banking laws and regulations of the Rwanda; (b) An institution licensed by the Authority and in compliance with the Capital market laws and regulations of Rwanda; (c) A foreign financial institution that customarily holds financial assets including securities, for its Customers, provided that it:
i. holds a current license issued by a
Foreign Financial Regulatory Authority, approved by the Authority;
Article 4: Frais de dossier de demande
Une demande d’autorisation de fiducie doit s’accompagner d’un paiement de frais d’examen de demande non-remboursable tel que prévu dans les règlements relatifs aux frais.
Article 5: Qualifications requises pour les
personnes qui cherchent une autorisation de fiducie Une autorisation de fiducie n’est délivré qu’aux personnes qualifiées. Les personnes qualifiées pour demander et se faire délivrer une autorisation de fiducie sont les institutions financières suivantes:
(a) Une institution agréée par la Banque nationale du Rwanda et respectant les lois et les réglementations bancaires du Rwanda; (b) Une institution agréée par l’Autorité et respectant les lois et les règlements du marché des capitaux du Rwanda; (c) une institution financière étrangère qui détient habituellement les actifs financiers y compris les titres pour ses clients, à condition que celle-ci :
i. soit titulaire d’une autorisation actuelle
délivrée par une autorité de réglementation financière étrangère approuvé par l’Autorité ;

ii. Gifite ibikorwa by’ubucuruzi kandi
cyarakorewe iyandikisha hakurikijwe Itegeko rigenga amasosiyete y’ubucuruzi;
iii. Kimaze nibura imyaka itatu (3) gitanga
serivisi zo kubika imitungo; Ingingo ya 6: Uburyo bwo gusaba icyemezo Ubusabwe butanzwe mu rwego rwo gusaba icyemezo bugomba guherekezwa n’ibintu bikurikira:
(a) kopi y’inyandiko igaragaza imiterere y’usaba iriho umukono wa noteri; (b) aderesi z’icyicaro gikuru cy’usaba ndetse n’amazina na aderesi bya buri wese mu bagize inama ye y’Ubutegetsi ndetse n’abagize ubuyobozi b’ingenzi; (c) amakuru yerekeye amashuri abakozi bakuru n’abateganwa kuzajya mu buyobozi n’abandi bari mu buyobozi b’ingenzi bize, harimo amahugurwa babonye ndetse n’ubuzobere bwabo; (d) abantu bateganyijwe kujya mu buyobozi n’abandi bakozi bakuru b’ingenzi bateganijwe; (e) icyemezo cyemezako ari ikigo gikora ibikorwa byacyo cyubahiriza amategeko harimo amabaruwa atangwa n’ubuyobozi bwa Leta bubifitiye ububasha yemerera usaba gukora serivisi z’imari kandi ayo mabaruwa akaba agaragaza:
ii. Maintains a business presence and
is registered under the Companies Act;
iii. Has been in the business of
providing custodial services for not less than 3 (three) years.
Article 6: Manner of Application for License
An application for license shall be accompanied with:
(a) an authenticated copy of the instrument under which the applicant is organized; (b) the address of the applicant’s head office, and the name and address of every Directors and Key Management; (c) information regarding the education, training, and expertise of its principal officers; (d) proposed management team, and other key management; (e) substantiation that it is an institution licensed in good standing, including letters from all relevant governmental authorities under which licensed to perform financial services stating that:

services de fiducie pendant au moins trois (3) ans.
Article 6: Modalités de demande d’autorisation
Une demande d’autorisation doit s’accompagner de ce qui suit :
(a) une copie certifiée conforme de l’instrument portant organisation du requérant; (b) l’adresse du siège social du requérant ainsi que le nom et l’adresse de tous les administrateurs et du personnel clé de la direction; (c) les informations concernant l’éducation, la formation et l’expertise de ses principaux agents; (d) une équipe de direction proposée, et d’autres membres du personnel de la direction; (e) la preuve qu’il s’agit d’une institution agréée jouissant d’une bonne réputation, y compris les lettres issues toutes les autorités gouvernementales compétentes qui l’ont autorisée à fournir des services financiers indiquant:

ngengamikorere, ngenzuzi cyangwa ibihano byo kutubahiriza ibisabwa bireba ikigo cyangwa ukorana na cyo ibikorwa by’ubcuruzi mu myaka itanu (5) iheruka; (f) Icyemezo cyemezako yubahirije imari shingiro isabwa ivugwa muri aya Mabwiriza; (g) amakuru arambuye agaragaza ibikorwa ashaka gukora harimo ubwoko bwa seirivisi zo kubikira abandi imitungo n’ibicuruzwa ashaka gutanga cyangwa ashaka guha abakiriya cyangwa abashobora kuzaba abakiriya; (h) Ifoto y’ibarura ry’umutungo ryakorewe igenzuramari na raporo ngarukamwaka zirebana n’imyaka y’imari itatu (3) iheruka igihe ari ngombwa; (i) Ubwishingizi yafashe cyangwa ateganya gufata ndetse n’amasezerano yo kwishingirwa ku birebama n’uburyozwe ashobora kugira bitewe n’ibikorwa ateganya gukora ndetse n’ishingano z’abakozi be n’abamuhagarariye; (j) Iyo ari ikigo cy’imari mvamahanga Ikigo kigisaba gutanga inyandiko yemewe yashyizweho umukono ishyiraho uhagarariye ikigo ugomba gushyikirizwa mu buryo bwemewe n’amategeko inyandiko zerekeye inzira zose z’ibirego aregwa n’icyo aregwa bitewe nigikorwa iki n’iki akorera ahantu
i. no unpaid penalties assessed against it or
an affiliate;
ii. identifying all regulatory violations,
supervisory or enforcement actions with respect to the institution or an affiliate thereof in the prior 5 (five) years. (f) substantiation that it has satisfied the capital requirements set forth in this regulation; (g) full particulars of the business it proposes to do, including the nature of the Custodial services and products it intends to provide or offer to Customers or potential Customers; (h) audited financial statements and annual reports for the prior 3 (three) financial years where applicable; (i) existing or proposed insurance and bonding arrangements related to liabilities of the proposed business and the responsibilities of its employees and agents; (j) in the case of a foreign financial institution the Authority shall require a duly executed instrument in writing, appointing the agent of the institution to whom all process in any proceeding against it or cause of action arising out of a transaction with its places of business in Rwanda, may be lawfully

(f) la preuve qu’il a satisfait aux exigences de capital énoncées dans les présents règlements; (g) les détails complets sur les activités qu’elle envisage de réaliser, y compris la nature des services et des produits de fiducie qu’elle envisage de fournir ou d’offrir aux clients ou aux clients potentiels; (h) les états financiers vérifiés et les rapports annuels pour les trois (3) dernières années financières, le cas échéant; (i) les accords d’assurance et de cautionnement existants ou proposés liés aux passifs des activités proposées et des responsabilités de ses employés et agents; (j) dans le cas d’une institution financière étrangère, l’Autorité exige un instrument écrit dûment exécuté, la désignation du mandataire de l’institution auquel tous le processus dans toute procédure intentée contre elle ou un recours découlant d’une transaction sur ses lieux des affaires au

Ingingo ya 7: Gusuzuma ubusabe no kubufataho icyemezo Mu minsi cumi n’itanu ikurikira iyakirwa ry’ubusabe cyangwa mu yindi minsi cumi n’itanu (15) y’inyongera ikurikira iyakirwa ry’amakuru y’inyongera yari yasabwe, Ikigo kigomba gutanga icyemezo cyangwa se kikamenyesha uwatanze ubusabe ko kidashobora kumuha icyemezo kandi kikamumenyesha impamvu yatumye cyanga kumuha icyemezo. Ikigo gishobora gutegeka uwatanze ubusabe kubahiriza ibintu ibi n’ibi bitewe n’ibikorwa by’ubucuruzi ibi n’ibi ashaka gukora ndetse na serivisi n’ibicuruzwa ateganya gutanga. Ingingo ya 8: Impamvu zituma ubusabe bwo guhabwa icyemezo cyo kuba Umubitsi bwangwa Ikigo cyanga guha icyemezo uwatanze ubusabe kubera imwe mu mpamvu zikurikira:
(a) iyo hari umwe mu bagize inama y’ubutegetsi served. The Authority may require an applicant to furnish it with such additional information as it considers necessary in relation to the application. An applicant shall notify the Authority of any change of particulars.
Article 7: Consideration of Application and
Determination Thereon
Within fifteen (15) days after the receipt of an application, or within an additional fifteen (15) days after the receipt of any additional information required, the Authority shall issue a license, or inform the applicant that it refuses to issue a license, stating the grounds upon which the refusal is based. The Authority may impose conditions to be satisfied by the applicant with respect to the business it proposes to operate and the services and products it intends to provide.
Article 8: Grounds to Reject Application for
Custodian’s License
The Authority shall refuse to issue a Custodian’s License for any of the following reasons:
(a) any director or key management of the Rwanda, peuvent être consignés. L’Autorité peut demander au requérant de lui fournir des renseignements supplémentaires qu’elle estime nécessaires en ce qui concerne la demande. Le requérant doit informer l’Autorité de tout changement de renseignements antérieurement fournis.
Article 7: Examen de la demande et décision y
relative
Dans les quinze (15) jours après la réception d’une demande ou dans un délai supplémentaire de quinze (15) jours après la réception de tout renseignement supplémentaire requis, l’Autorité délivre une autorisation ou informe le requérant de son refus de lui délivrer une autorisation tout en précisant les motifs sur lesquels le refus est fondé. L’Autorité peut demander aux requérant de satisfaire aux conditions données en rapport avec les activités qu’il envisage de réaliser ainsi qu’avec les services et les produits qu’il envisage de fournir.
Article 8: Motifs de rejet de la demande d’une
autorisation de fiduciaire L’Autorité refuse de délivrer une autorisation de fiducie pour l’un ou l’autre des motifs suivants:
(a) tout administrateur ou membre du

ii. yarahamijwe igihombo n’urukiko;
iii. yarahamwe n’icyaha cyo kutubahiriza
amategeko haba mu Rwanda cyangwa mu mahanga;
iv. hari icyemezo yafatiwe n’ikigo
ngenzuramikorere cyaba icyo mu Rwanda cyangwa icyo mu mahanga kimubuza gukora ubucuruzi bw’ibicuruzwa byo ku isoko ry’imari n’imigabane cyangwa kimubuza gukora umurimo wo kubikira abandi imitungo cyangwa kubabikira imitungo babika mu rwego rwo kwiteganyiriza cyangwa se undi mutungo uyu n’uyu ahabwa kugira ngo awucungire abandi;
v. uwo muntu adafite ibisabwa bya ngombwa
bijyanye n’umwuga.

i. has been convicted of an offence involving
fraud or dishonesty punishable on conviction to a term of imprisonment exceeding six months either in the Rwanda or elsewhere, within a period of 10 (ten) years immediately preceding the date on which an application is made for a license;
ii. has been adjudged bankrupt by a court;
iii. has been convicted of a breach a of law in
Rwanda or elsewhere;
iv. is precluded by an order from any
regulatory authority either in the Rwanda or elsewhere from engaging in transactions involving securities or handling trust or pension assets, or any assets or property in a fiduciary capacity;
v. the person does not have relevant
professional qualifications.

d’une autorité réglementaire soit au Rwanda ou ailleurs, de s’engager dans des transactions portant sur des titres ou la gestion des actifs à titre fiduciaire ou des actifs de retraite, ou tout autre sorte d’actifs ou de biens à titre fiduciaire ;
v. ne dispose pas de qualifications
professionnelles.

(a) iyo uwahawe icyemezo atagishoboye kubahiriza ibivugwa muri aya Mabwiriza; (b) iyo uwahawe icyemezo yarengereye ku buryo bukomeye kandi atabiherewe uburenganzira agakora ibikorwa bifite uburemere n’imiterere bitandukanye n’ibya seirivisi n’ibicuruzwa yagaragaje mu busabe bwe kandi ubwo busabe akaba ari bwo of a custodial business, as stipulated by these regulations or other regulations, were not followed; (c) the applicant does not have the technical expertise to establish, maintain or conduct custodial business of the scope and nature proposed in its Application; (d) the capital reserves are inadequate or the financial condition of the applicant is otherwise insufficient to operate the proposed custodial business properly or fulfil obligations to its Customers.
Article 9: Grounds to Revoke, Suspend, or
Modify Custodian’s License A Custodian’s License may be revoked, suspended, or modified by the Authority for any of the following reasons:
(a) the Licensee no longer fulfils the conditions imposed by this regulation; (b) the Licensee has substantially and impermissibly departed from the scope and range of services and products which it had described on its application and which served as the basis upon which the license had been issued; fiducie, tel que stipulé par les présents règlements ou d’autres règlements, n’ont pas été respectées ; (c) le requérant n’a pas d’expertise technique pour établir, maintenir ou réaliser les activités de fiducie relevant de la portée et de la nature proposée dans sa demande ; (d) les réserves de capital sont insuffisants ou la situation financière du requérant est par ailleurs insuffisante pour réaliser les activités de fiducie proposées de manière appropriée ou pour remplir ses obligations envers ses clients.
Article 9: Motifs de révocation, de suspension
ou de modification de l’autorisation de fiducie Une autorisation de fiducie peut être révoquée, suspendue ou modifiée par l'Autorité pour l’une des raisons suivantes:
(a) le titulaire de l’autorisation ne remplit plus les conditions imposées par les présents Règlements; (b) le titulaire de l’autorisation s’est sensiblement et de manière inadmissible écarté de la portée et de la gamme de produits et de services qu’il avait décrits dans sa demande et sur lesquelles on s’est basé pour lui délivrer une autorisation;

Ingingo ya 11: Ibishingirwaho mu gutanga icyemezo Icyemezo gitanzwe hakurikijwe aya Mabwiriza kiba (c) the Licensee has failed to fulfill its obligations under these regulations; (d) the Licensee has failed to comply with orders or requests of the Authority, or failed to do so in a timely manner; (e) the Licensee has ceased to carry on custodial services covered by the License for more than 12 (twelve) months. The Authority’s revocation, suspension, or modification of a Custodian’s License may apply to all or a part of the business operations, services or products of the Custodian.
Article 10: Capital Requirements & Capital
Adequacy
(a) A licensee under this regulation is required to have a minimum paid up & authorized capital of 500 Million Rwandan Franc; (b) A licensee under this regulation is required to meet the capital adequacy Requirements as prescribed by the Authority.
Article 11: Licensing Conditions

(a) Le titulaire d’une autorisation délivrée en vertu des présents règlements est tenu de disposer d’un minimum libéré et autorisé de 500 millions de francs rwandais ; (b) Le titulaire d’une autorisation délivrée en vertu des présents règlements est tenu de satisfaire aux exigences en capital fixées par l’Autorité.

The custodian shall facilitate on‐site surveillance and inspection and other regulatory activities undertaken by the Authority allowing access to the Custodian’s premises and provide support to designated Authority’s personnel. Le fiduciaire doit faciliter les activités d’inspection et de surveillance sur place et autres activités réglementaires réalisées par l’Autorité tout en permettant l’accès aux locaux du fiduciaire et fournir un appui au personnel désigné par l’autorité. Un fiduciaire autorisé est tenu doit se conformer au code relatif au gouvernement d’entreprise des sociétés fixé par l’Autorité.

A Custodian must at all times comply with the relevant provisions in the Rwanda Capital market Law, Banking law, Pension Act, any law or regulations applicable to collective investment schemes, and all applicable regulations issued by the Authority. A custodian must follow directions given under this regulation. Any director or key management of a Custodian who may have access to Custodial Assets or Customer accounts, either directly or through authority to draw upon such funds to direct generally the disposition of such securities shall be bonded by a reputable insurance company against larceny and embezzlement in reasonable amounts reflecting his or her access to such assets and accounts. The Authority retains the powers to impose additional conditions on its issuance of a Custodian’s License. L’Autorité a les pouvoirs d’imposer des conditions supplémentaires lors de la délivrance de
l’autorisation de fiducie.

Article 12: Notification of Changes in
Particulars of Licensee
Changes to shareholdings and the Key Management of the Licensee:
(a) Except for licensees which are companies listed on the Rwanda Stock Exchange, all Licensees must inform the Authority within seven days of any changes to the Shareholding structure; (b) All Licensees shall inform the Authority of the consummation of a merger or Acquisition, or any similar transaction, and the purchase or sale of business units in All cases where:
i. a significant portion of its operations is to
be transferred;
ii. custodial assets or Customer accounts are
to be transferred between two Custodians, or between a Custodian and another person;
iii. the resulting capital structure or financial
position of the Licensee will be materially different than presented in its application.
Article 12: Notification des changements en

clients doivent être transférés entre les deux fiduciaires, ou entre un fiduciaire et une autre personne ;
iii. la structure de capital ou la situation
financière du titulaire de la licence qui en résulte est sensiblement différente de celle présentée dans sa demande.

Each Custodian shall notify the Authority of any change of particulars not identified in the preceding sections from those submitted in the application for a license and any further material change to its business operations within 15 (Fifteen) days of the change. Any Custodian who fails to notify the Authority of any change of particulars in the Time frames required shall be liable to pay a penalty of 1,000,000 Rfw (One Million ) that the default subsists, and its Custodial License, and any other license issued by the Authority that it holds, may be suspended. If the person is holding a Custodial License or other license issued by the Authority, its license shall be suspended if the period of default exceeds 30 (thirty) days.
Article 13: Permitted Custodial Services under
Custodian’s License
An applicant seeking a Custodian’s License shall (c) le titulaire de l’autorisation doit demander et obtenir l’approbation de l’Autorité avant de procéder à toute modification aux administrateurs et aux membres du personnel clé de direction. Tout fiduciaire qui omet d’informer l’Autorité de toute modification des mentions dans les délais prescrits est tenu de payer une pénalité d’un million (1.000.000) de francs rwandais et, si le manquement persiste, l’autorisation de fiducie et toute autre autorisation délivrée par l’Autorité qu’il détient peuvent être suspendues. Si la personne est titulaire d’une autorisation de fiducie ou toute autre autorisation délivrée par l’Autorité, son autorisation est suspendue si la période de manquement est supérieure à trente (30) jours.

(a) the safekeeping of all property a Customer may entrust, including securities, cash and other assets it may agree to safe keep in accordance with a Custodial Agreement; (b) any of the additional permitted custodial services it has identified on the application upon which the Custodian’s License was issued and which it has agreed to provide to a particular Customer under a Custodial Agreement. No Custodian shall agree to take responsibility for and perform any Permitted Custodial Services without such services having been included on its application for license, and within the scope of the custodian’s license issued to it. Il est interdit à tout Fiduciaire de s’engager à assumer la responsabilité et à réaliser un service de fiducie quelconque autorisé, sans que ces services aient été inclus dans sa demande d’autorisation et relèvent de la portée de l’autorisation qui lui a été délivrée. Indépendamment de l’autorisation dûment délivrée, aucun fiduciaire ne peut effectuer ces services sans disposer de la capacité adéquate pour le faire et des procédures adéquates de gestion des risques sur les risques, des procédures et des contrôles internes en place de telle sorte qu’il puisse raisonnablement veiller à ce qu’il puisse s’acquitter pleinement des services convenus.

Article 14: Custodial Agreements
No Custodian shall provide custodial services to a Customer unless it has a duly executed and effective Custodial Agreement with the Customer. A Custodial Agreement shall contain provisions that state the following:
(a) the Custodian’s duties and responsibilities and the manner by which the Custodian shall perform its duties and responsibilities; (b) terms that require the portfolio securities if any to be segregated and marked in such a manner as to clearly identify them as the property of the Customer; (c) remuneration of the Custodian and the manner by which fees and charges are determined and assessed and paid; (d) procedure for the reversal of the transaction; (e) a general warranty that all requirements of all pertinent Rwandan laws and regulations are, and will be continually satisfied by the Custodian; (f) frequency and nature of regular reports to the Customer on their accounts, as negotiated, but no less than quarterly; (g) notice provisions for the Custodian’s
Article 14: Accords de fiducie
Il est interdit à tout fiduciaire de fournir à un client des services de fiducie à moins qu’il ne dispose d’un accord dûment signé et efficace ayant la garde avec le Client. Un accord de fiducie doit contenir des dispositions qui énoncent ce qui suit:
(a) les devoirs et les responsabilités du fiduciaire et la manière par laquelle le fiduciaire exerce s’acquitte de ses fonctions et responsabilités; (b) les conditions qui exigent des titres en portefeuille le cas échéant doivent être séparées et marquées de façon à les identifier clairement comme étant la propriété du client; (c) la rémunération du fiduciaire et la manière dont les honoraires et les frais sont déterminés et évalués et payés; (d) la procédure suivie pour l’annulation de la transaction; (e) une garantie générale que toutes les exigences de tous les lois et règlements en la matière au Rwanda sont et seront sans cesse respectés par le fiduciaire; (f) la fréquence et la nature des rapports réguliers adressés aux clients en rapport avec leurs comptes, tels que négociés et ce, au moins une fois par trimestre; (g) les dispositions de préavis en rapport avec

Article 15: Delegation
Notwithstanding the non‐transferability of a Custodian’s License, the Licensee may delegate any function to any person to assist it in carrying out its responsibilities under these regulations or a Custodial Agreement, except the Custodian is prohibited from making any delegation that would:
(a) violate this or any law or regulation; (b) breach its Custodial Agreement with its Customer, which may include negotiated limitations on delegation; (c) release, or result in the release of, les actions du fiduciaire (ou défauts d’agir) qui peuvent violer l’accord de fiducie, auquel cas un avis écrit en temps opportun doit être donné au Client après la survenance de la violation; (h) les procédures et les exigences en ce qui concerne la résiliation de l’accord de fiducie ainsi que le temps et les modalités suivis pour le transfert des actifs des clients et de tous les documents pertinents à un remplaçant ou à un nouveau fiduciaire; (i) toutes les autres dispositions convenues par le fiduciaire et le Client.
Article 15: Délégation
Nonobstant la non-cessibilité d’une autorisation de fiducie, le titulaire de l’autorisation peut déléguer une fonction quelconque à une personne quelconque pour l’aider à s’acquitter de ses responsabilités en vertu des présents règlements ou d’un accord de fiducie, à l’exception du fait qu’il peut être interdit au fiduciaire d’effectuer une délégation quelconque qui pourrait:
(a) constituer une violation d’une loi ou d’un règlement quelconque; (b) constituer une violation de son accord de fiducie conclu avec son client, qui peut comporter des restrictions négociées sur cette délégation ; (c) faire rentrer, ou avoir pour résultat la

Any such delegation shall be in writing, and the person to whom responsibilities are delegated (hereinafter “Delegate”) must agree to exercise prudence and diligence, in accordance with industry best practices or a higher standard of care, in performing the delegated responsibilities. A Custodian delegating under the preceding sections shall remain liable for the services, products, activities and obligations that it has delegated if the Delegate is an affiliated person of the Custodian or Customer. Except as provided in preceding paragraph, a Custodian will not be responsible by virtue of this regulation for any act or omission of the Delegate, if the Custodian can show that:
(a) it exercised due diligence in determining the Delegate’s competence to perform delegated functions; (b) such delegation was prudent and reasonable; (c) the Custodian had exercised diligence and taken reasonable care to ensure the delegate remained competent to perform rentrée des documents dans les mains d’un tiers sans le consentement du client. Article 16: Risk Management and Internal
Controls
Each Custodian shall establish and maintain internal controls, policies and procedures relating to the safekeeping of Custodial Assets and the Permitted Custodial Services that it has contractually agreed to provide to Customers. Each Custodian shall designate and specifically identify to the Authority on its application for license a qualified person to serve as its Chief Compliance Officer (“CCO”). The designation of CCO does not preclude the CCO from holding any other position within the Custodian’s business, provided that the person can discharge the duties of a CCO in light of his or her other responsibilities. The CCO shall be responsible for:

Le chef de la conformité est chargé de ce qui suit :

The compliance manual shall:
(a) identify control and policy objectives, which shall be designed to take into account the nature and scope of services that the Custodian provides to its Customers, the services and standards of performance with which it holds itself out to the Customers and public; (b) describe the internal controls, policies and processes established and how they are administered, including those controls, policies and processes relating to the safeguarding of cash and securities held on behalf of Customers, account set up and maintenance, processing of income and (a) élaborer et tenir le manuel de conformité décrit ci-dessous et assurer sa mise à jour au moins une fois par an ; (b) donner au Conseil d’administration du Fiduciaire (ou à son équivalent) un rapport documentant les politiques de conformité du fiduciaire et les processus des procédures pour établir, maintenir, faire respecter, examiner, tester et la modifier les politiques et les processus de conformité au moins une fois paran. The internal controls, policies and procedures shall be properly designed to mitigate against risks inherent in performing custodial services and the particular services and products the Custodian provides to its Customers, and to ensure:
(a) the safeguarding of both the firm’s and its Customer assets (including but not limited to custodial assets) against unauthorized use or disposition and the prompt detection of such misuses; (b) the maintenance of proper accounting and other applicable records, and the reliability of the information; (c) the prompt detection of misuses; (d) compliance with all relevant legal and regulatory requirements. Article 17: Books and Records to be maintained
by Custodians
The Custodian must keep such records as are necessary to enable it to comply with the rules in these Regulations and to demonstrate that it has achieved such compliance.
Article 18: Appointment and Removal of
Auditor
A Custodian shall, within one month of obtaining a Custodian’s License, appoint or confirm the appointment of an independent qualified auditor acceptable to the Authority to audit the financial accounts of the Custodian. A Custodian shall notify the Authority of the appointment or confirmation of the appointment of an auditor within 15 (fifteen) days of the des processus d’élaboration, de maintien, d’examen, d’évaluation et de modification des politiques de conformité et des procédures de contrôle raisonnablement conçues pour assurer la conformité aux lois applicables, aux règlements et aux obligations contractuelles. Article 18: Nomination et révocation d’un
auditeur
Un fiduciaire doit, dans un mois de l’obtention d’une autorisation de fiducie, nommer ou confirmer la nomination d’un auditeur indépendant qualifié acceptable pour l’Autorité de vérifier les comptes financiers du fiduciaire. Un fiduciaire doit informer l’Autorité de la nomination ou de la confirmation de la nomination d’un auditeur dans les quinze (15) jours à compter

The Custodian shall ensure that annual financial statements required under this Regulation are prepared and submitted to its appointed auditor for audit. An auditor may, by notice in writing to a Custodian, resign as auditor. An auditor who resigns, or who is terminated by a Custodian shall immediately upon taking the decision to resign or upon being informed of its termination by a Custodian, shall immediately notify the Authority in writing about the resignation or termination, indicating the date effective and stating reasons for the resignation or termination, including an explanation of any problems related to its examination or auditing activities that contributed to the resignation or termination.
Article 19: Functions and Responsibilities of
Auditor
The auditor shall verify by actual examination no less than annually the assets held by the Custodian on behalf of Customers with which it has entered into and maintains Custodial Agreements. The auditor shall confirm all cash, securities and other assets held by the Custodian on behalf of Customers, including by physical examination of de la nomination. Article 19: Fonctions et responsabilités de

The audit report issued by the auditor shall include the auditor’s opinion regarding the financial accounts. The auditor must notify the Authority within one business day of all material discrepancies uncovered during the examination.
Article 20: Internal Control Audit and Report
A Custodian shall obtain no less frequently than once each calendar year, a written internal control report prepared by an independent, qualified auditor acceptable to the Authority, which should be different to the auditor identified to conduct the audit of financial accounts under the preceding paragraph. The internal control report must include the auditor’s opinion as to whether the internal controls, processes and procedures that the Custodian has put in operation are suitably designed for the activities and services undertaken, are effectively employed, tested and revised by the physique des titres, le cas échéant, et concilier tous les actifs aux livres et registres de comptes fiduciaires des clients qui sont tenus par le fiduciaire et les livres et registres des clients et des prestataires de services. The auditor must notify the Authority within one business day of any material discrepancies uncovered during the examination.
Article 21: Annual Submission of Financial
Statements and Audit Reports The Custodian shall submit on an annual basis to the Authority the following:
(a) the annual financial statements which shall include a section on custodial services; (b) the financial audit report and opinion of the auditor; (c) the internal control report and opinion of the auditor; (d) confirmation in writing from the Chief Executive Officer and Chairperson of the Board of Directors that the Custodian remains in full compliance with relevant laws and regulations, and, if not, disclosing areas of violation and actions taken to redress. Where the auditor’s opinion is qualified as to the completeness or accuracy of the underlying records and data examined, the report shall, when satisfont aux objectifs de contrôle objectifs énoncés dans le manuel de conformité. (a) whether all the accounting records of the Custodian have been made available to the auditor for the purposes of his audit; (b) whether all transactions undertaken by the Custodian have been properly reflected and recorded in the Custodian’s accounting records.
Article 22: Duty to act in the Interest of
Customers
It shall be unlawful for a Custodian to act in a manner that is misleading, or knowingly omit material facts or engage in other fraudulent acts and practices in connection with the conduct of a custodial business. As a fiduciary, a Custodian owes its Customers undivided loyalty, and shall not engage in activity that conflicts with a Customers’ interest without the Customers’ consent. Where the Custodian is of the opinion that an instruction, direction, transaction or similar activity (hereinafter “Transaction”) is not permitted under this regulation or outside the scope of its Custodian’s License, the terms of the pertinent examinées, le rapport doit, lorsqu’il est soumis par le Fiduciaire, s’accompagner d’un document écrit signé par deux administrateurs du Fiduciaire indiquant si:

Il est interdit à un fiduciaire d’agir d’une manière trompeuse, ou d’omettre sciemment les faits importants ou de s’engager dans d’autres actes et pratiques frauduleux en rapport avec la conduite d’une réalisation des activités de fiducie. Etant fiduciaire, un dépositaire doit à ses clients une loyauté sans partage et ne doit pas s’engager dans une activité qui entre en conflit avec des intérêts des clients sans le consentement des clients. Lorsque le fiduciaire est d’avis qu’une instruction, une directive, une transaction ou une activité similaire (ci-après dénommée «Transaction») n’est pas autorisée en vertu des présents Règlements ou en dehors de la portée de l’autorisation de fiducie,

Custodial Agreement or any other relevant foundation documents (such as an agreement between a Customer and an asset manager), the Custodian may refuse to execute the Transaction, require the asset manager to cancel the Transaction or make a corresponding disposal or acquisition to secure restoration of the previous situation and to meet any resulting loss or expense. In such cases the Custodian shall immediately inform the Customer. A Custodian shall furnish each Customer or prospective Customer with its most recently issued annual report written disclosure statement, describing the Custodian’s business practices and educational and business background, and this statement shall be delivered:
(a) at least 48‐hours (forty eight) before entering into any custodial agreement with a Customer; (b) at the time of entering into the custodial agreement with a Customer if the agreement permits the Customer to terminate the agreement within 5 (five) business days after entering into the agreement without paying penalty. (a) au moins quarante-huit (48) heures avant de conclure un accord de fiducie avec un Client ; (b) au moment de la conclusion de l’accord de fiducie avec un client si l’accord permet au client de résilier le contrat dans les cinq (5) jours ouvrables suivant la conclusion de l’accord sans payer de pénalités. Un fiduciaire doit remettre à chaque client existant une déclaration écrite de divulgation mise à jour mettre à sa disposition son rapport annuel le plus récent, sans frais.

A Custodian shall also disclose to any Customer or prospective Customer all material facts with respect to:
(a) a financial condition of the Custodian or an affiliate that is reasonably likely to impair the ability of the Custodian to meet contractual commitments to its Customer; (b) the extent to which the custodian or affiliate has discretionary authority or custody over such Customers’ custodial assets or other funds or securities; Les informations devant être incluses dans la déclaration écrite de divulgation doivent comprendre entre autres les éléments suivants:

(a) une situation financière du fiduciaire ou d’une société affiliée qui est raisonnablement susceptible de nuire à la capacité du fiduciaire à respecter les engagements contractuels envers ses clients ; (b) la mesure dans laquelle le fiduciaire ou une société affiliée a le pouvoir discrétionnaire ou de fiducie en ce qui concerne les actifs en fiducie des clients ou d’autres fonds ou valeurs mobilières;

The Authority may bring any necessary changes to this regulation as it deems appropriate from time to time. The Authority may also waive some provisions of this regulation after due consideration by the Board of Directors of the Authority.
Article 23: Repealing of inconsistent provisions
All prior regulatory provisions contrary to these regulations are hereby repealed.
Article 24: Commencement
This regulation shall come into force on the date of its publication in the Official Gazette of the Republic of Rwanda. L’Autorité peut également déroger à certaines dispositions de ces présents règlements après examen dûment relié par le Conseil d’administration de l’Autorité.
Article 23: Disposition abrogatoire
Toutes les dispositions réglementaires antérieures contraires aux présents Règlements sont abrogées.
Article 24: Entrée en vigueur
Les présents Règlements entrent en vigueur le jour de leur publication au Journal Officiel de la République du Rwanda. Kigali, le 05/12/2012

APPLICATION FOR A LICENSE TO PROVIDE CUSTODIAL SERVICES
1. General Information:
