I. GENERAL PROVISIONS
NATIONAL SECURITIES MARKET COMMISSION
17708 Circular 5/2018, of November 26, of the National Securities Market Commission, modifying Circulars 4/2008, 7/2008, 11/2008 and 1/2010, on public and periodic information of Collective Investment Institutions, accounting standards, annual accounts and reserved information states of Venture Capital Entities, managers of Collective Investment Institutions and Venture Capital Entities and branches of European managers established in Spain.

The purpose of this Circular is to introduce certain improvements in other CNMV Circulars necessary for supervisory practice.

In this regard, Circular 7/2008, of November 26, of the National Securities Market Commission, on accounting standards, annual accounts and reserved information states of Investment Service Companies, Managers of Collective Investment Institutions and Venture Capital Managers, is modified, adding, for MCIIIs (Managers of Collective Investment Institutions), a new breakdown regarding commissions for financial advice to managed entities or investors, the possibility of specifying the vehicles in which management is delegated, as well as breakdowns in the income statement to indicate, on the one hand, commissions received from managed vehicles other than VCEs (Venture Capital Entities), and on the other, variable remuneration to staff due to the impact this data may have on the calculation of the manager's required resources; this last breakdown is also introduced for MCIs (Managers of Collective Investment Institutions). Likewise, the deadlines for sending reserved information of these entities to the CNMV are modified for MCIIIs.

With respect to Circular 11/2008, of December 30, of the National Securities Market Commission, on accounting standards, annual accounts and reserved information states of venture capital entities, information regarding the type of investor in VCEs is added, with the breakdown provided for in Article 75 of Law 22/2014, of November 12, regulating venture capital entities, other closed-end collective investment entities and managers of closed-end collective investment entities, and modifying Law 35/2003, of November 4, on Collective Investment Institutions.

Likewise, with the aim of promoting the electronic processing of documents before the CNMV, as well as facilitating the public availability of information, in Circulars 7/2008 and 11/2008, the requirement to submit, as a standardized electronic document, the annual report of MCIIIs and VCEs provided for in the aforementioned Law 22/2014 is introduced.

Additionally, the report model for investment funds collected in Annex 1 of Circular 4/2008, of September 11, of the CNMV, on the content of quarterly, semi-annual and annual reports of collective investment institutions and the position statement, is modified, in order to include information on remuneration policies established in Article 46bis of Law 35/2003, of November 4, on Collective Investment Institutions, and also, information on securities financing transactions established by Regulation (EU) 2015/2365 of the European Parliament and of the Council, of November 25, on the transparency of securities financing transactions and securities reuse.

Finally, the Collective Investment Institutions Law allows foreign managers to operate in Spain in accordance with the conditions established in: art. 55 for manager companies authorized by Directive 2009/65/EC, of July 13, 200 and art. 55 bis for manager companies regulated by Directive 2011/61/EU, of the European Parliament and of the Council, of June 8, 2011, and authorized in another Member State of the European Union).

Page 127133 With the objective of facilitating the supervision and inspection tasks assigned to the CNMV by the cited regulations, Circular 1/2010 of July 28 of the CNMV, on reserved information of entities providing investment services, is modified, in order to collect information, based on the cited authorizations, on the activities carried out by community foreign managers acting in Spain through a branch.

By virtue of the received authorizations, the Board of the National Securities Market Commission, prior to the report of its Advisory Committee and in accordance with the Council of State, in its session of November 26, 2018, has approved the following Circular:

First Rule. Modification of Circular 7/2008, of November 26, of the National Securities Market Commission, on accounting standards, annual accounts and reserved information states of Investment Service Companies, Managers of Collective Investment Institutions and Venture Capital Managers.

1. The second paragraph of point 2 of Rule 6th is drafted in the following terms:

"MCIs and MCIIIs shall send to the CNMV the individual annual accounts with the corresponding management and audit reports; the annual accounts and the management report must be duly signed in the terms indicated in the previous section.
MCIs shall send the aforementioned documentation within four months following the end of the fiscal year, and MCIIIs before June 30 of the following fiscal year."

2. A point 8 is added to said Rule 6th:

"8. MCIIIs shall present to the National Securities Market Commission the annual accounts, the management report and the corresponding audit report through the CIFRADOC/CNMV service, in the CNMV electronic registry as a standardized electronic document, in accordance with what is established in the Resolution of the President of the National Securities Market Commission of November 16, 2011, creating and regulating the CNMV Electronic Registry. This electronic document shall comprise, at least, the sending of the following documentation:
A. Annual accounts and management report, duly signed by all members of the board of directors of the manager or the administrators, as appropriate, together with the audit report of the MCIIIs. All signatures must be duly identified and if any signature is missing, this circumstance shall be indicated with an express indication of the cause. B. A declaration by the secretary of the board of the company stating that i) the documentation sent (the annual accounts and the management report) is a copy of the original formulated ii) that the annual accounts and management reports sent correspond to the audited ones and iii) that the audit reports are copies of the originals. In addition, a form must be completed which will contain at least the identifying data and the financial amounts of the MCIIIs appearing in the model included in the aforementioned procedure."

4. The income statement, state R02, and the information state of VCEs, EICC, FP, FCRE and FERE managed R05 of Annex VI are modified, replacing them with models R02 and R05 collected in Annex I of this Circular.

5. The income statement, state G02 of Annex V is modified by replacing it with model G02 of Annex II of this Circular.

Second Rule. Modification of Circular 11/2008, of December 30, of the National Securities Market Commission, on accounting standards, annual accounts and reserved information states of venture capital entities.

1. Point 6 of Rule 20th is drafted in the following terms:

"6. The submission, for publication, to the National Securities Market Commission of the annual report provided for in Article 67.2 of Law 22/2014, of November 12, regulating venture capital entities, other closed-end collective investment entities and managers of closed-end collective investment entities, and modifying Law 35/2003, of November 4, on Collective Investment Institutions, shall be carried out through the CIFRADOC/CNMV service, in the CNMV electronic registry as a standardized electronic document, in accordance with what is established in the Resolution of the President of the National Securities Market Commission of November 16, 2011, creating and regulating the CNMV Electronic Registry. 2. The model of the statistical and operational information state CR5 of the Annex is modified, replacing it with model CR5 collected in Annex III of this Circular.

Third Rule. Modification of Circular 4/2008, of September 11, of the National Securities Market Commission, on the content of quarterly, semi-annual and annual reports of collective investment institutions and the position statement.

1. A section 10 "Information on remuneration policies." is added in the "Clarifying Notes" of Annex 1: "Securities Investment Fund", with the following wording:

"10. Information on remuneration policies: In the annual report of the CII, information regarding the remuneration policies established in Article 46 bis of Law 35/2003, of November 4, on Collective Investment Institutions, shall be included."

2. A section 11 "Information on securities financing transactions, reuse of collateral and total return swaps (EU Regulation 2015/2365)." is added in the "Clarifying Notes" of Annex 1: "Securities Investment Fund", with the following wording:

"11. Information on securities financing transactions, reuse of collateral and total return swaps: In the semi-annual and/or annual report of the CII, as appropriate, information regarding securities financing transactions, the reuse of collateral and total return swaps, established by Regulation (EU) 2015/2365 of the European Parliament and of the Council, of November 25, 2015, on the transparency of securities financing transactions and securities reuse and modifying Regulation (EU) No 648/2012, which is not already included in other sections of this periodic report, shall be collected."

3. Report model for investment funds.
   The report model for investment funds collected in Annex 1 of Circular 4/2008, of September 11, of the National Securities Market Commission, on the content of quarterly, semi-annual and annual reports of collective investment institutions and the position statement, is replaced by the model contained in Annex IV of this Circular.

1. An additional Rule bis is added to Circular 1/2010, of July 28, in the following terms:

"Additional Rule bis. Reserved states of European Union manager entities authorized to carry out collective management activities and provision of investment and auxiliary services in Spanish territory through a branch.
