CIRCULAR LETTER/CVM/SEP/NO. 02/2014
Rio de Janeiro, March 21, 2014.
SUBJECT: New version of the Empresas.net System – Version 7.0
Dear Investor Relations Director / Legal Representative,
This Circular Letter is intended to inform open and foreign companies that, as of March 21, 2014, a new version of the Empresas.Net System (version 7.0) is available, which brings improvements to the module for filling out and sending the Reference Forms, Registration Forms, DFP, ITR, and SEC forms.
Until April 6, 2014, documents generated by version 6.0 will be accepted. After this date, only documents sent through version 7.0 will be accepted.
The main changes presented in this new version are related to:
(i) inclusion of the field “Communication channels used by the issuer” in the Registration Form, which will enable the issuer to include the electronic address of the news portal used for the disclosure of acts or relevant facts; and
(ii) inclusion of information regarding the channel or channels used to disseminate information about acts and relevant facts in item 21.2 of the Reference Form.
The aforementioned changes are necessary due to the entry into force of CVM Instruction No. 547/10, which amends CVM Instructions Nos. 358/02 and 480/09, flexibilizing the manner of disclosure of acts or relevant facts, allowing, alternatively to publication in newspapers, communication through news portals.
The download of the new version of the System can be done through the CVM’s electronic page on the worldwide web (http://www.cvm.gov.br, section MARKET PARTICIPANTS, item DOCUMENT SUBMISSION, subitem EMPRESAS.NET), as well as on the BM&FBOVESPA page (http://www.bmfbovespa.com.br, section SERVICES – Solutions for Companies, item Mandatory Information Systems, subitem Empresas.Net).
The Empresas.Net System 7.0 can only be installed on computers that follow the IBM (PC) standard and have the Microsoft.Net Framework 4 or higher installed, and the Windows XP Service Pack 3 or Windows Server 2003 Service Pack 2 or Windows Vista Service Pack 1 or higher or Windows 7 Service Pack 1 operating system in 32 or 64-bit architecture. A Pentium processor of 1ghz or equivalent, 1 GB of RAM memory, and 2 GB of free hard disk space are recommended.
Before installing version 7.0, a backup of the forms existing in the previous version of the system must be performed, especially those not yet delivered, using the “Backup” function. After installing the new version, to recover files, if necessary, the “Import” function must be used.
It is not necessary to resubmit forms already delivered by the previous version solely due to this new version 7.0.
We clarify, finally, that questions regarding the installation, use, and operation of the Empresas.Net System, as well as reports of problems or difficulties in sending documents, must be sent to the BM&FBOVESPA Service Center (CAB). Contact with the CAB can be made: (a) on weekdays, from 7 am to 10 pm via email cab@bvmf.com.br and by phone (11) 2565-5000. After 10 pm exclusively by phone (11) 2565-5000; (b) on weekends and holidays, exclusively by phone (11) 2565-5000.
Sincerely,
FERNANDO SOARES VIEIRA
Superintendent of Corporate Relations
