SUBJECT: Applications for registration of public companies and/or public distribution of securities issued by companies from 04/02/2018

Gentlemen,

This Circular Letter aims to guide market participants and companies regarding the procedures to be observed for applications for the registration of public companies and/or public distribution of securities.

From 04/02/2018, documents related to the application for registration of public companies, as provided for in CVM Instruction No. 480, of December 7, 2009, must be submitted, exclusively, electronically through the Empresas.NET System, ceasing to be filed physically with the Securities and Exchange Commission ("CVM").

Documents related to the application for public distribution of securities issued by companies, as provided for in CVM Instruction No. 400, of December 29, 2003, must be submitted electronically through the Empresas.NET System; however, they must also continue to be presented to the Superintendence of Securities Registration in one of the two forms provided for in item 1 of CIRCULAR LETTER NO. 01/2017/CVM/SRE.

The functionality, developed in partnership with B3 S.A – Brasil, Bolsa, Balcão ("B3"), aims to facilitate compliance with the requirements arising from the processes of the aforementioned registrations.

In cases where the initial registration of a public company is being requested, the download of the Empresas.NET System, to fill out and send documents, can be done through the CVM's page on the World Wide Web (http://www.cvm.gov.br, section REGULATED ENTITIES INFORMATION, Companies, Empresas.NET or through the Systems Center, Information about Companies, Document sending programs - Downloads), as well as through the B3 page (http://www.bmfbovespa.com.br, section SERVICES, Services for companies, Empresas.NET System).

After installing the Empresas.NET System, it will be necessary to use a login and password to send documents.

# CIRCULAR LETTER NO. 01/2018/CVM/SEP/SRE

## 1. Obtaining login, password, and CVM code by new companies for use of the Empresas.NET System

The request for login, password, and code for sending, through the Empresas.NET System, documents related to applications for registration of public companies and/or public distribution of securities must be made by the Investor Relations Director ("DRI") or proxy designated by him, by sending the information below to the email suporteexterno@cvm.gov.br:

> **Reference**: Request for authorization to send documents through the Empresas.NET System (company requesting registration of public company)
> **Company registration data**:
> Company Name / CNPJ
> **Applicant registration data**:
> Name of DRI or proxy / CPF / Email / Contact phones

Once the request is received, the CVM will forward to the email informed by the applicant the login, password, and code (all provisional) of the company before the CVM.

## 2. Creating the company in the Empresas.NET System

The company must access the function "New issuer" in the menu and select, in the 'Company' field of the 'New Form' tab, the option "Include New Company".

The "New Issuer" screen will be available where the company's data must be filled in, as well as the provisional code provided by the CVM.

Once the data is filled in and the content is saved, the company's name will appear in the Empresas.NET System so that the applicable documents can be created, whether structured (Registration Form, Reference Form, Quarterly Information, Standardized Financial Statements) or unstructured (Periodic and Occasional Information).

## 3. Sending documents

Once the documents mentioned above in the Empresas.NET System related to the registration of public companies and/or public distribution of securities have been created, they must be sent using the "Send" function, requiring the use of the login provided by the CVM.

## 4. Resubmitting documents

During the analysis process of the application for registration of public companies and/or public distribution of securities, documents may be resubmitted through the Empresas.NET System for eventual compliance with requirements or improvements.

## 5. After the grant of registration of public company

Once the registration of the public company is approved, the CVM will forward a letter informing said approval and its definitive code before the CVM.

The company must replace in the Empresas.NET System the provisional code with the definitive code and resubmit the Reference and Registration Forms with the update of the public company registration data.
