The Bangladesh Securities and Exchange Commission issues directives to ensure compliance with the prohibition on providing cash or kind benefits to equity security holders, other than through cash or stock dividends, during the conduct and subsequent refreshment periods of Annual General Meetings of listed companies. This measure aims to prevent disruptions to the core AGM agenda of discussion and approval of listed companies' agendas.

The Commission has recently observed that during the conduct of the Annual General Meeting (AGM) of listed companies and subsequently during the refreshment period, undesirable situations often occur, which disrupt the core activities of the AGM, namely the discussion and approval process of the agenda of the listed companies' AGM.
In this regard, to ensure the proper conduct of the AGM of listed companies, the Bangladesh Securities and Exchange Commission has once again issued instructions to ensure compliance with "(c) no benefit in cash or kind, other than in the form of cash dividend or stock dividend, shall be paid to the holders of equity securities." as described in Notification No. SEC/SRMI/2000-953/1950 dated 24th October 2000.
