The fine is due within 30 days of the order, and the suspension takes effect 30 days from the order's date. In Re:
VIAMERICAS CORPORATION,
Case Number: 132707
Respondent.
The State of Florida, Office of Financial Regulation ("Office"), being authorized and directed to administer and enforce chapter 560, Florida Statutes, hereby enters this Final Order with Notice of Rights ("Final Order") as authorized by the provisions of chapters 120 and 560, Florida Statutes, against VIAMERICAS CORPORATION ("Respondent").
1. The Office has jurisdiction over the subject matter of this case and the parties hereto.
2. At all times material, Viamericas Corporation is and has been licensed in Florida as a Part II Money Services Business, having been issued license number FT20800102, pursuant to chapter 560, Florida Statutes.
3. The Office conducted an examination (No. 127733) to ascertain Respondent's compliance with chapter 560, Florida Statutes, and found that grounds existed to initiate a legal action against Respondent. As such, on September 17, 2026, the Office issued an Administrative Complaint ("Complaint") (Exhibit A) alleging violations of chapter 560, Florida Statutes, and seeking an appropriate administrative fine, and suspension of the Money Services Business license number FT20800102.
4. The Complaint contained a Notice of Rights, which fully advised Respondent that they had twenty-one (21) days after the receipt of the Complaint within which to petition the Office for an administrative hearing to contest the allegation set forth in the Complaint, in accordance with sections 120.569 and 120.57, Florida Statutes, including the following information:
TO PRESERVE THE RIGHT TO A HEARING, A WRITTEN RESPONSE MUST BE FILED WITH THE OFFICE OF FINANCIAL REGULATION WITHIN TWENTY-ONE (21) DAYS AFTER THE RECEIPT OF THE ADMINISTRATIVE COMPLAINT. SAID RESPONSE MUST BE RECEIVED BY THE OFFICE NO LATER THAN 5:00 P.M. ON THE TWENTY-FIRST DAY AFTER THE RECEIPT OF THE ADMINISTRATIVE COMPLAINT. A FAILURE TO TIMELY RESPOND IN WRITING WILL CONSTITUTE A WAIVER OF THE LICENSEE'S RIGHT TO REQUEST A HEARING AND A FINAL ORDER MAY BE ENTERED WITHOUT FURTHER NOTICE.
5. Respondent was served the Complaint by U.S. Certified Mail on September 21, 2026 (Exhibit B). As such, a response was due no later than October 12, 2026. To date, the Office has not received any response to the Complaint.
6. Therefore, Respondent made no claim of equitable tolling.
7. The Findings of Fact alleged in the Complaint are hereby incorporated by reference and adopted as Findings of Fact in this Final Order.
8. The Office is responsible for the administration and enforcement of chapter 560, Florida Statutes, and has jurisdiction over the subject matter and of Respondent pursuant to chapter 560, Florida Statutes.
9. The Findings of Fact that have been adopted herein serve as the basis of the entry of this Final Order against Respondent.
10. Section 120.569(2)(a), Florida Statutes, and Rule 28-106.111(2), Florida Administrative Code, require, among other things, that a response or a petition to an action which affects the substantial interests of a party be filed with the agency within 21 days of receipt of written notice of the action.
12. Section 120.569(2)( c ), Florida Statutes, provides that a petition for hearing shall be dismissed if it has been untimely filed (not within 21 days).
13. Pursuant to Rule 28-106.111(4), Florida Administrative Code, the failure of Respondent to timely respond to the Complaint constitutes a waiver of Respondent's right to an administrative proceeding.
14. The doctrine of equitable tolling can be applied in administrative cases when a party has been misled or lulled into inaction, i.e., has in some extraordinary way, been prevented from asserting his rights, or has timely asserted his rights in the wrong forum. Machules v. Dept. of Admin., 523 So. 2d 1132 (Fla. 1988).
15. Without any evidence of equitable tolling, it is appropriate for the Office to conclude there was none. Patz v. Dept. of Health, 864 So.2d 79, 80 (Fla. 3d DCA 2003).
16. When Respondent failed to submit a response to the Office on or before October 12, 2026, Respondent did not timely file a petition or any other document in response to the Complaint. Respondent also presented no claim, or evidence of equitable tolling. Therefore, it is appropriate for the Office to conclude there was no equitable tolling and Respondent waived their right to an administrative proceeding.
17. Based on the Findings of Fact adopted herein, the Office concludes that Respondent violated the specific statutes and rules charged in the Complaint and, as such, the specific charges in the Complaint are adopted in this Final Order as Conclusions of Law.
18. The Findings of Fact and Conclusions of Law that form the basis for the Complaint, together with the waiver of a hearing by Respondent, constitute grounds for the Office to suspend Respondent, VIAMERICAS CORPORATION, Money Services Business license number FT20800102 and impose an administrative fine against VIAMERICAS CORPORATION.
Based on the foregoing Findings of Fact and Conclusions of Law, it is hereby
ORDERED:
A. Within thirty (30) days of the date of this Final Order, Respondent shall pay an ADMINISTRATIVE FINE of Twenty-Seven Thousand Six Hundred Dollars ($27,600.00).
B. Respondent shall submit the administrative fine in the form of a wire, money order or cashier's check made payable to the "Office of Financial Regulation." Such payment shall reference Case Number 132707 and shall be sent to the attention of Agency Clerk, c/o Bianca Lherisson, P.O. Box 8050, Tallahassee, FL 32314-8050.
C. Effective thirty (30) days from the date of this Final Order, Money Services Business license FT20800102 is hereby SUSPENDED for a period of seventy-four (74) days.
DONE and ORDERED this ~ day of November, 2026, in Tallahassee, Leon County, Florida.

Pursuant to the Disciplinary Guidelines for Money Services Businesses Form OFR- 560-09, incorporated by reference in Rule 69V-560.1000, Florida Administrative Code (2019), violation number 48, a licensee cited for a second violation of section 560.126(3), Florida Statutes, is subject to a “B” level administrative fine and a “B” level suspension of license.
54. Therefore, the Office is seeking a "B" level administrative fine, and a "B" level license suspension.
55. The above general allegations are hereby re-alleged and incorporated by reference as if fully stated herein.
56. Pursuant to 560.208(4), Florida Statutes, a licensee must place assets that are the property of a customer in a segregated account in a federally insured financial institution and shall maintain separate accounts for operating capital and the clearing of customer funds.
57. As part of its examination, the Office reviewed Respondent's Florida Money Transmission accounts.
58. As part of its examination, the Office issued a records request ("Records Request 25") on August 19, 2025, which sought an explanation for debits and credits identified in various bank accounts and the purposes of each bank account disclosed as Florida Money Transmission accounts.
59. In response to the records request, Respondent provided a flow of funds document for both collection and concentration of funds, and a written statement from a vendor that performs services on behalf or through Viamericas Corporation.
60. Respondent's statement indicates that both check cashing and money transmission transactions are swept via ACH to a Viamericas corporate account (# ending in 3209) at North American Bank on a daily basis, and the statement supports the commingling of funds received for check cashing and money transmission transactions to the ultimate parent accounts held by Viamericas Corporation.
61. The Office found that Respondent's Florida consumer funds transmission for remittance abroad are centralized in various "concentration accounts": Bank of America, N.A. account(# ending 6807), Wells Fargo Bank account(# ending 0393), Woodforest Bank account (# ending 5032), and North American Bank account(# ending 3209).
62. The Office found that funds are transferred to Respondent's Bank of America, N.A. zero balance "expense account" which may ultimately cover checks, business expenses, courier service fees and or transmission on behalf of other state transactions and/or correspondent bank account funding. At the end of each day, the remaining zero balance account balance is then transferred back to the concentration account.
63. Respondent failed to place funds received for transmission from customers into a segregated account in a federally insured financial institution, ultimately commingled consumer funds with its own funds and used consumer funds to pay operational/business expenses, in violation of 560.208( 4 ), Florida Statutes.
64. Pursuant to the Disciplinary Guidelines for Money Services Businesses Form OFR- 560-09, incorporated by reference in Rule 69V-560.1000, Florida Administrative Code (2019), violation number 51, a licensee cited for a violation of section 560.208(4), Florida Statutes, is subject to a "B" level administrative fine and a "B" level suspension of license.
65. Therefore, the Office is seeking a "B" level administrative fine, and a "B" level license suspension.
WHEREFORE, Respondent, VIAMERICAS CORPORATION, is hereby notified that the Office intends to enter an Order imposing an appropriate administrative fine against Viamericas Corporation, as well as suspension of money services business license number FT20800102.
