HAVING SEEN:

File No. 2025018375, regarding the request for authorization to organize a financial crowdfunding platform administrator company, which will be named Securite Sociedad Administradora de Plataforma de Financiamiento Participativo Financiero S.A.C., as well as Report No. 802-2025-SMV/12.1 of June 13, 2025;

CONSIDERING:

That, by letter dated April 25, 2025, Music Securities Inc. and Abaco Savings and Credit Cooperative requested authorization for the organization of a financial crowdfunding platform administrator company to be named Securite Sociedad Administradora de Plataforma de Financiamiento Participativo Financiero S.A.C., which may use the abbreviated name Securite PFPF S.A.C.;

That, according to the information presented, the aforementioned organizers will have a shareholding of 90% and 10%, respectively, in the social capital of Securite Sociedad Administradora de Plataforma de Financiamiento Participativo Financiero S.A.C.;

That, from the evaluation of the documentation presented, it is evident that the organizers of Securite Sociedad Administradora de Plataforma de Financiamiento Participativo Financiero S.A.C. have met the requirements for obtaining the organization authorization established in Articles 7 and 8 of the Regulations on the Activity of Financial Crowdfunding and its Administrator Companies, approved by SMV Resolution No. 045-2021-SMV/02 (hereinafter, the Regulations), as developed in Report No. 802-2025-SMV/12.1 of the General Directorate of Research and Innovation;

That, furthermore, as no objections to the organization of the aforementioned financial crowdfunding platform administrator company or to the persons organizing it were presented within the term established by Article 8 of the Regulations, the requested authorization must be granted;

Being in accordance with the provisions of Title IV of Urgency Decree No. 013-2020, by which the Executive Power approved measures promoting the financing of MSMEs, Entrepreneurships and Startups; in Chapter I of Title II of the Regulations; as well as the provisions of item i) of paragraph 11 of Article 53 of the Regulations on Organization and Functions of the Securities Market Superintendency, approved by Supreme Decree No. 216-2011-EF and its amendments;

RESOLVES:

Article 1.- Grant to Music Securities Inc. and Abaco Savings and Credit Cooperative the authorization for the organization of a financial crowdfunding platform administrator company to be named Securite Sociedad Administradora de Plataforma de Financiamiento Participativo Financiero S.A.C.

Article 2.- The organization authorization referred to in the preceding article will have an irrevocable validity of one (01) year from its notification to the organizers.

Article 3.- This resolution does not authorize Securite Sociedad Administradora de Plataforma de Financiamiento Participativo Financiero S.A.C. to carry out the activity of financial crowdfunding. For this purpose, it must previously obtain the respective operational authorization from the Securities Market Superintendency.

Article 4.- This resolution must be published in the Official Gazette El Peruano within a period not exceeding fifteen (15) business days.

Article 5.- Order the dissemination of this resolution on the Institutional Portal of the Securities Market Superintendency, on the Peruvian State's single digital platform (www.gob.pe/smv).

Article 6.- Notify this resolution to Music Securities Inc. and Abaco Savings and Credit Cooperative in their capacity as organizers.
