File No. 2026035308, as well as Internal Report No. 1326-2026-SMV/11.1, from the General Superintendent of Conduct Supervision of the Adjacent Superintendent of Market Conduct Supervision.
Considering:
That, by means of a written submission presented on August 3, 2026, Loomis Holder Spain, S.L., Sociedad Unipersonal requested the Securities Market Superintendence to register the Information Prospectus and the other documents of the Prior Public Acquisition Offer to be made by said company for up to 100% of the voting common shares representing the share capital of Hermes Transportes Blindados S.A., in the section "On CPA and OPC" of the Public Registry of the Securities Market; That, in accordance with Article 12 of the Regulations on Public Acquisition Offers and Purchase of Securities by Exclusion, approved by CONASEV Resolution No. 009-2006-EF/94.10 and its amendments, the aforementioned request is processed under a prior evaluation procedure with positive administrative silence, not subject to renewal; being that the competent body of the SMV has a period of ten business days to evaluate the aforementioned request and issue a pronouncement; That, within the framework of the evaluation of the documentation and information presented on August 3, 2026 by Loomis Holder Spain, S.L., Sociedad Unipersonal, through Office No. 3887-2026-SMV/11.1 of August 14, 2026, the General Superintendent of Conduct Supervision formulated various observations on the Information Prospectus and other documentation referred to the Prior Public Acquisition Offer to be made by Loomis Holder Spain, S.L., Sociedad Unipersonal for up to 100% of the voting common shares representing the share capital of Hermes Transportes Blindados S.A.; That, subsequently, taking into account the documentation and information presented on August 19, 2026 by Loomis Holder Spain, S.L., Sociedad Unipersonal, through Office No. 3998-2026-SMV/11.1 of August 20, 2026, the General Superintendent of Conduct Supervision reiterated some observations on the Information Prospectus and other documentation presented;

The integrity of the document and the authorship of the signature(s) can be verified at https://apps.firmaperu.gob.pe/web/validador.xhtml That, by means of a written submission of August 26, 2026, Loomis Holder Spain, S.L., Sociedad Unipersonal submitted documentation to respond to the observations reiterated by Office No. 3998-2026-SMV/11.1; noting that said company has reasonably completed the documentation and information requirements required by Article 12 of the Regulations on Public Acquisition Offers and Purchase of Securities by Exclusion, for the purpose of proceeding with the registration of the Information Prospectus and other documents of the Prior Public Acquisition Offer on the voting common shares representing the share capital of Hermes Transportes Blindados S.A. in the section "On CPA and OPC" of the Public Registry of the Securities Market; That, Article 12 of the Regulations on Public Acquisition Offers and Purchase of Securities by Exclusion provides that this resolution must be notified to the offeror and the target company, the latter being required to disseminate it as a material event; as well as that, the day following the notification of the resolution that orders the registration of the information prospectus and the other documents of the offer in the Public Registry of the Securities Market, the offeror must send the notice to the Securities Market Superintendence, the stock exchange and the target company, specifying the start and end dates of the offer's validity; That, in accordance with the last paragraph of Article 12 of the Regulations on Public Acquisition Offers and Purchase of Securities by Exclusion, the offeror is responsible before the market and the Securities Market Superintendence for compliance with the obligations generated by the offer, established in the securities market regulations in general, and in the aforementioned regulations in particular, which must be complied with due diligence; That, Article 7, numeral 14, of the Policy on Dissemination of Normative Projects, General Legal Norms, Early Agenda and Other Administrative Acts of the SMV, approved by SMV Resolution No. 014-2014-SMV/01 and its amending norms, establishes that any administrative decision that in the opinion of the deciding body generates the effects provided for in Article 5 of the aforementioned norm, that is, that in addition to its particular scope, have a general effect with respect to an indeterminate set of persons or whose rights may be affected by such decisions, must be subject to dissemination through the Institutional Website of the SMV on the Digital Platform of the Peruvian State for Citizen Orientation (www.gob.pe/smv); and, Being in accordance with the provisions of Articles 73
and 76 of the Single Text of the Ordered Law of the Securities Market, Legislative Decree No. 861, approved by Supreme Decree No. 020-2023-EF; Article 12 of the Regulations on Public Acquisition Offers and Purchase of Securities by Exclusion; as well as Article 46, numeral 5, of the Regulations on Organization and Functions of the Securities Market Superintendence, approved by Supreme Decree No. 216-2011-EF and its amendments, which authorizes the General Superintendent of Conduct Supervision to resolve all procedures linked to public acquisition offers of securities. Resolves:
Article 1st.- Order the registration of the Information Prospectus and the other documents of the Prior Public Acquisition Offer to be formulated by Loomis Holder Spain, S.L., Sociedad Unipersonal for up to 100% of the voting common shares representing the share capital of Hermes Transportes Blindados S.A. in the section "On CPA and OPC" of the Public Registry of the Securities Market.
Article 2nd.- Loomis Holder Spain, S.L., Sociedad Unipersonal, the day following the notification of this resolution, must send the offer notice to the Securities Market Superintendence, to the stock exchange and to the target company, specifying the start and end dates of the offer's validity, in observance of Article 12 of the Regulations on Public Acquisition Offers and Purchase of Securities by Exclusion.
Article 3rd.- In observance of Article 13 of the Regulations on Public Acquisition Offers and Purchase of Securities by Exclusion, the notice containing the start and end dates of the validity of the Prior Public Acquisition Offer formulated by Loomis Holder Spain, S.L., Sociedad Unipersonal for up to 100% of the voting common shares representing the share capital of Hermes Transportes Blindados S.A. must be published by the Lima Stock Exchange S.A. in its daily bulletin throughout the validity of the aforementioned offer. Likewise, the target company must disseminate said notice as a material event on the date it was sent by the offeror.
Article 4th.- Loomis Holder Spain, S.L., Sociedad Unipersonal is responsible before the market and the Securities Market Superintendence for compliance with the obligations generated by the offer, established in the securities market regulations in general, and in the Regulations on Public Acquisition Offers and Purchase of Securities by Exclusion in particular, which must be complied with due diligence.
Likewise, throughout the validity of the Prior Public Acquisition Offer, Loomis Holder Spain, S.L., Sociedad Unipersonal must make available to interested parties, free of charge, copies of the information prospectus in the offices of the agent society acting as intermediary in the offer.
Article 5th.- The registration of the Information Prospectus and the other documents of the Prior Public Acquisition Offer formulated by Loomis Holder Spain, S.L., Sociedad Unipersonal for up to 100% of the voting common shares representing the share capital of Hermes Transportes Blindados S.A. in the Public Registry of the Securities Market does not limit the supervisory powers of the Securities Market Superintendence during the validity of the offer; likewise, the aforementioned registration has not involved administrative verification activities, nor inspection, nor audit of the information presented, nor an examination of the economic and financial situation of the offeror and/or target company, and does not imply certification by the Securities Market Superintendence on the merit of the offer, the consideration, the solvency of the parties involved, nor on the risks associated with the securities or the operation subject of the offer; being the offeror responsible for the truthfulness of the information presented to the market.
Likewise, by virtue of Article 17 of the Regulations on Public Acquisition Offers and Purchase of Securities by Exclusion, the Securities Market Superintendence, at its discretion, by means of a reasoned resolution, may suspend or annul the validity of the public acquisition offer, at any time, when the existence of false, inaccurate or

Article 6th.- Disseminate this Resolution on the Institutional Website of the SMV on the Digital Platform of the Peruvian State for Citizen Orientation (www.gob.pe/smv).
Article 7th.- Transcribe this resolution to Loomis Holder Spain, S.L., Sociedad Unipersonal, in its capacity as offeror; to Hermes Transportes Blindados S.A., in its capacity as target company; to BBVA Bolsa Sociedad Agente de Bolsa S.A., in its capacity as intermediary agent, to the Lima Stock Exchange S.A.; and, to CAVALI S.A. I.C.L.V.
