The General Superintendent of Conduct Supervision

Having seen:

File No. 2025055208, as well as Internal Report No. 1944-2025-SMV/11.1, from the General Superintendent of Conduct Supervision of the Adjacent Superintendence of Market Conduct Supervision.

Considering:

That, by means of a written submission presented on December 22, 2025, Stracon Group Holding Inc. requested the Securities Market Superintendence – SMV, through the Single Window system, the registration of the foreign securities denominated as voting common shares of Stracon Group Holding Inc. in the Public Registry of the Securities Market – RPMV and in the Securities Registry of the Lima Stock Exchange – RBVL;

That, from the review carried out on the information and documentation presented by Stracon Group Holding Inc., it has been noted that, in the session of the competent body of said company on November 7, 2025, it was agreed, among other things, to register the voting common shares of Stracon Group Holding Inc. in the Public Registry of the Securities Market and in the Securities Registry of the Lima Stock Exchange;

That, in accordance with what is established in article 28, numeral 28.3, of the Regulation on Registration and Exclusion of Securities in the Public Registry of the Securities Market and in the Stock Exchange Wheel, approved by SMV Resolution No. 031-2012-SMV/01 and its modifying norms, the Lima Stock Exchange S.A., through Letter EMI-637/2025, informed the SMV of the conclusions of its evaluation of the documentation and information presented by Stracon Group Holding Inc. for the purposes of the procedure;

That, Stracon Group Holding Inc. presented the documentation and information required by the SMV, complying with the requirements established in article 29 of the Regulation on Registration and Exclusion of Securities in the Public Registry of the Securities Market and in the Stock Exchange Wheel, for the purposes of registering its voting common shares representing its share capital, which have the status of foreign securities that are admitted to trading on a Stock Exchange abroad included in Section I of Annex No. 15 of the aforementioned regulation;

That, in accordance with what is established in article 24, numeral 24.1, subsection 24.1.1, of the Regulation on Registration and Exclusion of Securities in the Public Registry of the Securities Market and in the Stock Exchange Wheel, if the security is previously registered in any Stock Exchange or Organized Market of Foreign countries included in Section I of Annex No. 15 of the aforementioned regulation, the issuer and its securities are subject exclusively to the norms and provisions of their home market and, therefore, the norms of public acquisition offer and public purchase offer by exclusion are not applicable to them;

That, article 7, numeral 6, of the Policy on Dissemination of Normative Projects, General Character Legal Norms, Early Agenda and Other Administrative Acts of the SMV, approved by SMV Resolution No. 014-2014-SMV/01 and its modifying norms, establishes that the decisions contained in administrative resolutions that resolve, among others, the registration of securities in the Public Registry of the Securities Market, must be subject to dissemination through the Institutional Page of the SMV on the Digital Platform Unique of the Peruvian State for Citizen Orientation (www.gob.pe/smv); and,

Being in accordance with what is established by article 19 and following of the Single Ordered Text of the Securities Market Law, Legislative Decree No. 861, approved by Supreme Decree No. 020-2023-EF; articles 24, 28 and 29 of the Regulation on Registration and Exclusion of Securities in the Public Registry of the Securities Market and in the Stock Exchange Wheel; as well as article 46, numeral 6, of the Organization and Functions Regulation of the SMV, approved by Supreme Decree No. 216-2011-EF and its modifying norms, which authorizes the General Superintendent of Conduct Supervision to order the registration of securities in the Public Registry of the Securities Market.

Resolves:

Article 1°.- Order the registration of the voting common shares representing the share capital of Stracon Group Holding Inc. in the Public Registry of the Securities Market, under the responsibility of the Securities Market Superintendence.

Article 2°.- Rule in favor of the registration of the securities indicated in the preceding article in the Securities Registry of the Lima Stock Exchange.

Article 3°.- The registration of the securities referred to in this resolution has not involved administrative verification or inspection activities, nor audit of the information presented, nor an examination of the economic-financial situation of the issuer, in accordance with what is established by article 21 of the Single Ordered Text of the Securities Market Law.

Likewise, the registration of the aforementioned securities does not imply certification by the Securities Market Superintendence – SMV regarding their goodness, the solvency of the issuer, nor regarding the risks of the security or the offer; the issuer being responsible for the veracity of the information presented to the market, in accordance with what is established by articles 13 and 24 of the Single Ordered Text of the Securities Market Law.

Article 4°.- Disseminate this Resolution on the Institutional Page of the SMV on the Digital Platform Unique of the Peruvian State for Citizen Orientation (www.gob.pe/smv).

Article 5°.- Transcribe this resolution to Stracon Group Holding Inc., in its capacity as issuer; to the Lima Stock Exchange S.A.; and, to CAVALI S.A. I.C.L.V.
