File No. 2026007428, as well as Internal Report No. 234-2026-SMV/11.1 of February 24, 2026, from the General Superintendent of Conducts Supervision of the Adjacent Superintendent of Conducts Supervision of Markets.

Considering:

That, by means of a written submission presented on February 16, 2026, BBVA Peru Bank requested the Securities Market Superintendence – SMV, within the framework of an advance proceeding, the registration of the issuance program named "Sixth Subordinated Bonds Program of BBVA Peru Bank", up to a maximum issuance amount of S/ 1,000,000,000.00 (One Billion and 00/100 Soles) or its equivalent in United States Dollars, and the registration of the respective Master Prospectus in the Public Registry of the Securities Market – RPMV;

That, on the same occasion, BBVA Peru Bank requested the registration of the securities named "First Issuance of the Sixth Subordinated Bonds Program of BBVA Peru Bank", up to an amount of S/ 500,000,000.00 (Five Hundred Million and 00/100 Soles), and the registration of the respective Master Prospectus Complement in the Public Registry of the Securities Market – RPMV and in the Securities Registry of the Lima Stock Exchange;

That, from the documentation and information presented as support for the request to which this resolution refers, it has been noted that in the Mandatory Annual Non-Presential Shareholders' Meeting of BBVA Peru Bank on March 27, 2025, among other things, the approval of the framework programs and their respective issuances and/or single issuances of obligations, in the local and/or international market, public or private, up to a maximum outstanding amount of US$ 4,800,000,000.00 (Four Billion Eight Hundred Million and 00/100 United States Dollars) and/or its equivalent in Soles was agreed upon; and the delegation to the Board of Directors of the company of the authority to decide on the timing and number of the framework programs and their respective issuances and/or single issuances, amount, type, term, and, in general, the other conditions of each issuance, as well as the class of obligations that will be issued, which, based on market conditions, may consist of any class of obligations that current legal norms allow BBVA Peru Bank to issue, including – among others – subordinated bonds;

That, likewise, it has been noted that in the Board of Directors meeting of BBVA Peru Bank on October 30, 2025, among other things, the issuance of subordinated bonds through an issuance program that would be named "Sixth Subordinated Bonds Program of BBVA Peru Bank", up to the amount of S/ 1,000,000,000.00 (One Billion and 00/100 Soles) or its equivalent in United States Dollars, prior to the approval and favorable opinion of the Superintendence of Banks, Insurance and AFP – SBS; as well as empowering the gentlemen Fernando Eguiluz Lozano, Esther Dafauce Velázquez, Ruth Anabelí González Velapatiño, Sandra Elba Bianco Roa, Frank Erick Babarczy Rodríguez, Javier De La Vega Castro, or any other official who holds type B powers contemplated in the power structure of BBVA Peru Bank, to act, two of them jointly or each individually, to initiate the necessary procedures before the corresponding administrative authorities in order to obtain all necessary authorizations and favorable opinions and, in general, to initiate and carry out all procedures and processes, as well as negotiate and conclude contracts and determine the conditions, terms and characteristics of the program and of each of the issuances to be made under it, without reservation or limitation of any kind, and to sign all public and private contracts and documents required;

That, by means of SBS Resolution No. 00370-2026 of February 05, 2026, the SBS resolved, among other things, to give a favorable opinion for BBVA Peru Bank to issue instruments representing subordinated debt, computable as effective level 2 equity, within the framework of the "Sixth Subordinated Bonds Program of BBVA Peru Bank", up to a maximum amount of S/ 1,000,000,000.00 (One Billion and 00/100 Soles) or its equivalent in United States Dollars;

That, BBVA Peru Bank has presented the documentation and information requirements required by the Single Consolidated Text of the Securities Market Law, Legislative Decree No. 861, approved by Supreme Decree No. 020-2023-EF; as well as by the Regulation of Primary Public Offer and Sale of Securities, approved by CONASEV Resolution No. 141-1998-EF/94.10, and its modifying and complementary norms;

That, article 7, numeral 6, of the Policy on Dissemination of Normative Projects, General Character Legal Norms, Early Agenda and Other Administrative Acts of the SMV, approved by SMV Resolution No. 014-2014-SMV/01 and its modifying norms, establishes that the decisions contained in administrative resolutions that resolve the registration of securities and the registration of the corresponding informative prospectuses for the issuance programs, within the framework of an advance proceeding, in the Public Registry of the Securities Market, must be subject to dissemination through the Institutional Page of the SMV on the Unique Digital Platform of the Peruvian State for Citizen Orientation (www.gob.pe/smv); and,

Being in accordance with the provisions of articles 58 and following of the Single Consolidated Text of the Securities Market Law; as well as article 46, numerals 4 and 6, of the Regulation of Organization and Functions of the Securities Market Superintendence, approved by Supreme Decree No. 216-2011-EF and its amendments, which authorizes the General Superintendent of Conducts Supervision to resolve the requests submitted by the regulated entities related to primary public offers and to evaluate and/or resolve any procedure linked to such offers, as well as to dispose of the registration of securities in the Public Registry of the Securities Market.

Resolves:

Article 1.- To dispose, within the framework of an advance proceeding, the registration of the issuance program named "Sixth Subordinated Bonds Program of BBVA Peru Bank", up to a maximum issuance amount of S/ 1,000,000,000.00 (One Billion and 00/100 Soles) or its equivalent in United States Dollars, as well as the registration of the respective Master Prospectus in the Public Registry of the Securities Market – RPMV.

Article 2.- To dispose, within the framework of the "Sixth Subordinated Bonds Program of BBVA Peru Bank", the registration of the securities named "First Issuance of the Sixth Subordinated Bonds Program of BBVA Peru Bank", up to the amount of S/ 500,000,000.00 (Five Hundred Million and 00/100 Soles), as well as the registration of the respective Master Prospectus Complement, in the Public Registry of the Securities Market – RPMV.

Article 3.- To pronounce in favor of the registration of the securities referred to in the preceding article in the Securities Registry of the Lima Stock Exchange.

Article 4.- The registration of the securities and the registration of the Master Prospectus Complements that are carried out within the framework of the program referred to in article 1 of this resolution, will be carried out under an automatic approval procedure, insofar as BBVA Peru Bank maintains its status as a qualified entity and it concerns the issuance of typical securities. Otherwise, the registration of the securities and the registration of the corresponding prospectuses will be subject to the provisions of article 14, numeral 14.3.2, of the Regulation of Primary Public Offer and Sale of Securities.

Article 5.- The issuances and/or offers that are made, by public offer, within the framework of the program referred to in article 1 of this resolution, in accordance with what is established in article 14, numeral 14.2.3, of the Regulation of Primary Public Offer and Sale of Securities, may be carried out during the six (06) years following the date of registration of the issuance program, a term that has the character of non-extendable.

After three (03) years from the validity of the registration of the program and within the thirty (30) calendar days following, the issuer must present an updated master prospectus that consolidates all variations made to it as of the date of its presentation, as well as the update of the remaining documentation and information that is relevant, otherwise it will not be able to formulate new offers until it complies with said procedure.

Article 6.- The placement of the securities registered and to be registered within the framework of the "Sixth Subordinated Bonds Program of BBVA Peru Bank" may be carried out within a non-extendable term that will not exceed three (3) years, counted from the date of their registration in the Public Registry of the Securities Market – RPMV, provided that the validity term of the registration of the program and the advance proceeding have not ended, as well as that the corresponding information and documentation are duly updated, in accordance with what is provided by article 25 of the Regulation of Primary Public Offer and Sale of Securities.

Article 7.- The registration of the issuance program and of the securities referred to in articles 1 and 2 of this resolution has not involved administrative activities of verification, nor inspection, nor audit of the information presented, nor an examination of the economic-financial situation of the issuer and does not imply certification by the Securities Market Superintendence – SMV regarding its goodness, the solvency of the issuer, nor regarding the risks of the security or the offer; the issuer is responsible for the truthfulness of the information presented to the market, in accordance with what is provided by articles 13, 21, 24 and 65 of the Single Consolidated Text of the Securities Market Law.

Likewise, the registration of the issuance program and of the securities, as well as the registration of the Master Prospectus and the Master Prospectus Complement, do not imply that the Securities Market Superintendence – SMV recommends investment in the securities or gives a favorable opinion on the business prospects. The documents and information for a complementary evaluation are available to interested parties in the Public Registry of the Securities Market.

Article 8.- To disseminate this resolution on the Institutional Page of the SMV on the Unique Digital Platform of the Peruvian State for Citizen Orientation (www.gob.pe/smv).

Article 9.- To transcribe this resolution to BBVA Peru Bank, in its capacity as issuer and structuring entity; to BBVA Bolsa Sociedad Agente de Bolsa S.A., in its capacity as placement agent; to Banco Interamericano de Finanzas, in its capacity as Bondholders' Representative; to the Lima Stock Exchange S.A.; and, to CAVALI S.A. ICLV.
