That, by Superintendent Resolution No. 024-2015- SMV/02 of February 17, 2015, operating authorization was granted to Autoplan Collective Fund Administrator Company S.A. (hereinafter, AUTOPLAN) to operate in the market as a collective fund administrator; That, any transfer of shares that allows a natural or legal person to exceed direct or indirect ownership of more than ten percent (10%) of the social capital of an Entity, as well as any act of encumbrance, trust, management agreements or other legal acts that involve directly or indirectly more than ten percent (10%) of the shares representing the social capital of the Entity and that grant a third party the exercise of voting rights in said percentage, must have prior authorization from the Securities Market Superintendence (SMV). The integrity of the document and the authorship of the signature(s) can be verified at https://apps.firmaperu.gob.pe/web/validador.xhtml through indirect ownership, in accordance with what is established in article 12 of the COMMON STANDARDS and article 3 of the Regulation of Indirect Ownership, Linkage and Economic Group, approved by SMV Resolution No. 019-2015-SMV-01; That, as a consequence thereof, with writings submitted until November 26, 2025, AUTOPLAN requested authorization for the transfer of shares by more than 10% through indirect ownership for the transfer of shares from Mr. Juan Pablo Constantino Chirinos Gilardi in favor of Lucia María Chirinos Gilardi, Ximena María Chirinos Gilardi, Gabriel Chirinos Gilardi and Álvaro Paulo Chirinos Sattler. However, in the last case, as of the date, the shareholder has more than 30% of the participation in AUTOPLAN. Therefore, said transfer does not require authorization from the SMV:
That, entities that require operating authorization from the SMV, must constitute the minimum capital required by the regulations, as well as carry out successive capital increases to cover possible losses during the first years of the entity's operations and maintain the minimum equity required by the regulations. This minimum parameter must also be applicable to measure the economic solvency of its shareholders, regardless of whether the transfer was made as a donation; That, in this sense, the economic solvency of the applicants is evaluated considering their economic capacity to: i) contribute the aliquot of the minimum capital established by the regulations, if it were to constitute an entity in equitable treatment to any other organizer; and, ii) make any eventual contributions that might occur if the situation requires it, in order to face losses without putting the continuity of the entity at risk, guarantee the normal development of its activities and avoid the risk of incurring situations of non-compliance with minimum prudential parameters that could result in the suspension or revocation of its operating authorization; That, in accordance with article 5, letter i), clause i.5, and article 12 of the COMMON STANDARDS, natural persons who request to acquire authorization for the acquisition, among others, of indirect ownership of more than 10% of shares of an Entity must present a sworn statement of patrimonial assets, with an age not greater than thirty (30) days. In it, the applicant must include their patrimonial assets and indicate if these assets are subject to any type of encumbrance or limitation for free availability, as well as a list of their debts; That, the economic solvency of the shareholders is determined from the sworn statement of patrimonial assets and the sworn statement of source of funds, as well as the information that the SMV may obtain in the framework of its supervisory functions; That, in accordance with the evaluation of the documentation presented, it has been determined that Lucia María Chirinos Gilardi and Ximena María Chirinos Gilardi do not have the necessary economic solvency to make the capital contributions in the administrator society. This, considering that they have not accredited having sufficient resources to reach the sum of said contribution, as well as to make capital increases that may be necessary in the future in AUTOPLAN. Consequently, it does not correspond to grant authorization to Lucia María Chirinos Gilardi and Ximena María Chirinos Gilardi to be shareholders for 8.33% of the shares of AUTOPLAN, respectively;
