Guidance on Restricted Securities

Issuers and applicants for admission must enter into Restriction Agreements with holders of Restricted Securities, submit copies to the Listing Authority with the draft Listing Application or pricing statement, and apply Holding Locks to prevent transfers during the Restriction Period. Restricted Securities must be excluded from free float calculations using the maximum expected offer price, and issuers must disclose the existence, holders, and lock-up periods of these securities in the Prospectus. Transfers of Restricted Securities during the Restriction Period are prohibited unless permitted by the Listing Authority, and listed entities must maintain systems to enforce these restrictions and manage the release of securities for trading.
