Guidelines on Issuance of Convertible Debt Securities by Public Companies

In Pakistan, any company except a single member company and one without share capital may issue convertible debt securities via private placement or public offering, though only a public limited company may use public offering. Issuers must obtain section 83 Companies Act, 2017 approval, structure CDS under the Structuring of Debt Securities Regulations, 2020, appoint an Investment agent or Debt Securities Trustee, and, for public offerings, appoint a CTI, Underwriter(s) and Share Registrar, publish the prospectus in English and Urdu newspapers seven to thirty days before subscription, and list on the Pakistan Stock Exchange. Only eligible investors may invest in privately placed CDS.
