Guidelines with respect to excusing or excluding an investor from an investment of AIF

All AIFs may excuse an investor from a particular investment where the investor confirms, on legal advice, that participation would violate applicable law or regulation, or where the investor had disclosed in the contribution or other agreement that participation would contravene its internal policy. The manager must ensure the agreement requires reporting of any change in that internal policy to the AIF within 15 days. An AIF may exclude an investor where the manager is satisfied participation would violate applicable law or regulation or materially adversely affect the scheme; where the investor is itself an AIF or investment vehicle, partial excuse or exclusion is permitted to the extent of its underlying investors. The manager must record the rationale and supporting documents. The circular takes immediate effect.
