Introduction
Under Section 4C(h) of the State Bank of Pakistan (SBP) Act, 1956, SBP is empowered to issue licenses/authorizations to financial institutions falling within its regulatory domain. From time to time, SBP has issued licensing guidelines for its regulated entities. These licensing/authorization guidelines have now been updated and consolidated into a comprehensive document titled the “Handbook for Licensing/Authorization of Regulated Entities”.
This licensing handbook forms part of a broader set of requirements that outline SBP’s approach to licensing/authorization of institutions intending to operate in Pakistan as a Bank, Digital Bank, Microfinance Bank, Exchange Company, Electronic Money Institution, Payment System Operator/ Payment Service Provider, or Private Credit Bureau. SBP’s licensing/authorization approach is generally aligned with the international standards such as the Basel Core Principles, Financial Action Task Force (FATF) Recommendations, and other international best practices, while being adapted to the local environment to ensure a secure, efficient, and transparent financial system. The Handbook prescribes the fundamental licensing/authorization requirements, processes, and documentation for submission of applications, and sets out the eligibility criteria and key characteristics that will form the basis for their assessment under various licensing/authorization categories. This document serves as a reference point for prospective applicants and should be read in conjunction with the relevant SBP’s prudential regulations, guidelines, and circulars as specified in the document. It is the responsibility of the applicants to ensure that licensed institutions’ internal policies, governance structures, and risk management frameworks align with SBP’s regulatory requirements. Words and expressions used herein but not defined shall have the same meaning as assigned to them in the State Bank of Pakistan Act, 1956; the Banking Companies Ordinance, 1962; the Companies Act, 2017; the Microfinance Institutions Ordinance, 2001; the Foreign Exchange Regulation Act, 1947; the Payment Systems and Electronic Fund Transfers Act, 2007; the Credit Bureaus Act, 2015, the Anti-Money Laundering Act, 2010; or in any other relevant laws, rules, regulations, instructions, circulars, guidelines or frameworks.
