Article (1): Legal Basis
The provisions of these instructions (Insurance Governance Instructions No. (1) for the year 2022) are derived from Clause (2) of Paragraph (b) and Paragraph (d) of Article (18), and Paragraphs (d) and (e) of Article (24), and Paragraph (b) of Article (109) of the Law Regulating Insurance Business No. (12) for the year 2021, and shall be effective from 15/2/2022.

Article (2): Definitions
For the purposes of these instructions, the following terms shall have the meanings assigned to them below:

1. The Law: The Law Regulating Insurance Business No. (12) for the year 2021.
2. Governance: The system of rules, practices, and processes by which an insurance company is directed and controlled, encompassing the relationship between the company's management, its board, its shareholders, and other stakeholders, and the rules and procedures for making decisions, setting objectives, monitoring performance, and ensuring accountability and transparency, as well as the mechanisms for balancing the interests of all parties.
3. Board of Directors: The board of directors of the insurance company.
4. Conflict of Interest: A situation where a person's personal interests conflict with their duties and responsibilities as a member of the board of directors of the insurance company, potentially affecting their impartiality, or where a person holds a position that allows them to influence decisions that benefit themselves or related parties, including those who hold special positions within the company or related parties.
5. Stakeholders: Individuals or entities having an interest in the insurance company, such as shareholders, employees, customers, creditors, regulators, and the public.
6. Advisory Position: A position held by an individual whose role is to advise the insurance company and provide support without having decision-making authority.

7. Independent Member: A member of the board of directors who does not hold any position within the company, and whose independence is assessed based on the criteria set out in Clause (7) of these instructions.
8. Senior Executive Management: The senior executives of the insurance company who are responsible for the day-to-day management of the company and who have the authority to make decisions on behalf of the company or who significantly influence the company's activities.
9. Regulatory Authorities: The Central Bank and other relevant authorities.
10. Technical Departments: Departments responsible for actuarial and underwriting functions, as well as other departments related to the insurance business.
11. Support Departments: Departments that provide support services to the main departments, such as human resources, finance, and information technology.

Article (3): Insurance Company Governance Manual

• The insurance company shall prepare a governance manual, which shall be approved by the board of directors, and shall include the principles and standards of governance applicable to the company, as well as the policies and procedures for implementing them.
• The governance manual shall be specific to each insurance company and shall include the company's specific governance principles, as well as the roles and responsibilities of the board of directors and its committees, and shall be updated regularly.

Article (4): Publication of the Governance Manual

• The insurance company shall publish its governance manual on its website, and shall make it available to the Central Bank upon request.
• The insurance company shall also publish a summary of its governance manual on its website, and shall ensure that the manual is accessible to the public, and that it is updated regularly.

Article (5): Formation of the Board of Directors

• The board of directors shall consist of a minimum of five members, and a maximum of eleven members.
• The board of directors shall be elected by the shareholders' general assembly.
• The board of directors shall include at least one independent member, and at least one member who is a representative of the employees, and at least one member who is a woman.

Article (6): Conditions for Board Members
A person shall not be eligible to be a member of the board of directors unless they meet the following conditions:

• They are an Iraqi citizen or a citizen of a country that has a reciprocal agreement with Iraq, and they have not been convicted of a crime involving moral turpitude or fraud, and they are not bankrupt or insolvent, and they are not disqualified from holding public office, and they are not a member of the board of directors of more than three insurance companies, and they do not hold any other position in the insurance company that conflicts with their duties as a board member.
• They are not a person who holds a position in the insurance company or in any of its subsidiaries, and they are not a relative of any person who holds such a position.
• They are not a person who has been dismissed from a position in an insurance company due to misconduct or negligence.
• They have the necessary qualifications and experience to perform their duties as a board member, and they have a good reputation and integrity.

Article (7): Independence of Board Members
The following persons shall not be considered independent members of the board of directors:

1. A person who is an employee of the insurance company or any of its subsidiaries during the last three years.
2. A person who is an employee of the insurance company or any of its subsidiaries during the last three years.
3. A person who is a relative of a member of the board of directors or a senior executive of the insurance company, or a relative of a shareholder who holds more than 5% of the company's shares.
4. A person who is an employee of the insurance company or any of its subsidiaries, or a relative of an employee of the insurance company or any of its subsidiaries, who holds a position that involves significant influence over the company's activities.
5. A person who is a relative of a member of the board of directors or a senior executive of the insurance company, or a relative of a shareholder who holds more than 5% of the company's shares, and who holds a position in the company or any of its subsidiaries.
6. A person who is a relative of a member of the board of directors or a senior executive of the insurance company, or a relative of a shareholder who holds more than 5% of the company's shares, and who holds a position in the company or any of its subsidiaries.
7. A person who is a relative of a member of the board of directors or a senior executive of the insurance company, or a relative of a shareholder who holds more than 5% of the company's shares, and who holds a position in the company or any of its subsidiaries.
8. A person who is a relative of a member of the board of directors or a senior executive of the insurance company, or a relative of a shareholder who holds more than 5% of the company's shares, and who holds a position in the company or any of its subsidiaries.

• The Central Bank shall issue guidelines for determining the independence of board members, and shall publish them on its website.

Article (8): Suitability of Board Members
A- The board of directors shall ensure that its members are suitable for their positions, and that they have the necessary qualifications, experience, and skills to perform their duties effectively, and that the insurance company has a process for assessing the suitability of its board members. B- The board of directors shall assess the suitability of its members, and shall ensure that they have the necessary qualifications, experience, and skills to perform their duties effectively, and that they are not disqualified from holding public office, and that they are not bankrupt or insolvent, and that they have a good reputation and integrity, and that they are not subject to any conflict of interest, and that they are not subject to any regulatory sanctions, and that they are not subject to any criminal convictions, and that they are not subject to any civil judgments, and that they are not subject to any administrative sanctions, and that they are not subject to any professional sanctions, and that they are not subject to any disciplinary sanctions, and that they are not subject to any other sanctions. C- The insurance company shall ensure that its board members are suitable for their positions, and that they have the necessary qualifications, experience, and skills to perform their duties effectively, and that they are not disqualified from holding public office, and that they are not bankrupt or insolvent, and that they have a good reputation and integrity, and that they are not subject to any conflict of interest, and that they are not subject to any regulatory sanctions, and that they are not subject to any criminal convictions, and that they are not subject to any civil judgments, and that they are not subject to any administrative sanctions, and that they are not subject to any professional sanctions, and that they are not subject to any disciplinary sanctions, and that they are not subject to any other sanctions. Article (9): Board of Directors Meetings
A- The board of directors shall hold at least four meetings per year, and shall hold such meetings as may be necessary to perform its duties effectively. B- The chairman of the board of directors shall convene a meeting of the board of directors upon the request of at least one-third of its members, or upon the request of the Central Bank. C- The insurance company shall provide the board of directors with all the information necessary for it to perform its duties effectively, and shall ensure that the board of directors has access to all the information necessary for it to perform its duties effectively. D- The board of directors shall keep minutes of its meetings, and shall ensure that the minutes are accurate and complete, and shall ensure that the minutes are signed by the chairman of the board of directors and the secretary of the board of directors.

Article (10): Duties of the Board of Directors
A- The board of directors shall perform the following duties:

1. To approve the strategic plan of the insurance company, and to ensure that it is implemented effectively.
2. To oversee the management of the insurance company, and to ensure that it is managed effectively and efficiently, and to ensure that the insurance company complies with all applicable laws and regulations.
3. To review the financial statements of the insurance company, and to ensure that they are accurate and complete, and to ensure that they are prepared in accordance with applicable accounting standards.
4. To establish an internal audit function, and to ensure that it is independent and effective, and to ensure that it reports directly to the board of directors.
5. To establish a risk management function, and to ensure that it is independent and effective, and to ensure that it reports directly to the board of directors.
6. To establish a compliance function, and to ensure that it is independent and effective, and to ensure that it reports directly to the board of directors.
7. To establish a governance function, and to ensure that it is independent and effective, and to ensure that it reports directly to the board of directors.
8. To establish a remuneration function, and to ensure that it is independent and effective, and to ensure that it reports directly to the board of directors.
9. To establish a nomination function, and to ensure that it is independent and effective, and to ensure that it reports directly to the board of directors.
10. To establish a sustainability function, and to ensure that it is independent and effective, and to ensure that it reports directly to the board of directors.
11. To establish a technology function, and to ensure that it is independent and effective, and to ensure that it reports directly to the board of directors.
12. To establish a data function, and to ensure that it is independent and effective, and to ensure that it reports directly to the board of directors.
13. To establish a cybersecurity function, and to ensure that it is independent and effective, and to ensure that it reports directly to the board of directors.
14. To establish a privacy function, and to ensure that it is independent and effective, and to ensure that it reports directly to the board of directors.
15. To establish a ethics function, and to ensure that it is independent and effective, and to ensure that it reports directly to the board of directors.
16. To establish a corporate social responsibility function, and to ensure that it is independent and effective, and to ensure that it reports directly to the board of directors.
17. To establish a stakeholder engagement function, and to ensure that it is independent and effective, and to ensure that it reports directly to the board of directors.
18. To establish a investor relations function, and to ensure that it is independent and effective, and to ensure that it reports directly to the board of directors.
19. To establish a board evaluation function, and to ensure that it is independent and effective, and to ensure that it reports directly to the board of directors.
20. To establish a board succession planning function, and to ensure that it is independent and effective, and to ensure that it reports directly to the board of directors.

B- The chairman of the board of directors shall perform the following duties:

1. To preside over meetings of the board of directors and the executive committee.
2. To represent the board of directors in its relations with the management of the insurance company and with external parties.
3. To ensure that the board of directors has all the information necessary for it to perform its duties effectively.
4. To ensure that the board of directors has a process for evaluating its performance.
5. To ensure that the board of directors has a process for evaluating the performance of its committees.
6. To ensure that the board of directors has a process for evaluating the performance of the management of the insurance company.
7. To ensure that the board of directors has a process for evaluating the performance of the board of directors.
8. To ensure that the board of directors has a process for evaluating the performance of the chairman of the board of directors.
9. To ensure that the board of directors has a process for evaluating the performance of the secretary of the board of directors.

C- The secretary of the board of directors shall perform the following duties:

1. To prepare the agenda for meetings of the board of directors and its committees.
2. To prepare the minutes of meetings of the board of directors and its committees.
3. To ensure that the minutes of meetings of the board of directors and its committees are accurate and complete.
4. To ensure that the minutes of meetings of the board of directors and its committees are signed by the chairman of the board of directors and the secretary of the board of directors.
5. To ensure that the minutes of meetings of the board of directors and its committees are distributed to all members of the board of directors and its committees.
6. To ensure that the minutes of meetings of the board of directors and its committees are kept in a safe place.
7. To ensure that the minutes of meetings of the board of directors and its committees are accessible to all members of the board of directors and its committees.
8. To ensure that the minutes of meetings of the board of directors and its committees are accessible to the Central Bank upon request.
9. To ensure that the minutes of meetings of the board of directors and its committees are accessible to the public upon request.

Article (11): Limits of Liability and Accountability
A- The board of directors shall be liable for the following:

1. For any breach of the provisions of these instructions.
2. For any breach of the provisions of the Law.
3. For any breach of the provisions of the articles of association of the insurance company.
4. For any breach of the provisions of the governance manual of the insurance company.
5. For any breach of the provisions of the strategic plan of the insurance company.
6. For any breach of the provisions of the financial statements of the insurance company.
7. For any breach of the provisions of the internal audit report of the insurance company.
8. For any breach of the provisions of the risk management report of the insurance company.
9. For any breach of the provisions of the compliance report of the insurance company.
10. For any breach of the provisions of the governance report of the insurance company.
11. For any breach of the provisions of the remuneration report of the insurance company.
12. For any breach of the provisions of the nomination report of the insurance company.
13. For any breach of the provisions of the sustainability report of the insurance company.
14. For any breach of the provisions of the technology report of the insurance company.
15. For any breach of the provisions of the data report of the insurance company.
16. For any breach of the provisions of the cybersecurity report of the insurance company.
17. For any breach of the provisions of the privacy report of the insurance company.
18. For any breach of the provisions of the ethics report of the insurance company.
19. For any breach of the provisions of the corporate social responsibility report of the insurance company.
20. For any breach of the provisions of the stakeholder engagement report of the insurance company.
21. For any breach of the provisions of the investor relations report of the insurance company.
22. For any breach of the provisions of the board evaluation report of the insurance company.
23. For any breach of the provisions of the board succession planning report of the insurance company.

B- The board of directors shall be liable for any damage caused to the insurance company as a result of its negligence or misconduct. C- The board of directors shall be liable for any damage caused to the insurance company as a result of its negligence or misconduct. D- The board of directors shall be liable for any damage caused to the insurance company as a result of its negligence or misconduct. E- The board of directors shall be liable for any damage caused to the insurance company as a result of its negligence or misconduct. F- The board of directors shall be liable for any damage caused to the insurance company as a result of its negligence or misconduct. G- The board of directors shall be liable for any damage caused to the insurance company as a result of its negligence or misconduct. Article (12): Committees Derived from the Board of Directors
The board of directors shall establish the following committees:
A- Governance and Compliance Committee

1. The committee shall consist of at least three members, and shall be chaired by an independent member of the board of directors.
2. The committee shall perform the following duties:
   a. To oversee the governance of the insurance company. b. To oversee the compliance of the insurance company with all applicable laws and regulations.
   c. To review the governance manual of the insurance company.
   d. To review the compliance manual of the insurance company. e. To review the risk management manual of the insurance company. f. To review the internal audit manual of the insurance company. g. To review the remuneration manual of the insurance company. h. To review the nomination manual of the insurance company.
   i. To review the sustainability manual of the insurance company.
   j. To review the technology manual of the insurance company. k. To review the data manual of the insurance company.
   l. To review the cybersecurity manual of the insurance company.
   m. To review the privacy manual of the insurance company. n. To review the ethics manual of the insurance company. o.
