Interpretation Regarding Articles 16(3), 21(4), and the Proviso of Article 24(1) of the Implementation Measures for Internal Control and Audit Systems of Financial Holding Companies and Banks

The following are the provisions of the competent authority regarding securities finance companies as referred to in Article 16(3), Article 21(4), and the proviso of Article 24(1) of the Implementation Measures for Internal Control and Audit Systems of Financial Holding Companies and Banks:

1. Securities finance companies with net assets reaching NT$10 billion or more and total assets reaching NT$1 billion or more after the final settlement of the previous accounting year shall appoint individuals at the rank of Deputy General Manager or above, or those with equivalent responsibilities, to serve as Chief Compliance Officer, Chief Risk Management Officer, and Chief Information Security Officer.

2. Securities finance companies whose net assets and total assets do not reach the scale specified in Item 1 shall appoint individuals at the rank of Assistant General Manager or above, or those with equivalent responsibilities, to serve as Chief Compliance Officer, Chief Risk Management Officer, and Chief Information Security Officer. The Chief Compliance Officer may concurrently serve as the head of the legal affairs unit or the head of a non-business management unit. The information security head and information security personnel of the dedicated information security unit may concurrently handle information duties.

3. Securities finance companies shall complete adjustments to comply with the provisions of Items 1 and 2 above by December 31, 2027 (Republic of China Year 116).

4. This order takes effect from the date of issuance. The order issued by this Commission on June 12, 2015 (Document No. Jin Guan Yin Piao Zi No. 10440002790) and the order issued on May 16, 2022 (Document No. Jin Guan Yin Piao Zi No. 11101302162) are hereby repealed with immediate effect.
