CHAPTER ONE: GENERAL
PROVISIONS
Article One: Purpose of this Law
This Law governs the payment system.
Article 2: Scope of this Law
This Law applies to the oversight, supervision, management, operation and administration of the payment system and payment services as well as their applicable regulations.
Article 3: Definitions
In this Law, the following terms are defined as follows:

CHAPITRE PREMIER:
DISPOSITIONS GÉNÉRALES
Article premier : Objet de la présente loi
La présente loi régit le système de paiement.
Article 2 : Champ d’application de la
présente loi
La présente loi s’applique au contrôle, à la supervision, à la gestion, à l’opération et à l’administration du système de paiement et aux services de paiement ainsi qu’à leurs règlementations applicables.
Article 3 : Définitions
Aux fins de la présente loi, les termes repris ci-après ont les significations suivantes :

1° amabwiriza agenga uburyo bwo kwishyurana: inyandiko ikubiyemo ibikurikizwa mu kwishyurana ishobora kuba amategeko agenga ikigo, ubwumvikane bwanditse, amasezerano, cyangwa izindi nyandiko zitangiwe ibimenyetso byanditse; 2° amasezerano y’ubugwate mu by’imari: amasezerano ateganya iyegurirwa ry’ingwate cyangwa atariteganya yaba ashingiye cyangwa adashingiye ku yandi masezerano y’ibanze cyangwa ku bigenga imikoranire rusange; 3° ibibazo byaterwa n’abagize uburyo bwo kwishyurana:
ibibazo bishobora guterwa n’uko umwe mu bafite uruhare mu buryo bwo kwishyurana atazabasha kubahiriza inshingano mu buryo bwo kwishyurana byatuma abandi bafite uruhare mu buryo bwo kwishyurana cyangwa ibigo by’imari biri mu bindi bice by’uburyo bwo kwishyurana batabasha kwishyura imyenda yabo iyo igejeje igihe; 1° rules: a document that contains a set of guidelines of the payment system whether made under bylaws, written agreements, procedures, contracts, or other documents that are evidenced in writing; 2° financial collateral arrangement:
a title transfer financial collateral arrangement or a security financial collateral arrangement whether or not these are covered by a master agreement or general terms and conditions; 3° systemic risk: the risk that the inability of one of the participants to meet its obligations, or a disruption in the system itself, could result in the inability of other participants or of financial institutions in other parts of the financial system to meet their obligations as they become due; 1° règles : document qui contient un ensemble de lignes directrices du système de paiement, qu’elles soient établies en vertu de règlements, d’accords écrits, de procédures, de contrats ou autres documents qui sont prouvés par écrit ; 2° contrat de garantie financière :
contrat de garantie financière avec transfert de propriété ou contrat de garantie financière avec constitution de sûreté, qu’il soit couvert ou non par un accord-cadre ou par des conditions et modalités générales; 3° risque systémique: risque causé par l’incapacité d’un des participants à remplir ses obligations ou une perturbation du système lui-même qui se traduit par l’incapacité d’autres participants ou celle des institutions financières dans d’autres composantes du système financier à remplir leurs obligations lorsqu’elles sont exigibles ;

4° ibikurikizwa mu kugezwaho serivisi: ibishyirwaho na Banki Nkuru y’u Rwanda bikubiyemo ibisabwa kugira ngo ikigo kigire uruhare mu buryo bwo kwishyurana; 5° icyemezo cy’inyandiko z’agaciro:
inyandiko iri mu mpapuro igaragaza ko uwo yanditseho afite uburenganzira ku mutungo cyangwa ku mwenda afitiwe; 6° igikoresho cyo kwishyurana:
igikoresho cyangwa uburyo byumvikanyweho hagati y’utanga n’uwakira serivisi zo kwishyurana byifashishwa mu guhererekanya amafaranga; 7° igikorwa cyo gukurikirana igihombo: uburyo bwose rusange buteganywa n’amategeko bwo guhagarika imirimo y’umuntu cyangwa y’ikigo cyangwa kuzahura, iyo ubwo buryo bugamije iseswa cyangwa kugabanya ihererekanya cyangwa iyishyura ry’amafaranga mu Rwanda; 4° access regime: a regime imposed by the National Bank of Rwanda that includes terms and conditions of an entity’s participation in the payment system; 5° certificate: a physical document that evidences the ownership claim in, indebtedness of, or other outstanding obligations of the issuer; 6° payment instrument: a personalized device or set of procedures agreed between the payment service user and the payment service provider and used in order to initiate a payment order; 7° insolvency proceeding: any collective measure provided for in the Laws either to wind up a person or entity or to reorganize it, where such measure involves its suspension, or imposing limitations on transfers or payments in Rwanda; 4° régime d’accès : régime imposé par la Banque Nationale du Rwanda qui comprend les modalités et conditions de participation d’une entité au système de paiement ; 5° certificat : document sur support physique faisant apparaître un droit de propriété, une dette ou toute autre obligation non échue de l’émetteur; 6° instrument de paiement :
dispositif personnalisé ou ensemble de procédures convenu entre l’utilisateur et le prestataire de services de paiement et auquel on a recours pour initier un ordre de paiement ; 7° procédure d’insolvabilité : toute mesure collective prévue par la législation, aux fins soit de déclarer la cessation des activités d’une personne ou d’une entité, soit de la réorganiser, lorsqu’une telle mesure implique la suspension ou une limitation des transferts ou des paiements au Rwanda ;

Article 5: Investigative powers of the
National Bank of Rwanda The National Bank of Rwanda may at any time request from payment service providers or payment system operators any information, document, clarification, proof and any other element it may require. The National Bank of Rwanda may appoint its own auditors or any other persons to carry out inspections of payment system and payment service providers. The auditors may seize or take copy of any relevant documents or any other material that can be a source of information in order to effectively exercise their duties. The National Bank of Rwanda may instruct the external auditors to audit the payment system, operators, issuers of payment instruments and participants.

PAYMENT SYSTEMS AND ACCESS REGIME
Article 8: Designation of payment
systems
If the National Bank of Rwanda is of the opinion that a clearing and settlement system may pose a systemic risk and that it is in the public interest to do so, the National Bank of Rwanda may take a directive specifying a system as a designated payment system. A directive designating the payment system specifies the arrangements which constitute the payment system, including:
1° the designated payment system; 2° the documents that evidence the rules of that payment system; 3° the operator; 4° conditions to which the designation is subject. CHAPITRE III : DÉSIGNATION DES SYSTÈMES DE PAIEMENT ET RÉGIME D’ACCÈS

Article 9: Procedure for designation of
payment system
The designation process may be initiated in the following ways:
1° by the National Bank of Rwanda which may advise the payment system operator to apply for the designation; 2° voluntarily, by the payment system operator to apply to the National Bank of Rwanda for designation. The National Bank of Rwanda may issue a designation directive in respect of payment system only if it is satisfied that any deficiencies in the design of the system, or any disruption of its operation, would be likely to threaten the stability of, or confidence in, the Rwandan financial system, or to have serious consequences La Banque Nationale du Rwanda édicte des règlements régissant la désignation des systèmes de paiement.
Article 9 : Procédure de désignation du

Article 10: Criteria for designation of
payment system
In designating a payment system, the National Bank of Rwanda considers the following:
1° the number and value of the transactions that the system presently processes or is likely to process in the future; 2° the nature of the transactions that the system processes; 3° whether those transactions could be handled by other payment systems; 4° the relationship between the system and other systems.
Article 11: Revocation of the designation
directive
The designation of a payment system by the National Bank of Rwanda is effective until revoked. l’activité bancaire ou sur d’autres intérêts à travers le pays.
Article 10 : Critères de désignation d’un

Article 11 : Révocation de la directive de
désignation
La désignation d’un système de paiement par la Banque Nationale du Rwanda reste valable jusqu’à sa révocation.

1° gushyiraho amabwiriza agenga uburyo bwo kwishyurana; The National Bank of Rwanda may revoke a designation directive if it realises that the designated payment system no longer satisfies the criteria set out in Article 10 of this Law. The National Bank of Rwanda considers a request by the operator of a designated payment system for the revocation of its designation directive.
Article 12: Principles, rules and
directives of payment system The National Bank of Rwanda may, by directives, publish principles and code of practice governing operators of designated payment systems. The National Bank of Rwanda requires the operator of a designated payment system:
1° to establish rules for the operation of the payment system; La Banque Nationale du Rwanda peut révoquer une directive de désignation lorsqu’elle constate que le système de paiement désigné ne satisfait plus aux critères énoncés à l’article 10 de la présente loi. Article 12 : Principes, règles et
directives du système de paiement La Banque Nationale du Rwanda peut, par voie de directives, publier les principes et un code de pratique régissant les opérateurs des systèmes de paiement désignés. La Banque Nationale du Rwanda exige à l’opérateur d’un système de paiement désigné de :
1° mettre en place des règles pour le fonctionnement du système de paiement;

2° guhindura amabwiriza agenga uburyo bwo kwishyurana mu buryo busobanutse cyangwa hagamijwe kugera ku ntego yihariye; 3° kumenyesha Banki Nkuru y’u Rwanda impinduka izo ari zo zose ishaka gukora ku mabwiriza agenga uburyo bwo kwishyurana; Ushinzwe imikoreshereze y’uburyo bwo kwishyurana bwagenwe agomba kubanza kubyemererwa na Banki Nkuru y’u Rwanda mbere yo gushyira mu bikorwa impinduka zose zakorwa ku mabwiriza agenga uburyo bwo kwishyurana. Banki Nkuru y’u Rwanda ishobora guha amabwiriza ushinzwe imikoreshereze y’uburyo bwo kwishyurana bwagenwe. Ayo mabwiriza ashobora:
1° gutegeka cyangwa kubuza igikorwa icyo ari cyo cyose cyagenwe mu mikorere y’uburyo bwo kwishyurana; 2° gushyiraho ibipimo ngenderwaho byubahirizwa mu mikorere y’uburyo bwo kwishyurana. 2° to change the rules in a specified way or so as to achieve a specified purpose; 3° to notify the National Bank of Rwanda of any proposed change to the rules. The operator of a designated payment system must obtain a prior approval from the National Bank of Rwanda before implementing any changes to the rules. The National Bank of Rwanda may give directives to the operator of a designated payment system. Such directions may:
1° require or prohibit the taking of specified action in the operation of the system; 2° set standards to be met in the operation of the system. 2° modifier les règles d’une manière spécifique ou de manière à atteindre un but déterminé; 3° notifier à la Banque Nationale du Rwanda toute proposition de modification des règles. L’opérateur du système de paiement désigné doit obtenir l’approbation préalable de la Banque Nationale du Rwanda avant de mettre en œuvre toutes modifications aux règles. La Banque Nationale du Rwanda peut donner des instructions à l’opérateur d’un système de paiement désigné. Ces instructions peuvent :
1° exiger ou interdire toute action dans le fonctionnement du système; 2° établir les normes à respecter dans le fonctionnement du système.

Ingingo ya 13: Imiterere y‘amabwiriza agenga uburyo bwo kwishyurana Amabwiriza agenga uburyo bwo kwishyurana ashobora kuba inyandiko zerekeranye n’ibikurikizwa mu kwishyurana, amategeko ngengamikorere y’ikigo, ubwumvikane bwanditse, amasezerano cyangwa izindi nyandiko zitangiwe ibimenyetso byanditse kandi zishingirwaho:
1° mu gutanga no kwakira amabwiriza yo kwishyurana; 2° mu kugena no kubara amafaranga agomba kwishyurwa; 3° mu kwishyura haba hashingiwe ku gikorwa kimwe cyo kwishyura cyangwa hakoreshejwe ihwanyabwishyu; 4° mu gikorwa kigomba gukorwa mu gihe ugira uruhare mu buryo bwo kwishyurana nta bushobozi afite Rules applicable to a designated payment system are valid and binding on the system operator and the participants in their activities.
Article 13: Forms of the rules of the
payment system
The rules of the payment system may be made under procedures, bylaws, written agreements, contracts or other documents that are evidenced in writing and which serve for the basis on which:
1° payment instructions are given or received; 2° payment obligations are determined and calculated; 3° settlements are effected either on a gross basis or using clearing; 4° an action to be taken if a participant is unable or likely to become Les règles applicables au système désigné de paiement sont valables et obligatoires pour l’opérateur et pour les participants dans leurs activités.

1° kumenya niba ibikurikizwa mu kugezwaho uburyo bwo kwishyurana biri mu nyungu rusange; 2° inyungu z’abagira uruhare mu buryo bwo kwishyurana, abashinzwe imikoreshereze y’ubwo buryo n’abashinzwe isozabwishyu; unable to meet the participant’s obligations.
Article 14: Access regime
The National Bank of Rwanda may impose an access regime in respect of a payment system on the person who determines access to the system, regardless of whether it is a system participant, a system operator or a settlement agent, on such terms and conditions as the National Bank of Rwanda may consider appropriate. In considering whether to impose an access regime under Paragraph One of this
Article, the National Bank of Rwanda
takes into consideration the following:
1° whether the imposition of the access regime in respect of the system is in the public interest; 2° the interests of the current system participants, system operator and settlement agent; respecter ses obligations en tant que participant.

1° si l’imposition du régime d’accès à l’égard de ce système est dans l’intérêt public; 2° les intérêts des participants au système actuel, de l’opérateur et de l’organe de règlement;

3° inyungu z’abantu bashobora gukenera cyangwa kwifuza kugezwaho izo servisi; 4° ikindi kibazo cyose Banki Nkuru y’u Rwanda yabona ko gikwiriye. Banki Nkuru y’u Rwanda, mu gushyiraho ibikurikizwa mu kugezwaho serivisi zivugwa mu gika cya kabiri (2) cy’iyi ngingo, igenzura ko ibikurikizwa mu kugezwaho ubwo buryo bikorwa mu mucyo, nta vangura kandi hakurikijwe igipimo cy’ibikenewe. Banki Nkuru y’u Rwanda ifite ububasha bwo kugira ibyo ihindura cyangwa gutesha agaciro ibikurikizwa mu kugezwaho uburyo bwo kwishyurana buvugwa mu gika cya 2 cy’iyi ngingo. UMUTWE WA IV: SERIVISI ZO KWISHYURANA Ingingo ya 15: Ubwoko bwa serivisi zo kwishyurana Serivisi zo kwishyurana zirimo ubwoko bukurikira:
3° the interests of persons who may require or desire access to the system; 4° such other matter as the National Bank of Rwanda may consider to be relevant. The National Bank of Rwanda, in imposing an access regime under Paragraph 2 of this Article, ensures that the access regime is fair, not discriminatory and proportionate. The National Bank of Rwanda has the authority to make variations or to revoke an access regime referred to in Paragraph 2 of this Article.
CHAPTER IV: PAYMENT SERVICES
Article 15: Types of payment services
Payment services are of the following types:

CHAPITRE IV : SERVICES DE PAIEMENT
Article 15 : Types de services de
paiement
Les services de paiement relèvent des types suivants :

1° imirimo ituma amafaranga ashobora kubitswa cyangwa kubikuzwa kuri konti yo kwishyuriraho n’ibindi bikorwa byose bisabwa mu gukoresha konti yo kwishyuriraho; 2° ishyirwa mu bikorwa ryo kwishyurana, harimo kohereza amafaranga kuri konti yishyurirwaho y’utanga serivisi zo kwishyurana ukoresha izo serivisi cyangwa kohereza ku kindi kigo gitanga serivisi zo kwishyurana iyo ayo mafaranga ari kuri konti y’ukoresha serivisi zo kwishyurana:
a) ku buryo ayo mafaranga ahita akurwa kuri konti, bishingiye ku mabwiriza y’uwishyurwa; b) hifashishijwe ikarita yo kwishyurana cyangwa ubundi buryo bisa; c) hakoreshejwe uburyo bwo kohererezanya amafaranga, hashingiwe ku mabwiriza y’uwishyura, harimo n’amabwiriza yo kwishyura ngarukagihe; 1° services enabling cash to be placed on, or withdrawn from a payment account as well as all the operations required for operating a payment account; 2° execution of payment transactions, including transfers of funds on a payment account with the user’s payment services provider or with another payment services provider, whether the funds are covered by a credit line for a payment service user:
a) execution of direct debits, including one-off direct debits; b) execution of payment transactions through a payment card or a similar device; c) execution of credit transfers, including standing orders; 1° les services permettant de verser ou de retirer des espèces sur un compte de paiement, y compris toutes les opérations qu’exige la gestion d’un compte de paiement; 2° l’exécution d’opérations de paiement, y compris les transferts de fonds sur un compte de paiement auprès du prestataire de services de paiement de l’utilisateur ou auprès d’un autre prestataire de services de paiement lorsque ces fonds sont couverts par une ligne de crédit accordée à l’utilisateur des services de paiement:
a) l’exécution de prélèvements automatiques, y compris les débits directs de caractère unique ; b) l’exécution d’opérations de paiement par une carte de paiement ou un dispositif similaire; c) l’exécution de virements, y compris d’ordres permanents ;

3° itangwa ry’ibikoresho byo kwishyurana; 4° iyakira ry’ibikorwa byo kwishyura abishyurana bahibereye, hakoreshejwe interineti cyangwa binyuze k'ukusanya ubwishyu; 5° iyohereza ry’amafaranga ridasaba konti yo kwishyurana; 6° itangwa rya serivisi zifasha gutangiza amabwiriza yo kwishyura; 7° itangwa n’icungwa rya serivisi z’amafaranga ari mu buryo bw’ikoranabuhanga; 8° izindi serivisi zo kwishyurana zagenwa na Banki Nkuru y’u Rwanda. Ingingo ya 16: Ibyiciro by’impushya za serivisi zo kwishyurana Banki Nkuru y’u Rwanda igena, ikoresheje amabwiriza rusange, ibyiciro by’impushya zo gutanga serivisi zo kwishyurana n’ibikurikizwa mu guhabwa uruhushya. Article 16: Categories of payment
service licenses
The National Bank of Rwanda determines, by means of regulations, categories of payment service licenses and licensing requirements. A person who wishes to carry on business in providing payment service must be 3° émission d’instruments de paiement; 4° acquisition d’opérations de paiement soit physiquement, en ligne ou à travers un agrégateur de paiement ; 5° la transmission de fonds ; 6° services d’initiation de paiement; 7° émission et gestion de services de monnaie électronique; 8° tous autres services de paiement pouvant être déterminés par la Banque Nationale du Rwanda.
Article 16 : Catégories d’agréments de
services de paiement
La Banque Nationale du Rwanda détermine, par règlements, les catégories d’agréments de services de paiement et les conditions d’octroi d’agréments. Une personne qui souhaite exercer une activité de services de paiement doit se

Ingingo ya 17: Ubusonerwe bwo gusaba uruhushya rwa serivisi zo kwishyurana Aba bakurikira basonerwa gusaba uruhushya rwo gukora umurimo ujyanye na serivisi zo kwishyurana:
1° Banki yabiherewe uruhushya na Banki Nkuru y’u Rwanda; 2° ikigo cy’imari iciriritse cyemerewe gutanga serivisi zo kwishyurana; 3° undi muntu cyangwa icyiciro cy’abantu bagenwa na Banki Nkuru y’u Rwanda. Ingingo ya 18: Impamvu zo kwamburwa cyangwa guhagarikirwa uruhushya Banki Nkuru y’u Rwanda ishobora, igihe icyo ari cyo cyose, gufata icyemezo cyo kwambura cyangwa guhagarika uruhushya yahaye utanga serivisi zo kwishyurana, iyo:
licensed in respect of the type of payment applied for in writing. The National Bank of Rwanda determines procedure for and the form of license application.
Article 17: Payment service licensing
exemptions
The following are exempted from applying for a license to carry on business in respect of any payment service:
1° a bank licensed by the National Bank of Rwanda; 2° a microfinance institution authorized to provide payment services; 3° such other person or class of persons as may be prescribed by the National Bank of Rwanda.
Article 18: Grounds for withdrawal or
suspension of license The National Bank of Rwanda may decide to withdraw or suspend the license granted to a payment service provider at any time if:

Article 18 : Motifs de retrait ou de
suspension de l’agrément La Banque Nationale du Rwanda peut à tout moment décider de retirer ou de suspendre l’agrément accordé à un prestataire de services de paiement si :

1° utanga serivisi zo kwishyurana atatanze izo serivisi mu gihe cy’amezi cumi n’abiri (12) akurikirana uhereye ku itariki yahereweho uruhushya; 2° utanga serivisi zo kwishyurana yaretse gutanga izo serivisi mu gihe kirenze ukwezi kumwe (1); 3° utanga serivisi zo kwishyurana yahawe na Banki Nkuru y’u Rwanda uruhushya akoresheje inyandiko z’impimbano cyangwa ubundi buryo bw’uburiganya; 4° ibyagendeweho ahabwa uruhushya bitacyubahirizwa; 5° itangwa rya serivisi zo kwishyurana zihungabanya imikorere ihamye y’urwego rw’imari mu Rwanda; 6° utanga serivisi zo kwishyurana yatangiye inzira y’igihombo; 7° isosiyete-mbyeyi y’utanga serivisi zo kwishyurana iri mu iseswa, bikaba byagira ingaruka mbi ku utanga serivisi zo kwishyurana; 1° the payment service provider has not provided the services within twelve (12) consecutive months from the date on which the license was granted; 2° the payment service provider has ceased to provide the services for a period of more than one (1) month; 3° the payment service provider has obtained the license from the National Bank of Rwanda through forged documents or any other fraudulent means; 4° the applicable licensing criteria are no longer met; 5° the provision of the payment services endangers the stability of the financial system in Rwanda; 6° the payment service provider enters into insolvency proceedings; 7° the holding company of the payment service provider is undergoing liquidation which may adversely affect the payment service provider; 1° le prestataire de services de paiement n’a pas fourni les services dans les douze (12) mois consécutifs suivant la date d’octroi de l’agrément; 2° le prestataire de services de paiement a cessé de fournir les services pendant plus d’un (1) mois; 3° le prestataire de services de paiement a obtenu l’agrément auprès de la Banque Nationale du Rwanda au moyen de faux documents ou de tout autre moyen frauduleux; 4° les critères d’agrément applicables ne sont plus respectés; 5° la fourniture des services de paiement met en péril la stabilité du système financier au Rwanda; 6° le prestataire de services de paiement est soumis à une procédure d’insolvabilité; 7° la société holding du prestataire de services de paiement fait l’objet d’une procédure de liquidation susceptible d’avoir des effets défavorables sur ce prestataire de services de paiement;

8° isanze uburyo bwo kwishyurana butagifitiye inyungu abafite uruhare muri ubwo buryo n’abandi bose muri rusange; 9° utanga serivisi yo kwishyurana yananiwe kubahiriza amategeko n'amabwiriza abigenga; 10° hari indi mpamvu Banki Nkuru y’u Rwanda ibona ko ikwiriye. Article 20: Validity of acts performed

Article 21: Duty of payment service

Article 22: Prohibition against
solicitation

Article 23: Place of business
A payment service provider must have a permanent place of business or a registered office in Rwanda before starting to carry on such services. Article 24: Fees to be paid by payment
service provider
A payment service provider pays an annual fee prescribed by the National Bank of Rwanda. The National Bank of Rwanda may prescribe different annual fees for different categories of payment service providers depending on the type and number of payment services they are licensed to carry on, their volume of transactions and other factors considered relevant.
Article 25: Interoperability of payment
accounts

CHAPTER V: OVERSIGHT OF
PAYMENT SYSTEMS AND
PAYMENT SERVICES
Article 26: Exercise of oversight powers
The National Bank of Rwanda has the power to oversee the payment system and payment services as follows:
1° to gather information for all designated payment systems and payment service providers in order to monitor the sector and identify any emerging risks; 2° to require a payment system that is identified as being systemically important to be designated; 3° to set standards, supervise and oversee designated payment system, participants and payment service providers; 4° to establish a crisis management and resolution framework for the payment system. Article 27: Regulatory fees and other
charges
The National Bank of Rwanda may impose regulatory fees and other charges:
1° to meet its direct and indirect costs incurred in providing its oversight, supervision and regulatory services to payment service providers, operators and participants; 2° for the provision of operational services and infrastructure.
Article 28: Consumer protection with
regard to payment services The payment service provider must protect a consumer of payment services in accordance with relevant Laws and regulations.
Article 29: Use of an agent
A payment service provider that intends to provide payment services to customers
Article 27 : Frais règlementaires et

Article 32: Liability
If the payment service provider or payment system operator relies on third parties for the performance of important operational functions, they remain fully liable for any acts of their employees, or any agent, branch or entity to which activities are outsourced.
Article 33: Appointment of an external
auditor
An operator or a payment service provider must designate at least one external auditor accredited by the National Bank of Rwanda. Article 33 : Nomination d’un auditeur
externe
Un opérateur ou un prestataire de services de paiement doit désigner au moins un auditeur externe accrédité par la Banque Nationale du Rwanda. L’auditeur externe nommé doit figurer sur une liste régulièrement établie par l’organisme professionnel de réglementation comptable.

Article 34: Requirements for the
disclosure of information The National Bank of Rwanda may disclose any information whose disclosure is, in its opinion, necessary and in the public interest to protect the integrity, effectiveness and security of the payment system. The confidentiality of information provisions does not apply to any disclosure made by a person in the performance of his or her functions under the Law or rules of a designated payment system. The confidentiality of information provisions does not apply when required by the court. Article 35: Financial collateral
arrangement
Financial collateral arrangement provides for:
1° the obligation to provide financial collateral; 2° an additional financial collateral to reflect changes in the value of the financial collateral, and guaranteed obligations; 3° a right to withdraw financial collateral through substitution or exchange. If an enforcement event occurs, the collateral taker immediately realizes any financial collateral provided under and subject to the terms agreed, and no prior notice or approval by the court or any other formality is required for the enforcement. The rights of the collateral taker over the financial collateral prevail over the rights of any other creditor of the collateral provider. Article 38: Non-retroactive effect on acts
prior to insolvency proceedings The provision of financial collateral cannot be declared invalid or revisited due to the opening of insolvency proceedings, if it was given before or on the day of the opening of insolvency proceedings and when it is evident that the collateral taker was unaware of the opening of insolvency proceedings.
Article 39: Netting process
The netting process takes place as follows:

Article 40: Validity and enforceability of
netting and close out netting If the rules of a designated payment system provide for netting, any netting in accordance with those rules is valid and enforceable. The provisions relating to insolvency do not apply to any netting in accordance with the rules of a designated settlement system. However, a netted balance is to be treated as an amount to which the provisions of the Law relating to insolvency applies if the insolvent party and another party both of whom are participants in a designated settlement system also have mutual credits, mutual debts, or other mutual dealings between them that are not netted in accordance with the rules of the designated payment system.
Article 40 : Validité et caractère

Article 41: Information mechanisms

Article 42: Duty to notify winding up
No participant in a payment system can be wound up except with prior notification to the National Bank of Rwanda. Lorsqu’un participant fait l’objet de liquidation, une copie de demande de liquidation et l’ordonnance de liquidation subséquente, qui consigne la minute, l’heure et le jour où l’ordonnance est rendue, sont déposées par le demandeur

Article 43: Definitive character of
designated payment systems A settlement that has been effected in accordance with this Law is final and irrevocable and may not be reversed or set aside. An insolvency proceeding opened against one of the participants of a payment system does not have retroactive effect on their respective obligations to pay if such obligations arose before the opening of the insolvency proceeding. The insolvency proceeding is implemented from the time when the operator is informed. Payment instructions which have been entered into the designated payment system are valid and cannot be challenged on any ground whatsoever, even due to dissolution of one of the operators of the designated payment system in case they are legally entered before commencement of the insolvency proceedings or the netting

La procédure d’insolvabilité ouverte à l’encontre de l’un des participants à un système de paiement n’a pas d’effet rétroactif sur leurs obligations respectives de payer si ces obligations sont nées avant l’ouverture de la procédure d’insolvabilité. La procédure d’insolvabilité est mise en œuvre à partir du moment où l’opérateur est informé. Les instructions de paiement qui ont été introduites dans le système de paiement désigné sont valables et ne peuvent être remises en cause pour quelque motif que ce soit, même en cas de dissolution de l’un des opérateurs du système de paiement désigné si elles y sont légalement introduites avant l’ouverture de la procédure d’insolvabilité

Article 44: Credit or debit of settlement
account
Settlement obligations are discharged with National Bank of Rwanda money through the passing of entries across the books of the National Bank of Rwanda. Notwithstanding the taking of insolvency proceedings against a participant in a designated system and without prejudice to the provisions of Article 43 of this Law on the definitive character, the settlement ou le netting a eu lieu après l’ouverture de la procédure d’insolvabilité. Article 44 : Crédit ou débit du compte de
règlement
Les obligations de règlement sont acquittées avec l’argent de la Banque Nationale du Rwanda en passant les écritures dans les livres de la Banque Nationale du Rwanda. Nonobstant l’ouverture d’une procédure d’insolvabilité à l’encontre d’un participant dans un système désigné et sans préjudice des dispositions de l’article 43 de la présente loi sur le caractère définitif,

agent may, if authorized under the applicable contractual provisions, make use of money or financial instruments available on the settlement account of the participant in order to settle any net debit balance the participant may owe after the netting. During the insolvency proceedings against a participant, the settlement agent is authorized to make use of credit lines granted to the participant or to realize any collateral provided by the participant with the aim of paying his or her obligations towards other participants in accordance with contractual conditions.
Article 45: Prohibition of attachment or
seizure
The balance of the settlement accounts may not be subject to attachment or seizure, except by the operator or the settlement agent. All funds deposited in a trust or a collection account:

Article 45 : Interdiction de saisie

Article 46: Safeguarding of funds
received from customers A payment service provider collecting funds on behalf of customers ensures that funds are safeguarded in one of the following manners as prescribed by the National Bank of Rwanda:
1° by depositing the same amount in a trust account maintained with an authorized safeguarding institution prescribed or specified by the National Bank of Rwanda; 2° by undertaking, from a safeguarding institution, to be fully liable to the customer of the relevant funds; 3° by the guaranty given by safeguarding institution for the amount of the collected funds; 1° ne sont pas disponibles pour le paiement des dettes du prestataire de services de paiement; 2° ne peuvent être payés ou pris en exécution d’une ordonnance ou d’une procédure d’une quelconque juridiction.
Article 46 : Sauvegarde des fonds reçus
des clients
Un prestataire de services de paiement qui collecte des fonds pour le compte de clients veille à ce que ces fonds soient protégés de l’une des manières suivantes prescrites par la Banque Nationale du Rwanda :
1° en déposant le même montant sur un compte fiduciaire ouvert auprès d’une institution de sauvegarde autorisée, désignée ou spécifiée par la Banque Nationale du Rwanda; 2° par un engagement, de la part d’une institution de sauvegarde, à être entièrement responsable envers le client des fonds concernés; 3° par la garantie donnée par l’institution de sauvegarde pour le montant des fonds collectés ;

4° ubundi buryo bwose bwateganywa na Banki Nkuru y’u Rwanda. Ikigo gicunga amafaranga n’utanga serivisi zo kwishyurana bagomba kwandika no kugumana inyandiko yinjijwe muri konti icungwa ukwayo kuri buri mukiriya ku birebana n’amafaranga y’uwo mukiriya. The safeguarding institution and payment service provider must record and maintain a separate book entry for each customer in relation to that customer’s funds. The payment service provider ensures that the proceeds of any such guaranty are payable upon insolvency of the payment service provider into a separate account held by the payment service provider which must:
1° be designated in such a way to show that it is an account which is held for the purpose of safeguarding the funds in accordance with this Article; 2° be used only for holding such proceeds on trust for the customers who had provided the funds to the payment service provider. 4° de toute autre manière pouvant être prescrite par la Banque Nationale du Rwanda. L’institution de sauvegarde et le prestataire de services de paiement doivent enregistrer et conserver une écriture comptable distincte pour chaque client par rapport aux fonds de ce client. 1° être désigné de manière à montrer qu’il s’agit d’un compte détenu dans le but de sauvegarder les fonds conformément au présent article; 2° être utilisé uniquement pour détenir ce produit en fiducie pour les clients qui ont fourni les fonds au prestataire de services de paiement.

Article 47: Crisis management power
The National Bank of Rwanda, in the framework of averting any disruption in payment systems which may adversely affect the country’s monetary and financial stability, is of the opinion that:
1° the operator or payment service provider is or is likely to become insolvent, or that it is or is likely to become unable to meet its obligations, or that it has suspended or is about to suspend payments; 2° the operator or payment service provider has contravened any of the prescribed conditions; 3° it is in the public interest to do so; may:
1° require the operator or the payment service provider to immediately take any action or to do or not to do any act in relation to his or her business as the
Article 47 : Pouvoir de gestion de crise
La Banque Nationale du Rwanda si, pour éviter toute perturbation des systèmes de paiement pouvant nuire à la stabilité monétaire et financière du pays, est d’avis que :
1° l’opérateur ou le prestataire de services de paiement est ou est susceptible de devenir insolvable ou est ou risque de ne plus être en mesure de s’acquitter de ses obligations ou qu’il a suspendu ou est sur le point de suspendre ses paiements; 2° l’opérateur ou le prestataire de services de paiement a contrevenu à l’une des conditions prévues; 3° il est dans l’intérêt public de le faire ; peut :
1° obliger l’opérateur à prendre immédiatement une mesure ou à accomplir ou à ne pas accomplir un quelconque acte en rapport avec ses

National Bank of Rwanda may consider necessary; 2° appoint one or more persons as statutory adviser, on such terms as the National Bank of Rwanda may specify, to advise the operator or the payment service provider on the proper management of his or her business as the National Bank of Rwanda may determine; 3° assume control of and manage the business of the operator or a payment service provider as the National Bank of Rwanda may determine, or appoint one or more persons as statutory manager to do so on such terms as specified.
Article 48: Applicable Laws in case of
conflicting Laws governing a payment system In the event of insolvency of a foreign participant in Rwanda, his or her following settlement-related rights and obligations are governed by the Laws of Rwanda:

conflit de lois régissant un système de paiement En cas d’insolvabilité d’un participant étranger au Rwanda, ses droits et ses obligations suivants concernant le règlement sont régis par la législation rwandaise :

1° uburenganzira n’inshingano bikomoka ku kugira uruhare mu buryo bwo kwishyurana cyangwa bifitanye isano na rwo; 2° ibisabwa byerekeye kunonosora amasezerano y’ubugwate mu by’imari yerekeye ingwate yinjijwe muri konti n’itangwa ry’ingwate mu by’imari yerekeye ingwate yinjijwe muri konti hakurikijwe ayo masezerano, ku buryo agaciro afite kifashishwa ku bandi bantu; 3° inyandiko y’agaciro y’umuntu cyangwa inyungu afite mu ngwate yinjijwe muri konti ; 4° inzira zikurikizwa mu igurishwa ry’ingwate yinjijwe muri konti. Umunyarwanda ufite uruhare mu buryo bwo kwishyurana bwo mu mahanga, inshingano n’uburenganzira bye bigengwa n’amategeko agenga uburyo bwo kwishyurana bwo mu mahanga. 1° the rights and obligations that arise from, or in connection with, the participation of such participant in the system; 2° the requirements for perfecting a financial collateral arrangement relating to book entry securities collateral and the provision of book entry securities collateral under such an arrangement, in a manner effective against third parties; 3° a person’s title to or interest in book entry securities collateral; 4° the steps required for the realization of book entry securities collateral. The rights and obligations of a Rwandan participant in a foreign system are governed by the Laws governing that system. 1° les droits et obligations découlant de la participation de ce participant ou liés à cette participation; 2° les exigences relatives à la mise au point d’un contrat de garantie financière concernant la garantie sous forme d’instruments financiers transmissibles par inscription en compte et la constitution d’une garantie sous forme d'instruments financiers transmissibles par inscription en compte en vertu d’un tel contrat, d’une manière opposable aux tiers; 3° le droit de propriété ou autre droit d’une personne à une garantie sous forme d’instruments financiers transmissibles par inscription en compte; 4° les formalités requises pour la réalisation de la garantie sous forme d’instruments financiers transmissibles par inscription en compte. Les droits et obligations d’un participant rwandais participant au système de paiement étranger sont régis par la législation régissant ce système étranger.

CHAPTER VIII: FAULTS,
OFFENCES AND PENALTIES
Article 49: Administrative faults and
sanctions
The National Bank of Rwanda, in the event it finds that a payment service provider or operator, their board of directors or a member of their senior management violates the provisions of this Law or regulations made thereunder, it imposes administrative sanctions on them. The regulations of the National Bank of Rwanda determine administrative faults and sanctions as well as procedures for imposing and appealing against such sanctions.
Article 50: Offence committed in
payment system
Any person who:
1º acts as payment system operator or service provider without having obtained from the National Bank of Rwanda a license for this purpose; CHAPITRE VIII : FAUTES, INFRACTIONS ET PEINES
Article 49 : Fautes et sanctions
administratives
La Banque Nationale du Rwanda, lorsqu’elle constate qu’un prestataire ou un opérateur de services de paiement, un membre de son conseil d’administration ou l’un des membres de sa direction générale enfreint les dispositions de la présente loi ou ses règlements d’application, elle leur impose des sanctions administratives. Les règlements de la Banque Nationale du Rwanda déterminent les fautes et les sanctions administratives ainsi que les procédures d’imposition et de recours contre ces sanctions.
Article 50 : Infraction commise dans le
système de paiement
Toute personne qui :
1° agit en tant qu’opérateur ou prestataire de services sans avoir obtenu de la Banque Nationale du Rwanda un agrément à cet effet;

2° udasubiza ibyo Banki Nkuru y’u Rwanda imubajije, usubiza ibyo azi ko atari byo cyangwa utanga amakuru atari yo kandi abizi; 3° wangiza, usenya, wonona cyangwa uhindura amakonti, ibitabo cyangwa amakuru by’ushinzwe imikoreshereze y’uburyo bwo kwishyurana cyangwa by’ugira uruhare mu buryo bwo kwishyurana ; 4° ubangamira, ku buryo ubwo ari bwo bwose, ibikorwa by’ubugenzuzi bya Banki Nkuru y’u Rwanda cyangwa by’undi mugenzuzi ubifitiye ububasha, umwima inyandiko zimufasha kurangiza inshingano ze; 5° wiyita ushinzwe imikoreshereze y’uburyo bwo kwishyurana bwagenwe, atarabiherewe icyemezo na Banki Nkuru y’u Rwanda; 6° ukoresha amakuru arebana n’uburyo bwo kwishyurana binyuranyije n’iri tegeko ku nyungu ze bwite cyangwa z’undi muntu; 2º does not respond to the request of the National Bank of Rwanda for information or who knowingly provides false information; 3º damages, destroys, alters or falsifies accounts, books or records of an operator or participant; 4º interferes in any way with audit activities of the National Bank of Rwanda or with the work of another competent auditor, or refuses to give him or her access to documents relevant to the accomplishment of his or her mission; 5º claims to be an operator of a designated payment system without designation of the National Bank of Rwanda; 6º who makes use of any information related to the payment system in violation of the provisions of this Law, for his personal advantage or the advantage of another person; 2° ne répond pas à la demande d’informations par la Banque Nationale du Rwanda ou qui fournit délibérément des informations fausses; 3° endommage, détruit, altère ou falsifie les comptes, livres ou registres d’un opérateur ou d’un participant; 4° entrave de quelque manière que ce soit les activités d’audit de la Banque Nationale du Rwanda ou le travail d’un autre auditeur compétent, ou refuse de lui donner accès aux documents pertinents pour l’accomplissement de sa mission; 5° prétendant être un opérateur d'un système de paiement désigné sans désignation par la Banque Nationale du Rwanda; 6° qui utilise toute information relative au système de paiement en violation des dispositions de la présente loi, pour son avantage personnel ou celui d'une autre personne;

Upon conviction of any of the offences referred to in Paragraph One of this Article, he or she is liable to imprisonment for a term of not less than six (6) months, but not exceeding one (1) year and a fine of not less than five million Rwandan francs (FRW 5,000,000), but not exceeding ten million Rwandan francs (FRW 10,000,000) or only one of these penalties. Where the offences referred to in Paragraph One of this Article are committed by an operator, a payment service provider, a company, an organization or a legal person, they are upon conviction liable to a fine of at least ten (10) times but not exceeding twenty (20) times the amount of the fine for the offences referred to in Paragraph 2 of this
Article, or to a penalty of being dissolved.

Lorsque les infractions visées au premier alinéa du présent article sont commises par un opérateur, un prestataire de services de paiement, une société commerciale, une organisation ou une personne morale, ils sont, lorsqu’ils en sont reconnus coupables, passibles d’une amende d’au moins dix (10) fois mais ne dépassant pas vingt (20) fois le montant de l’amende prévue pour les infractions visées à l’alinéa 2 du présent article ou passibles d’une peine de dissolution.

PROVISIONS
Article 51: Admissibility of electronic or
optical evidence and archive The enforceability and evidential value of electronic fund transfers and records are provided for by relevant Laws. The provisions of Paragraph One of this
Article, any information stored,
disseminated or used by participants and operators are not denied legal effect solely on the ground that:
1° it is in the form of an electronic record; 2° it is not contained in the electronic record purporting to give it legal force and validity, but is referred to in another electronic record. CHAPITRE IX : DISPOSITIONS DIVERSES
Article 51 : Admissibilité des preuves et
archives électroniques et optiques La force exécutoire et la valeur probante des transferts électroniques de fonds et des registres sont prévues par les lois en la matière. Les dispositions de l’alinéa premier du présent article, les informations stockées, diffusées ou utilisées par les participants et les opérateurs ne sont pas déniées de leur effet juridique au seul motif que :
1° elles sont sous la forme d’un document électronique; 2° elles ne sont pas incorporées dans le document électronique supposé leur donner la force juridique et la validité, mais qu’il y est fait référence dans un autre document électronique.

Payment instruments already introduced into a system or their archives held in writing, in an electronic or optical form or in durable medium ensuring their traceability including the print-out of such electronic or optical documents are admissible as evidence in all legal matters.
Article 52: Dispute settlement
A dispute arising between an operator and a participant or between participants in a payment system in relation to any matter arising from the operation of the system, is settled in accordance with the directive of the National Bank of Rwanda. A party that is dissatisfied with the outcome of the dispute settlement referred to in Paragraph One of this Article may refer the matter to other competent organs. . Article 52 : Règlement de différends
Un différend qui naît entre un opérateur et un participant ou entre les participants à un système de paiement par rapport à tout problème découlant du fonctionnement du système, est réglé conformément à la directive de la Banque Nationale du Rwanda. Une partie qui n’est pas satisfaite du résultat du règlement de différends visé à l’alinéa premier du présent article peut saisir d’autres organes compétents.

Abatanga serivisi zo kwishyurana bemererwa kubona amakuru, gutunganya no kubika amakuru yerekeye abantu ku giti cyabo bakeneye kugira ngo batange serivisi zo kwishyurana bamaze kubyemererwa n’ukoresha serivisi zo kwishyurana.
Article 53: Exchange of information
No obligation as to secrecy or other restriction upon the disclosure of information, whether imposed by Law or otherwise, prevents the exchange of information between the regulators.
Article 54: Data protection
The processing of personal data by payment systems and payment service providers is permitted if it is necessary to safeguard the prevention, investigation and detection of payment fraud. The processing and use of personal data are carried out in accordance with relevant Laws. Payment service providers only access, process and retain personal data necessary for the provision of their payment services, with the explicit consent of the payment service user.
Article 53 : Exchange d’informations
Aucune obligation de secret ou autre restriction à la communication d’informations imposée par la loi ou autrement, n’empêche l’échange d’informations entre les régulateurs.
Article 54 : Protection de données
Le traitement de données à caractère personnel par les systèmes de paiement et les prestataires de services de paiement est autorisé lorsque cela est nécessaire pour sauvegarder la prévention, la recherche et la détection des fraudes aux paiements. Le traitement et l’utilisation de données à caractère personnel se font conformément aux lois en la matière. Les prestataires de services de paiement n’ont accès à des données à caractère personnel nécessaires à l’exécution de leurs services de paiement, ne les traitent et ne les conservent qu’avec le consentement explicite de l’utilisateur de services de paiement.

Article 55: Compliance with Laws and
regulations on anti-money laundering, countering the financing of terrorism and financing of proliferation of weapons of mass destruction Every operator or payment service provider must:
1° comply with the obligations and requirements under Laws and regulations on anti-money laundering, countering the financing of terrorism and financing of proliferation of weapons of mass destruction; 2° ensure that any agent or third party acting on its behalf complies with Laws and regulations mentioned in Item One of this Article.
Article 56: Retention of records
The National Bank of Rwanda, participants and payment service providers retain all records obtained in the course of their operation and administration of the

Article 57: Validity of acts performed
before this Law
Acts performed in accordance with Law n° 03/2010 of 26/02/2010 concerning payment system as amended to date remain valid.
Article 58: Existing regulations
The regulations of the National Bank of Rwanda relating to payment systems made under Law n° 03/2010 of 26/02/2010 concerning payment systems as amended to date remain in force in all their provisions which are not inconsistent in terms of their substance with this Law for a period not exceeding twelve (12) months from the publication of this Law in the Official Gazette of the Republic of Rwanda. l’administration du système paiement, de compensation et de règlement pour une période de dix (10) ans à compter de la date d’obtention et de production de ces documents. Les règlements de la Banque Nationale du Rwanda relatifs aux systèmes de paiement édictés conformément à la Loi n° 03/2010 du 26/02/2010 relative aux systèmes de paiement telle que modifiée à ce jour restent en vigueur dans toutes leurs dispositions qui ne sont pas, quant à leur fond, contraires à la présente loi, et ce, pour une période n’excédant pas douze (12) mois à compter de la publication de la présente loi au Journal Officiel de la République du Rwanda.

Ingingo ya 61: Igihe iri tegeko ritangira gukurikizwa Iri tegeko ritangira gukurikizwa ku munsi ritangarijweho mu Igazeti ya Leta ya Repubulika y’u Rwanda.
Article 59: Drafting, consideration and
adoption of this Law
This Law was drafted in English, considered and adopted in Ikinyarwanda.
Article 60: Saving and repealing
provision
With the exception of Article 23 of Law n° 03/2010 of 26/02/2010 concerning payment system as amended to date which establishes the National Payment System Council, its other Articles as well as other prior legal provisions contrary to this Law are repealed.
Article 61: Commencement
This Law comes into force on the date of its publication in the official Gazette of the Republic of Rwanda.
Article 59 : Initiation, examen et
adoption de la présente loi La présente loi a été initiée en anglais, examinée et adoptée en ikinyarwanda.
Article 60 : Disposition de sauvegarde et
abrogatoire
À l’exception de l’article 23 de la Loi n° 03/2010 du 26/02/2010 relative au système de paiement telle que modifiée à ce jour qui établit le Conseil national du Système de Paiement, ses autres articles ainsi que les autres dispositions légales antérieures contraires à la présente loi sont abrogés.
Article 61 : Entrée en vigueur
La présente loi entre en vigueur le jour de sa publication au Journal Officiel de la République du Rwanda.
