CHAPTER ONE: GENERAL PROVISIONS
Article One: Purpose of this Law
This Law governs the warehouse receipt system.
Article 2: Definitions of terms
As used in this Law, the following terms shall have the meanings ascribed to them below:
1 º operating license: authorisation issued in accordance with this Law and including renewals and amendments thereof unless otherwise provided; 2 º commodity: an agricultural or mining good and/or any other product that may be determined by the Authority; 3 º purchase: acquisition of a product through sale, discount, negotiation, mortgage, pledge, collateral, or any voluntary transaction that may produce an interest in property; 4 º Authority: the Capital Market Authority of Rwanda; 5 º warehouse receipt: an evidence that specifies the quantity of commodities and states the quality that were deposited at a CHAPITRE PREMIER: DISPOSITIONS GÉNÉRALES
Article premier: Objet de la présente loi
La présente loi porte réglementation du système de récépissés d’entrepôt.
Article 2: Définitions des termes
Aux fins de la présente loi, les termes repris ci￾après ont les significations suivantes :
1 º licence d’opérateur: licence émise au titre de la présente loi, y compris les renouvellements et modifications y relatifs à moins que le contexte ne l’exige autrement; 2 º produit de base: produit agricole ou minier et tout autre produit pouvant être déterminé par l’Office; 3 º achat: acquisition par voie de vente, d’escompte, de négociation, d’hypothèque, de gage, de garantie ou de transaction volontaire permettant la constitution d’un intérêt dans un bien; 4 º Autorité: Autorité des Marchés de Capitaux du Rwanda ; 5 º récépissé d’entrepôt: preuve que des produits de base spécifiés d’une quantité et qualité déclarées ont été déposés dans un

ububiko bw'ibicuruzwa bwujuje ibipimo ngenderwaho; 11 º ububiko bw'ibicuruzwa bwahawe icyemezo: ububiko bw'ibicuruzwa ubwo ari bwo bwose bwahawe icyemezo cyo gukora n’Ikigo hakurikijwe iri tegeko; particular warehouse by a named depositor; 6 º negotiable warehouse receipt: an instrument that may be legally transferred to another person by endorsement or delivery of a commodity; 7 º non-negotiable warehouse receipt: an instrument issued to the holder or to the order of a specified person and marked non￾negotiable on the face of it; 8 º Minister: the Minister in charge of trade; 9 º warehouse: a building, structure or other protected enclosure duly licensed by the Minister to be used for the storage or conditioning of commodities for the purpose of trading; 10 º certified warehouse: a warehouse which meets basic standards; 11 º licensed warehouse: any warehouse for which the Authority has issued an operating license in accordance with this Law; entrepôt particulier par un déposant désigné ; 6 º récépissé d’entrepôt négociable: récépissé d’entrepôt légalement susceptible d’être cédé par endossement ou livraison d’un produit de base; 7 º récépissé d’entrepôt non-négociable:
récépissé d’entrepôt émis en faveur du détenteur ou à l’ordre d’une personne spécifique et marqué non-négociable sur le recto; 8 º Ministre: le Ministre ayant le commerce dans ses attributions; 9 º entrepôt: bâtiment, espace aménagé ou toute autre enceinte protégée dûment agréés par le Ministre pour être utilisés pour le stockage ou le conditionnement des produits à des fins commerciales; 10 º entrepôt certifié: entrepôt répondant aux normes; 11 º entrepôt agréé: tout entrepôt en faveur duquel l’Autorité a émis une licence d’opérateur conformément à la présente loi;

Official Gazette nº Special of 25/01/2018 12 º ucunga ububiko bw’ibicuruzwa: umuntu ukora ubucuruzi bwo kubika ibicuruzwa by’ibanze hakurikijwe ibiteganywa n’iri tegeko; 13 º ufite inyandiko nyemezabubiko: umuntu ufite inyandiko nyemezabubiko yahawe cyangwa yamweguriwe cyangwa ku bw’amabwiriza yatanzwe cyangwa yitwa iy’uyifite cyangwa nta zina ryanditseho; 14 º ukwegurira undi inyandiko nyemezabubiko ishyirwaho umukono inyuma: gushyira umukono ku nyandiko nyemezabubiko y'uwashyize ibicuruzwa by’ibanze mu bubiko cyangwa ufite inyandiko nyemezabubiko hagamijwe icuruzwa ryayo; 15 º umuntu: umuntu ku giti cye, isosiyete y’ubucuruzi cyangwa koperative ; 16 º ushinzwe gutanga inyandiko nyemezabubiko: umuntu wahawe icyemezo cyo gutanga inyandiko nyemezabubiko ku bicuruzwa by’ibanze ; 17 º uwashyize ibicuruzwa by’ibanze mu bubiko bw’ibicuruzwa: umuntu uha ibicuruzwa by’ibanze ucunga ububiko bw'ibicuruzwa kugira ngo abibike; 18 º uweguriwe inyandiko nyemezabubiko: umuntu wagurishijwe inyandiko nyemezabubiko. 12 º warehouse operator: a person engaged in the business of storing commodities in accordance with this Law; 13 º holder: a person who possesses a warehouse receipt issued or endorsed to him/her or to his/her order or to the holder or in blank; 14 º endorsement: signing on the warehouse receipt by the depositor or holder of the warehouse receipt for the purpose of its negotiation; 15 º person: an individual, a business company or a cooperative; 16 º warehouse receipt operator: a person licensed to issue a warehouse receipt of commodities; 17 º depositor: a person who delivers commodities to the warehouse operator for storage; 18 º endorsee: a person to whom the warehouse receipt is negotiated. 12 º opérateur d’entrepôt: personne qui se livre aux activités commerciales de stockage des produits de base conformément à la présente loi ; 13 º détenteur: personne en possession d’un récépissé d’entrepôt émis ou endossé à cette personne ou à son ordre ou au détenteur ou en blanc; 14 º endossement: signature d’un récépissé d’entrepôt par le déposant ou le détenteur du récépissé d’entrepôt à des fins de sa négociation; 15 º personne: individu, société commerciale ou coopérative ; 16 º opérateur de récépissé d’entrepôt: une personne agréée pour délivrer un récépissé d’entrepôt des produits de base; 17 º déposant: personne qui remet les produits de base à un opérateur d’entrepôt pour stockage; 18 º endossataire: personne à laquelle un récépissé d’entrepôt est négocié.

Ingingo ya 4: Gusaba icyemezo cyo gutanga inyandiko nyemezabubiko Umuntu wese wifuza gutanga inyandiko nyemezabubiko agomba kubisaba Ikigo. 1 º yujuje amafaranga fatizo y'igishoro yagenwe n’Ikigo;
CHAPTER II: ISSUANCE OF
WAREHOUSE RECEIPT OPERATOR’S LICENSE
Article 3: Organ to issue a Warehouse receipt
operator’s license
The Authority is the competent organ to issue a warehouse receipt operator’s license and to make a follow-up thereon. An Order of the Minister determines fees for applying for application for and issuance of a warehouse receipt operator’s license.
Article 4: Application for warehouse receipt
operator’s license
Any person who intends to act as a warehouse receipt operator must apply to the Authority. No person is authorised to issue a warehouse receipt unless he/she holds a license.
Article 5: Requirements for application for a
warehouse receipt operator’s license Any applicant for a warehouse receipt operator’s license applicant must fulfil the following requirements:
1 º have a minimum capital determined by the Authority; CHAPITRE II: OCTROI DE LICENCE D’ OPERATEUR DE RÉCÉPISSÉ D’ENTREPÔT
Article 3: Organe compétent pour l’octroi de
licences d’ opérateur de récépissé d’entrepôt L’Autorité est le seul organe compétent pour l’octroi de la licence d’opérateur de récépissés d’entrepôt et pour en assurer le suivi. Un Arrêté du Ministre détermine les frais de demande et d’obtention de la licence d’opérateur de récépissés d’entrepôt.
Article 4: Demande de licence d’opérateur de
récépissés d’entrepôt
Quiconque désire s’engager comme opérateur de récépissés d’entrepôt doit en faire la demande à l’Autorité. Il est interdit d’agir à titre d’opérateur de récépissés d’entrepôt sans être muni d’une licence.
Article 5: Conditions de demande de licence
d’opérateur de récépissés d’entrepôt Le demandeur de licence d’opérateur de récépissés d’entrepôt doit remplir les conditions suivantes :
1 º être dans une situation financière saine avec un capital minimum déterminé par l’Autorité ;

Official Gazette nº Special of 25/01/2018 2 º yifitiye cyangwa akodesha ububiko bw'ibicuruzwa bwemewe bufite ibikoresho by'ibanze bituma bushobora kwakira, gupima, gushyira mu byiciro, kubika, gusukura no gupakurura ibicuruzwa by’ibanze bigenewe kubikwa; 3 º agaragaza ibiciruzwa by’ibanze asaba ko yajya abitangira inyandiko nyemezabubiko; 4 º akoresha abakozi babifitiye ubushobozi babihuguriwe kandi bafite ubunararibonye bwo kwita, gushyira mu byiciro no kubika neza ibicuruzwa by’ibanze ububiko bw'ibicuruzwa bushaka guhererwa icyemezo; 5 º afite icyemezo cy'ubwishingizi bwishingira ibicuruzwa by’ibanze byose biri cyangwa bishobora kuba biri mu bubiko bw'ibicuruzwa byakwangizwa n'inkongi y'umuriro n'izindi mpanuka zakwishingirwa. Ikigo gishobora gusaba usaba icyemezo cyo gutanga inyandiko nyemezabubiko kugiha andi makuru yose gisanga ari ngombwa yerekeye inyandiko isaba icyemezo, ayo makuru agatangwa mu buryo cyangwa akagenzurwa hakurikijwe amabwiriza rusange atangwa n’Ikigo. Ingingo ya 6: Itangwa ry'icyemezo cyo gutanga inyandiko nyemezabubiko Iyo Ikigo cyemeye ko amakuru akenewe ahagije ngo cyige ubusabe, gitanga mu nyandiko umwanzuro mu minsi itarenze cumi n’itanu (15) 2 º own or lease a certified warehouse with the necessary equipment that enables it to receive, weigh, grade, store, clean and off load the commodities to be tendered for storage; 3 º indicate commodities of which he/she intends to issue the warehouse receipt; 4 º employ qualified personnel with the relevant training and experience for handling, grading and to properly store commodities for which the warehouse seeks to be licensed; 5 º have a certificate of insurance for all commodities which are or may be in such a warehouse that may be destroyed by fire and any other insurable risks. The Authority may require the warehouse receipt operator’s license applicant to furnish any other information the Authority considers necessary in connection with his/her application, which information shall be furnished or verified as laid down in the general regulations issued by the Authority.
Article 6: Issuance of warehouse receipt
operator’s license
In case the Authority is satisfied that the information needed is sufficient to process the application, it gives a written notice of its 2 º posséder ou louer un entrepôt ayant un équipement nécessaire permettant de recevoir, peser, calibrer, stocker, nettoyer et décharger les produits de base destinés au stockage; 3 º indiquer les produits de base pour lesquels il fait la demande de délivrer le récépissé d’entrepôt; 4 º employer un personnel qualifié avec une formation appropriée et expérimenté dans la manutention, le calibrage et le stockage adapté aux produits de base pour lesquels la licence d’entrepôt est demandée; 5 º avoir un certificat d’assurance pour tous les produits de base qui sont ou peuvent être dans un tel entrepôt afin de couvrir la perte par incendie ou autres risques susceptibles d’être assurés. L’Autorité peut requérir le demandeur d’une licence d’opérateur de récépissés d’entrepôt de lui fournir tous autres renseignements qu’elle juge nécessaires en rapport avec sa demande de licence, lesquels renseignements sont fournis ou vérifiés selon les conditions prévues par les règlements généraux émis par l’Autorité.
Article 6: Octroi d’une licence d’opérateur de
récépissés d’entrepôt
Lorsque l’Autorité estime que les informations nécessaires à l’examen de la demande sont suffisantes, elle communique sa décision par

Ingingo ya 7: Itangazwa ry’icyemezo cyo gutanga inyandiko nyemezabubiko Mu minsi mirongo itatu (30) ikurikira umunsi ntarengwa wo guhabwa icyemezo cyo gutanga inyandiko nyemezabubiko, ushinzwe gutanga inyandiko nyemezabubiko atangaza nibura muri kimwe mu binyamakuru bikorera mu Rwanda kandi gisomwa n’abantu benshi amakuru akurikira:
1 º aderesi n'icyicaro gikuru cy’ububiko bw’ibicuruzwa; 2 º aderesi ya buri bubiko bw'ibicuruzwa bwemewe agenzura; 3 º ubwoko bw'ibicuruzwa by’ibanze yemerewe gutangira inyandiko nyemezabubiko. Ushinzwe gutanga inyandiko nyemezabubiko wemerewe agomba gushyira ahantu hagaragara ku mazu yose akoreramo ubucuruzi inyandiko igaragaza ko yahawe icyemezo cyo gutanga inyandiko nyemezabubiko. decision within fifteen (15) working days from the date of application of the warehouse operator’s license. If the decision is not communicated within fifteen (15) working days from the date of application of the warehouse receipt operator’s license without a justified reason, the application is considered to have been granted.
Article 7: Publication of issuance of
warehouse receipt operator’s license A warehouse receipt operator publishes, within thirty (30) days from the actual date of issue of the warehouse receipt operator’s license, the following information in at least one of the widely circulated newspapers published in Rwanda:
1 º the address and head office of the warehouse; 2 º the address of each certified warehouse under his/her control; 3 º the type of commodities for which he/she has been authorized to issue warehouse receipts. A licensed warehouse receipt operator must permanently display in a visible place of all his/her business premises a statement showing that he/she has been issued with warehouse receipt operator’s license. écrit dans un délai de quinze (15) jours ouvrables à compter de la réception de la demande de licence d’opérateur de récépissés d’entrepôt. Si la décision n’est pas communiquée dans les quinze (15) jours ouvrables à compter de la date de réception de la demande de licence d’opérateur de récépissés d’entrepôt sans raison connue, la demande est réputée avoir été approuvée.
Article 7: Publication de l’octroi d’une
licence d’opérateur de récépissés d’entrepôt Endéans trente (30) jours suivant la date effective de réception de la licence, l’opérateur de récépissés d’entrepôt publie dans au moins l’un des journaux à large diffusion publiés au Rwanda les informations suivantes :
1 º l’adresse professionnelle et le siège de l’entrepôt; 2 º l’adresse de chaque entrepôt certifié sous son contrôle ; 3 º le type de produits de base pour lesquels il a été autorisé à émettre des récépissés d’entrepôt. L’opérateur de récépissés d’entrepôt agréé doit afficher en permanence dans un endroit lisible de tous ses locaux une déclaration montrant qu’il a reçu une licence d’opérateur de récépissés d’entrepôt.

Ingingo ya 8: Impamvu z’ihagarikwa n'iyamburwa ry'icyemezo cyo gutanga inyandiko nyemezabubiko Ikigo gishobora guhagarika cyangwa kwambura umuntu icyemezo cyo gutanga inyandiko nyemezabubiko kikamutegeka guhagarika imirimo yose ijyanye na byo, iyo ushinzwe gutanga inyandiko nyemezabubiko:
1 º atashoboye kugumana amafaranga fatizo y’igishoro asabwa; 2 º yarenze ku mategeko cyangwa amabwiriza rusange yose cyangwa amwe muri yo agenga ibikorwa bijyanye n’inyandiko nyemezabubiko; 3 º ari mu nzira z'iseswa no kwegeranya umutungo no kuwugabagabanya cyangwa hari ibimenyetso bifatika by'uko ibyo bishobora kuba; 4 º yagaragaweho kuba nta bumenyi cyangwa ubushobozi agifite bwo gukomeza ibikorwa by'ubucuruzi bye. The Authority shall annually publish in a newspaper of national circulation and on its website the names of licensed warehouses receipt operators.
Article 8: Grounds for suspension and
revocation of warehouse receipt operator’s license The Authority may suspend or revoke the warehouse receipt operator’s license and order the warehouse receipt operator to cease all related activities in case the warehouse receipt operator:
1 º fails to maintain the required minimum capital; 2 º breaches in part or in whole laws and regulations governing warehouse receipt operations; 3 º is in the process of dissolution and winding up or in case there are strong indications that such dissolution and winding up are likely to take place; 4 º is found to be incompetent or incapacitated to keep conducting his/her business. L’Autorité publie annuellement dans un journal de diffusion nationale et sur son site web les noms des personnes auxquelles il a été délivré une licence d’opérateur de récépissés d’entrepôt.
Article 8: Motifs de suspension et de retrait
de licence d’opérateur de récépissés d’entrepôt L’Autorité peut suspendre ou retirer la licence d’opérateur de récépissés d’entrepôt et ordonner à l’opérateur de récépissés d’entrepôt de cesser toutes activités connexes si l’opérateur de récépissés d’entrepôt :
1 º n’a pas pu maintenir le niveau du capital minimal requis; 2 º a violé en partie ou en totalité les dispositions légales ou règlementaires régissant les opérations de récépissés d’entrepôts; 3 º entre dans la procédure de dissolution et de liquidation ou s’il y a des indices sérieux indiquant que cette dissolution et liquidation sont probables; 4 º est reconnu ne pas avoir la compétence ou la capacité à continuer à mener ses activités commerciales.

Ingingo ya 10: Inkurikizi z’ihagarikwa n'iyamburwa ry'icyemezo cyo gutanga inyandiko nyemezabubiko Ushinzwe gutanga inyandiko nyemezabubiko wahagarikiwe cyangwa wambuwe icyemezo cyo gutanga inyandiko nyemezabubiko ahita yegurira Ikigo cyangwa urundi rwego rugenwa n’Ikigo
Article 9: Procedures for suspension and
revocation of warehouse receipt operator’s license Before the warehouse receipt operator’s license is revoked, the Authority notifies the warehouse receipt operator in writing of the allegations levelled against him/her in order for him/her to respond to the allegations within fifteen (15) working days from the date of receipt of the notification. In case fifteen (15) working days from the notification date expires without reasonable response from the warehouse receipt operator, the Authority makes a final decision regarding revocation of the warehouse receipt operator’s license. In case the decision to revoke the warehouse receipt operator’s license is final, the Authority or its designated person announces to the public, through at least one of the widely circulated newspapers published in Rwanda, information regarding the revocation of warehouse receipt operator’s license and the grounds therefor.
Article 10: Effects of suspension and
revocation of warehouse receipt operator’s license A warehouse receipt operator whose license is suspended or revoked immediately cedes the control of all warehouses and commodities stored therein to the Authority or to any other
Article 9: Procédures de suspension et de
retrait de licence d’opérateur de récépissés d’entrepôt Avant le retrait définitif de licence d’opérateur de récépissés d’entrepôt, l’Autorité envoie à l’opérateur concerné une notification écrite des allégations portées contre lui pour qu’il se justifie endéans quinze (15) jours ouvrables à compter de la date de réception de la notification. À l’expiration du délai de quinze (15) jours ouvrables à compter de la date de notification sans explication valable fournie par l’opérateur de récépissés d’entrepôt, l’Autorité prend une décision définitive concernant le retrait de sa licence d’opérateur de récépissés d’entrepôt.

Une fois la décision de retrait de licence d’opérateur de récépissés d’entrepôt devenue définitive, l’Autorité ou une personne désignée informe le public, à travers au moins l’un des journaux à large diffusion publiés au Rwanda, du retrait de la licence d’opérateur de récépissés et des motifs de ce retrait.
Article 10: Effets de suspension et de retrait

Article 11: Legal recourse against the
Authority’s decision
A person may appeal against any decision taken by the Authority if she/he is aggrieved by one or all of the following decisions:

The appeal against a decision taken by the Authority is filed with the Independent Review Panel established for settling issues related to capital market within fourteen (14) days from the date of notification of the decision to the appellant. Le recours contre une décision de l’Autorité n’est pas suspensif de l’exécution de cette décision.

A legally drawn up warehouse receipt constitutes a valid contract between a warehouse operator and a depositor as a proof of the holder having proprietary rights in commodities as well as that of the person to whom such warehouse receipt was issued.

Article 14: Usage d’un récépissé d’entrepôt
Le récépissé d’entrepôt dont le détenteur acquiert les droits exclusifs sur les produits de base peut:

Article 15: Form of a warehouse receipt
A warehouse receipt shall not necessarily be in any particular form. A warehouse receipt may be in hard or electronic form. The Authority may put in place model warehouse receipts which may be operated by warehouse operators.
Article 16: Contents of a warehouse receipt
A warehouse receipt contains at least the following essential information:

Un récépissé d’entrepôt contient au moins les mentions essentielles suivantes:

A warehouse receipt operator may insert in the receipt issued any other terms or conditions that are not contrary to the provisions of this Law and do not limit the warehouse operator’s obligations.
Article 17: Duplicate of a warehouse receipt
Only one warehouse receipt is issued in respect of the same commodities. The holder of an original receipt or his/her transferees retain the title to the commodities. Article 17: Duplicata d’un récépissé

Un seul récépissé d’entrepôt est émis pour les mêmes produits de base. Le détenteur d’un récépissé original ou ses cessionnaires conservent le droit de propriété sur les produits de base. En cas de perte ou de destruction du récépissé d’entrepôt, un nouveau récépissé est émis, et il

Commodities kept in a warehouse for which warehouse receipts are issued in the name of a person other than the warehouse operator shall not be seized on account of debts or bankruptcy of the warehouse operator.
Section 2: Negotiable warehouse receipt

Section 2: Récépissé d’entrepôt négociable
Article 19: Négociabilité d’un récépissé
d’entrepôt à la livraison de produits de base Un récépissé d’entrepôt négociable peut être négocié à la livraison des produits de base si les termes du récépissé prévoient que l’opérateur d’entrepôt s’engage à livrer les produits de base soit au détenteur, soit à l’ordre d’une personne nommément désignée à condition que celle-ci ou l’endossataire l’ait endossé en blanc.

Article 20: Negotiability of a warehouse
receipt endorsed in blank or to the holder When by the terms of a negotiable warehouse receipt commodities are deliverable to the holder, or where a negotiable warehouse receipt has been endorsed in blank or to the holder, the receipt may be negotiated by the holder endorsing it to a named person, and in that case the receipt is thereafter negotiated by endorsement of the endorsee or a subsequent endorsee or by delivery of commodities if it is again endorsed in blank or to the holder.
Article 21: Negotiability of a warehouse
receipt to the order of a named person When the terms of a negotiable warehouse receipt indicate that the commodities are deliverable to the order of a named person, the receipt may be negotiated by the endorsement to that person. When the endorsement is to a named person, the receipt may again be negotiated by endorsement in blank, to the holder or to another named person, and subsequent negotiation may be made in the same manner.

Article 22: Transfer of a negotiable
warehouse receipt
A negotiable warehouse receipt may be transferred to third parties by endorsement and delivery. Any provision in a negotiable warehouse receipt that limits negotiability is of no effect.
Article 23: Effect of transfer of negotiable
warehouse receipt
Authorized transfer of a negotiable warehouse receipt has the effect of conferring full title over the commodities represented by such instrument on the endorsee. The holder in due course of a negotiable warehouse receipt enforces his/her right in the instrument free from all previous claims and defects.
Article 24: Transfer of negotiable warehouse

negotiable warehouse receipt has been transferred A person to whom a negotiable warehouse receipt is duly transferred acquires the following rights:

is blank or issued to the order of someone but being altered When a blank negotiable warehouse receipt has been filled by a person without authority, the holder in due course of such receipt has full title on the commodities represented by the instrument. warehouse receipt
A non-negotiable warehouse receipt always carries the words “NON NEGOTIABLE” on the face of it, failure to observe this rule has the effect of rendering the instrument negotiable. Rights and obligations arising out of a non￾negotiable warehouse receipt are only transferred to third parties in accordance with rules governing sale or those on ordinary assignment of rights and obligations.

Article 29: Transfer of a non-negotiable
warehouse receipt
When the title to commodities covered by a non- negotiable warehouse receipt is transferred by the holder by delivery to the holder of the warehouse receipt or by a transfer in writing executed by the holder, the transfer does not affect or bind the warehouse operator until the warehouse operator is notified in writing thereof.
Article 30: Rights of a person to whom a non￾negotiable warehouse receipt is transferred
A person to whom the commodities covered by a non-negotiable warehouse receipt are transferred acquires :

Article 33: Records of a warehouse
A warehouse operator fills and maintain complete and correct records of:

1 º all warehouse receipts and any duplicates issued and the names and addresses of persons to whom the receipts were issued; 2 º all warehouse receipts returned or cancelled; 3 º names and addresses of persons to whom delivery of commodities was made upon submission of warehouse receipts; 4 º all notices of negotiation, including written proofs of payment and warehouse receipts issued with the names and addresses of the transferees thereto; 5 º the daily status of all commodities held in the warehouse and movement of commodities in and out of the warehouse.
Article 34: Publication of tariffs
A warehouse operator shall display tariffs agreed with the Authority in a conspicuous place at each certified warehouse.

Article 35: Keeping commodities separately
A warehouse operator must separate the commodities covered by each warehouse receipt, unless the warehouse receipt provides otherwise. However, the owner of the commodities must disclose to the warehouse operator any particular information regarding the storage special feature of the commodities.
Article 36: Avoiding to mix commodities of
different type and quality A warehouse receipt operator shall not mix commodities stored in his/her warehouse with other goods of the same type and quality unless he/she is authorized by the owner. Holders of the warehouse receipts for the mixed commodities have common ownership of the entire stock but each holder is entitled to claim such proportion of commodities as it is indicated on his/her warehouse receipt. Article 37: Removal of commodities from
the warehouse
A warehouse operator may require removal of commodities from the warehouse in following cases:
1° at the termination of the period of storage fixed by the warehouse receipt or storage agreement; 2° if the period of storage is not specified in the warehouse receipt or storage agreement, he/she provides for a notice period which is not be less than thirty (30) days; 3° if the warehouse operator believes that the commodities are about to deteriorate or lose value to less than the amount of his/her collateral within the time prescribed. The request for removal of commodities from the warehouse shall be done upon notification to the person on whose account the commodities are held and any other person known to claim an interest on the commodities.
Article 38: Security of the warehouse
A warehouse operator shall be responsible for providing security for the commodities kept in the warehouse. A warehouse operator shall also be responsible for exercising such care and diligence in regard

Le retrait des produits de base de l’entrepôt est exigé après notification de la personne au nom de laquelle les produits de base sont enregistrés et de toute autre personne connue pour pouvoir réclamer un intérêt sur ces produits de base.
Article 38: Sécurité de l’entrepôt
L’opérateur d’entrepôt a la responsabilité d’assurer la sécurité des produits de base se trouvant dans son entrepôt. Un opérateur d’entrepôt a aussi l’obligation de garder avec soin et diligence les produits de base

Section 3: Delivery of commodities
Article 39: Conditions for delivering
commodities
A warehouse operator shall deliver commodities to a person possessing a warehouse receipt that has been issued in accordance with the provisions of this law. The delivery of commodities shall be made in good faith and when there is no notice of any defect in the title of that person.
Article 40: Persons prevented from being
delivered commodities
A warehouse operator who, prior to delivery of commodities, receives information or otherwise becomes aware that a person to whom delivery of commodities is to be made is not legally entitled to, shall not deliver them. Where several persons claim the title to or delivery of commodities under a warehouse receipt, the warehouse operator shall not deliver the commodities until he/she ascertains the validity of different claims or until the person claiming the title to the commodities provides a court decision ascertaining his/her right to the comme l e u r propriétaire le ferait s’il les gardait dans les conditions similaires.

Article 41: Delivery of commodities under a
negotiable warehouse receipt A warehouse operator shall deliver commodities upon request of a holder of negotiable warehouse receipt provided that:

Article 42: Delivery of commodities under a

Article 43: Cancellation of a warehouse
receipt
A warehouse operator who delivers commodities from a warehouse upon presentation of a warehouse receipt shall cancel the warehouse receipt. When a warehouse operator delivers part of the commodities for which a warehouse receipt has been issued, he/she shall indicate on it details of delivered commodities or packages.
Article 44: Failure or refusal to deliver

When a warehouse operator fails or refuses to deliver commodities on the basis of the provisions of this Law, he/she shall bear the burden of establishing the existence of a lawful and justifiable excuse for not delivering the commodities.

Article 46: Warehouse operator’s right on
commodities
A warehouse operator shall have the following specific rights of claim on the c o m m o d i t i e s stored in his/her warehouse:

1° ububiko bw'ibicuruzwa n'andi mafaranga byishyurwa bijyanye n'ubu burenganzira bitishyuwe; 2° abantu bose bazwiho kuba bafite inyungu mu bicuruzwa by’ibanze bamenyeshejwe; 3° uburenganzira bugomba kubahirizwa bujyanye n'ibicuruzwa by’ibanze byabitswe kandi afite mu bubiko bw'ibicuruzwa bwe; 4° ingwate ijyanye n'ibicuruzwa by’ibanze bigaragara ku nyandiko nyemezabubiko yihariye yonyine cyangwa umusaruro ubikomokaho. Article 47: Requirements for enforcement of
the right on commodities A warehouse operator m a y exercise his/her lien on commodities only if:
1° the storage and other charges for which the right arises have not been paid; 2° all persons known to have any claim on interest in the commodities have been duly notified; 3° the right is only exercised with respect to the commodities stored and that he/she possesses in his/her warehouse; 4° the collateral related only to the commodities covered by the particular warehouse receipt or to the proceeds thereof. 1° le stockage et autres frais pour lesquels le droit naît n’ont pas été payés; 2° toutes les personnes connues pour pouvoir revendiquer un intérêt sur les produits de base ont été dûment notifiées; 3° le droit est exercé uniquement e n r a p p o r t a v e c l e s p r o d u i t s d e b a s e stockés et se trouvant dans son entrepôt; 4° la garantie concerne les seuls produits de base couverts par un récépissé d’entrepôt particulier ou les recettes y relatives. Dans les cas où l’opérateur d’entrepôt peut exercer son droit de privilège sur les produits de base, il les retient aux conditions du récépissé

Article 48: Notification to persons having
interest on the commodities The notification letter to persons known to have any claim on interest in commodities on which the warehouse operator intends to exercise his/her lien includes:
1° the statement of the claim; 2° a description of the c o m m o d i t i e s subject to collateral; 3° a request for payment within a specified period; 4° a statement that the commodities will be sold by public auction or by mutual agreement if the claim is not paid within the time stated therein.
Article 49: Preventing the sale of the
commodities
A person claiming a right in the commodities may, at any time before the sale of the commodities, pay the amount required to pay the collateral and other reasonable expenses of the warehouse operator in order to prevent the sale of commodities. d’entrepôt et conformément aux dispositions pertinentes de la présente loi.

La personne revendiquant un droit sur les produits de base peut, à tout moment avant la vente des produits de base, payer le montant requis pour honorer la garantie et d’autres dépenses raisonnables encourues par l’opérateur d’entrepôt pour empêcher la vente des produits de base.

Article 50: Loss of lien
A warehouse operator loses his/her lien on the commodities by:
1° surrendering possession of those commodities; 2° refusing to deliver the commodities when a request, which he/she is bound to comply with under the provisions of this Law, has been made.
Section 5: Warehouse operator liability
Article 51: Liability for omission of the
essential terms from a warehouse receipt A warehouse operator shall be liable for damages caused to the person affected by the omission from a warehouse receipt of the essential terms provided under this law.
Article 52: Liability for non-cancelation of a
warehouse receipt
A warehouse operator who delivers commodities for which a negotiable warehouse receipt has been issued and fails to cancel the receipt, to suspend it or to indicate on it the part of commodities already delivered, is liable for failure to deliver the commodities indicated on it
Article 50: Perte de privilège
Un opérateur d’entrepôt perd le droit à son privilège sur les produits de base:

Article 51: Responsabilité pour l’omission des
termes essentiels d’un récépissé d’entrepôt Un opérateur d’entrepôt est responsable des dommages causés à une personne du fait de l’omission des termes essentiels d’un récépissé d’entrepôt prévus par la présente loi.
Article 52: Responsabilité pour défaut
d’annulation du récépissé d’entrepôt L’opérateur d’entrepôt qui livre les produits de base pour lesquels un récépissé d’entrepôt négociable a été émis sans l’annuler, le suspendre ou y mettre les indications sur la partie des produits de base déjà livrés est tenu responsable pour l’incapacité de livrer les

Article 53: Liability for loss of or damage to
commodities
A warehouse operator is liable for loss of or damage caused to commodities in his/her warehouse. However, whenever a warehouse operator notices that the commodities kept with him/her are subject of any modification requiring other conditions of storage, he/she informs the depositor or owner of the commodities in writing in order to take any other required measures.
Article 54: Compensation for loss of and
damage to commodities

Article 54: Réparation pour perte et
endommagement des produits de base Si les produits de base sous la possession de l’opérateur d’entrepôt subissent des dégâts ou des vols malgré un stockage approprié et toutes les précautions prises, l’indemnisation égale à la valeur des produits de base au moment de leur dépôt est payable par l’opérateur d’entrepôt.

Ingingo ya 56: Ivanwaho ry’uburyozwe ku ucunga ububiko bw'ibicuruzwa Ucunga ububiko bw'ibicuruzwa ntacyo aryozwa iyo:
1° iyibwa, iyangizwa, iyangirika cyangwa iyononekara ry'ibicuruzwa by’ibanze yahawe kugira ngo abibike byitirirwa ibihe bidasanzwe kandi ntarengwa; In case the commodities are damaged or stolen due to negligence of the warehouse operator, the compensation is equivalent to the value of commodities plus any loss of profit that would have been earned from the sale of the commodities by the holder of the title. Article 55: Compensation for unlawful
exercise of right of lien A warehouse operator who, in the course of exercising his/her right of lien, fails to comply with requirements of this Law he/she is liable to compensate any persons claiming a right on the commodities for the value of those commodities and loss of profits.
Article 56: Exemption of liability for a
warehouse operator
The warehouse operator shall not incur any liability when:
1° loss, destruction, damage or deterioration of the commodities delivered to him/her for storage is attributable to circumstances of force majeure; Si les produits de base subissent des dégâts ou vols suite à la négligence de l’opérateur d’entrepôt, la réparation équivaut à la valeur des produits de base plus toute perte de profit que le détenteur du titre aurait tiré de la vente des produits de base. Article 55: Réparation en cas d’illégalité lors
de l’exercice du droit de privilège Un opérateur d’entrepôt qui, au moment de l’exercice de son droit de privilège, ne se conforme pas aux conditions spécifiées dans la présente loi est tenu du paiement d’une compensation à toutes les personnes qui revendiquent un droit sur les produits de base pour leur valeur et la perte de profit.
Article 56: Exemption de responsabilité
pour un opérateur d’entrepôt Un opérateur d’entrepôt n’est pas tenu pour responsable au cas où :
1° la perte, la destruction, la dégradation ou la détérioration des produits de base lui livrés pour stockage est imputable aux circonstances de force majeure;

CHAPTER V: INFORMATION,
INSPECTION AND INVESTIGATION
Article 57: Submission of report
The warehouse operator must submit to the Authority the report of activities on quarterly basis. CHAPITRE V: INFORMATIONS, INSPECTION ET ENQUÊTE
Article 57: Soumission de rapport
L'opérateur d'entrepôt doit soumettre trimestriellement à l’Autorité le rapport d'activités. L’Autorité édicte un règlement définissant le format et le contenu du rapport.

Article 58: Power of the Authority to call for
information
The Authority has the power to require in writing a warehouse operator to provide it with such necessary information within reasonable period and verified in such a manner as it was indicated. The obligation to give information under Paragraph One of this Article shall apply without prejudice to any other legal provision.
Article 59: Inspection of warehouses
The Authority or a person it may designate may, whenever necessary, inspect on how any licensed warehouse operator complies with provisions of this Law and terms and conditions of his/her license.
Article 60: Power of the Authority to enter a
warehouse
The Authority has the power to enter a warehouse in order to inspect the storage facilities in the warehouse and how commodities are classified, weighed, graded and stored.
Article 61: Inspection of records and
documents of warehouses
The Authority may inspect any record or document relating to the licensed warehouse,
Article 58: Pouvoir de l’Autorité de
demander des informations L’Autorité a le pouvoir de demander par écrit à l’opérateur d’entrepôt de lui donner certaines informations qu’elle juge nécessaires dans un délai raisonnable et vérifiées de la façon indiquée. Le devoir de donner des informations en vertu de l’alinéa premier du présent article est applicable sans préjudice de toute autre disposition légale.
Article 59: Inspection des entrepôts
L’Autorité ou une personne désignée par lui peut, en cas de besoin, mener une inspection sur la manière dont un opérateur d’entrepôt agréé se conforme aux dispositions de la présente loi et aux termes et conditions de sa licence.
Article 60: Pouvoir de l’Autorité d’entrer
dans un entrepôt
L’Autorité a le pouvoir d’entrer dans l’entrepôt dans le but d’inspecter les locaux de stockage et la façon dont les produits de base sont classés, pesés, rangés par catégories et stockés.
Article 61: Inspection des dossiers et
documents d’un entrepôt
L’Autorité peut contrôler tout dossier ou document relatif à un entrepôt agréé et faire des

1° hari icyakozwe harenzwe ku bivugwa muri iri tegeko cyangwa andi mabwiriza; 2° ucunga ububiko bw'ibicuruzwa yagaragayeho uburangare, uburiganya cyangwa and make copies, or take extracts from them, and where necessary, take possession of such documents.
Article 62: Audit of accounts of a warehouse
A licensed warehouse operator shall be responsible for having the accounts of the warehouse audited by accredited auditors every fiscal year.
Article 63: Selective inquiry
The Authority may make selective inquiries of a warehouse operator or any other person whom he/she has cause to believe that he/she has relevant information relating to activities of the warehouse.
Article 64: Designation of investigators
The Authority, at its own initiative or upon request, may through writing direct one or more of its employees or one or more other persons to investigate and report to it the results of the investigation on matters related to activities of a warehouse when it has cause to believe that:
1° a violation has been committed against this Law or any regulation; 2° a warehouse operator has engaged in negligence, fraud or other misconduct; copies, des extraits et, en cas de besoin, garder en sa possession ces documents.
Article 62: Audit des comptes d’un entrepôt
L’opérateur d’entrepôt agréé a l’obligation de faire auditer les comptes de l’entrepôt par des auditeurs accrédités chaque année fiscale.
Article 63: Demande ponctuelle de
renseignements
L’Autorité peut, de façon ponctuelle, se renseigner auprès de l’opérateur de l’entrepôt ou de toute autre personne qu’elle juge sensée avoir des informations relatives aux activités de l’entrepôt.
Article 64: Désignation d’enquêteurs
L’Autorité peut, de sa propre initiative ou suite à une requête, demander par écrit à un ou plusieurs de ses employés, ou à une ou plusieurs autres personnes de mener une enquête et de lui soumettre les résultats d’enquête sur les questions relatives aux activités d’un entrepôt chaque fois qu’elle a des raisons de croire que:
1° une violation de la présente loi ou de n’importe quel règlement a été commise ; 2° l’opérateur d’un entrepôt a fait preuve de négligence, de fraude ou de mauvaise conduite;

1° kumuha igitabo cyose cyangwa inyandiko yose afite cyangwa ashobora kugeraho byagaragajwe n'ukora iperereza ko bishobora kuba ari ingenzi mu iperereza kandi akabimuhera ku gihe n'ahantu byagaragajwe mu busabe bwe bwanditse; 2° kumuha ibisobanuro cyangwa ibindi bya ngombwa yamusaba bijyanye n'ibitabo cyangwa inyandiko byatanzwe ku mpamvu z’iperereza; 3° kubonana na we ku gihe n'ahantu yamusabye mu nyandiko kandi akavugisha ukuri gushimangiwe n’indahiro iyo ukora iperereza yamusabye kurahira; 3° the manner in which a warehouse operator has engaged or is engaging in his/her warehouse operation business is not in the interest of the consumer or the public interest.
Article 65: Obligation to facilitate the
investigator
Any person who is believed by the investigator to have under his/her control any warehouse record or document which is likely to contain information relevant to an investigation, or who is so believed of otherwise having such information in his/her possession or under his/her control, must:
1 º submit to him/her, any record or document in his/her possession or under his/her control specified by the investigator as may be relevant to the investigation, and submit them to him/her at the time and place specified in a written request; 2 º provide him/her w i t h required explanation or further particulars in respect of any record or document produced for the purpose of investigation; 3 º meet him/her at the time and place as requested in writing, and answer in good faith under oath as may be required by the investigator; 3° la façon dont l’opérateur d’un entrepôt s’est comporté ou se comporte dans les activités de son entrepôt n’est pas dans l’intérêt du consommateur ou dans l’intérêt public.

1 ºlui remettre, dans les délais et à l’endroit indiqués par l’enquêteur dans sa demande écrite, tout dossier ou document en sa possession ou sous son contrôle estimé essentiel pour l’enquête; 2 º lui donner une explication ou autres détails requis en rapport avec tout dossier ou document remis pour cause d’enquête; 3 º se présenter devant lui, à la date et à l’endroit indiqués par écrit par l’enquêteur, et répondre en toute bonne foi sous serment si l’enquêteur l’exige ainsi;

CHAPTER VI: ADMINISTRATIVE
SANCTIONS
Article 66: Issuance of a duplicate warehouse
receipt without following its issuance procedure A warehouse receipt operator who knowingly issues a duplicate warehouse receipt without substantially following the procedure for the issuance of a duplicate warehouse receipt specified in this Law is liable to an administrative fine equivalent to five (5) times the value of the warehouse receipt. Artile 67: Issuance of warehouse receipt without stating that the owner of commodities is also the warehouse operator A warehouse receipt operator or his/her agent who issues a negotiable warehouse receipt which does not state that the owner of commodities is also the warehouse operator is liable to an administrative fine equivalent to three (3) times the value of the commodities. 4 º lui porter toute assistance s u s c e p t i b l e de lui faciliter l’enquête, y compris le fait de répondre à toutes les questions écrites que l’enquêteur peut lui poser. Article 67: Émission d’un récépissé
d’entrepôt sans indiquer que le propriétaire des produits de base est aussi l’opérateur d’entrepôt Un opérateur de récépissé d’entrepôt ou son agent qui émet un récépissé d’entrepôt négociable sans y indiquer que le propriétaire des produits de base est aussi l’opérateur d’entrepôt est passible d’une amende administrative équivalente à trois (3) fois la valeur de ces produits de base.

Article 68: Delivery of commodities without
giving back the negotiable warehouse receipt to the warehouse operator A warehouse operator, an officer in a warehouse or an agent of a warehouse operator who, being aware that a warehouse receipt is outstanding, delivers commodities without getting back a negotiable warehouse receipt at or before the time of such delivery and thereby causes loss or illegal profit to any person is liable to an administrative fine equivalent to three (3) times the value of the commodities.
Article 69: Violation of the general
regulations of the Authority Any person who violates or fails to comply with the general regulations of the Authority is liable to an administrative fine of two million Rwandan francs (Frw 2,000,000).

pour les produits de base non réceptionnés Tout opérateur de récépissé d’entrepôt qui sciemment émet un récépissé d’entrepôt sans avoir physiquement reçu les produits de base dans l’entrepôt ou sans avoir dans l’entrepôt les produits de base dont le nombre, la qualité, le poids et la catégorie correspondent aux informations précisées dans le récépissé d’entrepôt au moment de l’émission du récépissé d’entrepôt commet une infraction. Lorsqu’elle en est reconnu coupable, il est passible d’une peine d’emprisonnement d’au moins cinq (5) ans mais ne dépassant pas sept (7) ans et d’une amende d’au moins trois millions de francs rwandais (3.000.000 Frw) mais ne dépassant pas cinq millions de francs rwandais (5.000.000 Frw) ou de l’une de ces peines seulement.

Article 72: Fraudulent issuance of a
warehouse receipt for commodities Where the issuance of a warehouse receipt for commodities containing any false statement is done fraudulently, the person who issues or aids in issuing of such a warehouse receipt commits an offence. When convicted, he/she is liable to a term of imprisonment of not less than five (5) years but not exceeding seven (7) years and a fine of not less than three million Rwandan francs (Frw 3,000,000) but not exceeding five million Rwandan francs (Frw 5,000,000) or only one of these penalties.
Article 73: Negotiation of warehouse receipt
for commodities under security interest Any person who deposits commodities to which he/she is not entitled to, or upon which there is a lien or security interest, as well as one who receives a negotiable warehouse receipt which he/she afterwards negotiates for value in bad faith without disclosing that he / she is not entitled to the commodities or that there is a lien or security interest on them commits an offence. Article 72: Fraude dans l’émission d’un

Lorsqu’il y a fraude dans l’émission d’un récépissé d’entrepôt contenant une fausse déclaration, celui qui l’émet ou aide dans son émission commet une infraction. Lorsqu’elle en est reconnu coupable, elle est passible d’une peine d’emprisonnement d’au moins cinq (5) ans mais ne dépassant pas sept (7) ans et d’une amende d’au moins trois millions de francs rwandais (3.000.000 Frw) mais ne dépassant pas cinq millions de francs rwandais (5.000.000 Frw) ou de l’une de ces peines seulement.
Article 73: Négociation d’un récépissé
d’entrepôt pour les produits de base grevés de sûreté Toute personne entrepose des produits de base pour lesquels il n’a pas de titre de propriété ou sur lesquels il existe un droit de rétention ou de sûreté, ainsi que celui qui accepte un récépissé d’entrepôt négociable et l’utilise ensuite pour négocier de mauvaise foi une valeur sans révéler l’absence du titre de propriété ou l’existence d’un droit de rétention ou de sûreté sur les produits de base commet une infraction. CHAPTER VIII: MISCELLANEOUS AND
FINAL PROVISIONS
Article 75: Destination of fines

Article 75: Destination des amendes
Les montants des amendes perçues en vertu de la présente loi sont destinés au Trésor public et sont versés sur un compte à la Banque Nationale du Rwanda désigné par l’Autorité.

adoption of this Law
This Law was drafted in English, considered and adopted in kinyarwanda.
Article 77: Repealing provision
The Decree of 20 March 1923 regulating the warehouse receipt system and all prior legal provisions contrary to this Law are hereby repealed.
Article 78: Commencement
This Law comes into force on the date of its publication in the Official Gazette of the Republic of Rwanda.

Article 77: Disposition abrogatoire
Le Décret du 20 mars 1923 portant réglementation du système de récépissés d’entrepôt et toutes les dispositions légales antérieures contraires à la présente loi sont abrogées.
Article 78: Entrée en vigueur
La présente loi entre en vigueur le jour de sa publication au Journal Officiel de la République du Rwanda.
