MAS Amends the Singapore Code on Take-Overs and Mergers

Offeree boards and offerors must ensure aggregate break fees do not exceed 1% of offer value, disclose full details to the Council, and grant equal data room and site visit access to all bona fide offerors. Competing offerors must receive information provided to others within seven days of request, and exclusivity arrangements require a fiduciary-out. Schemes must hold meetings within six months of announcement, and offeree boards must disclose recommendations for all alternative offers. These amendments to the Singapore Code on Take-Overs and Mergers take effect on 16 July 2026.
