Rule · SEBI · 18 Dec 2025
The Securities and Exchange Board of India (SEBI) has modified the conditions for issuing debt securities at a reduced face value of Rs. 10,000 on a private placement basis. This amendment allows issuers to offer zero coupon debt securities, which were previously excluded from the requirement that securities must be interest or dividend bearing. The revised provisions apply to all private placement issues proposed to be listed from the date of issuance and require stock exchanges and depositories to implement necessary system and regulatory changes.
