No. SEC/EEJ/2009-193/163/Office/57—Whereas, under Section 19A of the Securities and Exchange Ordinance, 1969 (Ordinance No. XXVII of 1969), the Securities and Exchange Commission has the power to issue rules and regulations for the purpose of carrying out the provisions of the said Ordinance; and whereas, in exercise of the powers conferred by Section 19A of the said Ordinance, the Securities and Exchange Commission has issued the Securities and Exchange Commission Rules, 1987; and whereas, it is necessary to ensure that the Annual General Meetings of the companies listed on the Dhaka and Chittagong Stock Exchanges are held in a timely manner;
Now, therefore, in exercise of the powers conferred by Section 19A of the Securities and Exchange Ordinance, 1969 (Ordinance No. XXVII of 1969), and Rule 19 of the Securities and Exchange Commission Rules, 1987, the Securities and Exchange Commission hereby directs as follows:
The Annual General Meeting (AGM) of every listed company shall be held within six months from the close of the financial year, in accordance with the provisions of the Companies Act, 1994, and the Securities and Exchange Commission Rules, 1987, and the directives issued by the Commission from time to time.
The provisions of this notification shall come into force immediately.
