This circular amends the internal control regulations for securities companies acting as securities brokers by deleting previous outsourcing provisions and establishing new requirements for delegating functions to third parties. Securities companies must ensure that outsourced marketing standards meet internal benchmarks, retain regulatory reporting responsibilities internally, and appoint at least one employee to oversee outsourced functions. The document further mandates specific documentation, including powers of attorney, customer notifications, and non-disclosure agreements, when custodian functions are delegated to custodian banks or other securities companies.
