In accordance with the Decision of the President of the Republic of Uzbekistan dated July 27, 2017, No. PQ-3150 "On Organizing the Activities of the National Agency for Promising Projects of the Republic of Uzbekistan" and the Decision dated September 2, 2023, No. PQ-291 "On Additional Measures for the Development of the Capital Market," I order:

1. Approve the Regulation on the Procedure for Making Securities Income (Dividends, Interest) Payments through the CJSC Central Securities Depository and (or) Investment Intermediaries in accordance with the Appendix.

2. This Order is coordinated with the Central Bank of the Republic of Uzbekistan.

3. This Order enters into force from the date of its official publication.

REGULATION
On the Procedure for Making Securities Income (Dividends, Interest) Payments through the CJSC Central Securities Depository and (or) Investment Intermediaries

This Regulation establishes the procedure for paying securities income (dividends, interest) through the CJSC Central Securities Depository (hereinafter referred to as the Central Depository) and (or) investment intermediaries, as well as for maintaining accounts of unclaimed income (dividends, interest).

The requirements of this Regulation apply to emission securities in the form of shares and bonds (hereinafter referred to as securities), except for state securities.

Chapter 1. General Provisions

3. The following main concepts are used in this Regulation:

securities income — funds received directly in the form of dividends or interest as a result of ownership of securities;

owners of securities — legal or natural persons to whom securities belong on the basis of ownership rights or other property rights;

registry of owners of securities — a list formed as of a specified date for registered owners of securities, indicating the name of the owner to whom they belong, the name of the issuer of the securities, the number, nominal value, type, and class of these securities, as well as information enabling the sending of information to persons registered in the registry;

issuer — a legal entity issuing emission securities and having obligations towards the owners of these securities;

personal account — an account opened in the Central Depository for the payment and accounting of securities income for owners of securities;

National Agency for Promising Projects of the Republic of Uzbekistan — the authorized state body regulating the activity of the securities market.

2. Dividend payments are carried out automatically to the existing bank account of the shareholder through the Central Depository and (or) investment intermediaries. In this case, the joint-stock company has the right not to require an application from the shareholder regarding the payment of dividends.

Interest payments (coupons) and redemption of corporate bonds are carried out exclusively through the Central Depository.

3. Calculation and payment of securities income are carried out on the basis of the scheme attached to this Regulation.

3. A service contract between the issuer and the Central Depository and (or) investment intermediary regarding the payment of dividends on shares is concluded at least 30 days before the date on which the governing body of the issuer adopts a decision on the payment of dividends.

The Central Depository calculates the interest income payable on bonds based on the issuer's instruction, forms the registry of bond owners, and submits it to the issuer within three days.

3. Within ten days from the date the governing body of the issuer adopts a decision on the payment of dividends, the issuer submits a letter to the Central Depository regarding the formation of the registry of share owners for the calculation and payment of dividends.

3. Within two business days from the date of receipt of the issuer's letter, the Central Depository compiles the registry of share owners for the calculation and payment of dividends and submits it to the issuer for the purpose of carrying out tax calculations on dividends.

3. The following serve as the basis for the Central Depository to compile the registry of owners of securities for the purpose of calculating and paying securities income:

for dividends on shares, the decision of the issuer's governing body regarding the amount of dividends announced on shares (a copy of the protocol of the issuer's authorized governing body);

for bonds, the decision on the issuance of securities and, if available, the securities offering prospectus.

The Central Depository sends an electronic notification to the owners of securities entered in the registry regarding the future payment of securities income using information and communication technologies (personal account, e-mail, SMS, SWIFT) and posts it on the official website of the Central Depository within one business day from the date the registry is formed.

If the contract is concluded between the issuer and the investment intermediary, the Central Depository submits the registry of owners of securities to the investment intermediary within one business day from the date the registry is formed, and the investment intermediary carries out the actions specified in the first part of this paragraph.

1. Compile the registry of share holders for calculating and paying dividends and submit it to the issuer for tax calculations on dividends.

2. Send an electronic notification to security holders entered in the registry about the future payment of securities income using information communication technologies (personal account, e-mail, SMS, SWIFT) and post it on its official website.

3. If the contract is concluded between the issuer and the investment intermediary, submit the registry of security holders to the investment intermediary.

Issuer

Submit the registry of security holders to the Central Depository and (or) investment intermediary after calculating and paying the relevant taxes on securities, and transfer the funds to be paid to security holders to the Central Depository and (or) investment intermediary.

1. Transfer securities income to the personal accounts of individuals entered in the registry of security holders.

2. Transfer securities income to legal entities entered in the registry of security holders to the bank accounts of the legal entities indicated in the registry of security holders.

3. If facts of partial or incomplete payment of income on securities by the issuer are identified, notify the state authority authorized to regulate the securities market.

4. Submit a report on operations performed to the issuer after securities income is paid to security holders.

Central Depository and (or) investment intermediary

1. If there is no possibility to pay securities income according to the bank details of legal entities (absence of bank details, errors in the indicated bank account resulting in non-payment or return by the receiving bank, etc.) and if the information of individuals is insufficient to open a personal account, transfer securities income to the Unidentified Personal Account opened at the Central Depository.

On the same day

2. Identify the security holder or their heir who applied to receive securities income from the Unidentified Personal Account and transfer the securities income to their accounts.

5 business days

3. Submit information about securities income in the Unidentified Personal Account to the National Agency of the Republic of Uzbekistan for Prospective Projects monthly.
