Order Regarding Independent Director

The Bangladesh Securities and Exchange Commission directs independent directors and listed issuer companies in Bangladesh to adhere to specific governance and liability limitations. Independent directors are prohibited from furnishing guarantees, signing mortgage or security documents for company loans, or being reported to the Credit Information Bureau for corporate liabilities, except for personal debts. Furthermore, they cannot be named as parties in criminal or civil suits against the company unless personal liability beyond their director role is proven. This order, issued under section 20A of the Securities and Exchange Ordinance, 1969, takes immediate effect.
