REGULATION N°16 ON ASSET BACKED SECURITIES Pursuant to the Law n° 11/2011 of 18/05/2011 establishing the Capital Markets Authority, especially in its Articles 3 & 4; Pursuant to the Law n° 01/2011 of 10/02/2011 regulating the Capital market, especially in its
Article 74;
Pursuant to the Law n° 40/2011 of 20/09/2011 regulating the Collective Investment Schemes, especially in its Article 64; Pursuant to the Law n° 20/2013 of 25/03/2013 regulating the creation of trusts and trustees; The Capital Market Authority hereinafter referred to as the “AUTHORITY”, decrees:
PART I: GENERAL PROVISIONS
Article one: Purpose
The purpose of these Regulations is to regulate the public offer of Asset Backed Securities in Rwanda. PARTIE PREMIERE: DISPOSITIONS GENERALES
Article premier : Objet des présents Règlements
Les présents Règlements ont pour objet de réglementer l‟offre publique des titres garantis par des actifs au Rwanda.

Article 2: Definitions
„‟Act‟‟ Means the law n°20/2013 of 25/03/2013 regulating the creation of trusts and trustees. “adviser” means a person appointed to arrange, package, place or market the application for issue, offer and listing of the asset backed securities; “asset backed securities” means securities:
(a) that are issued as part of a securitization transaction in which assets are transferred to a third party that issues the securities ; (b) that are primarily serviced, with respect to both return of investment and return on investment, by cash flow from assets described in paragraph (a) above; “asset backed securities holder” means the person whose name appears in the register of asset-backed securities holders;
Article 2: Définitions
«Loi» désigne la loi n°20/2013 du 25/03/2013 portant règlementation de la création des fiducies et des fidéicommissaires; « Conseiller » désigne une personne désignée pour organiser, regrouper, placer et commercialiser les demandes d‟émission, d‟offre et de cotation des titres garantis par des actifs; «Titres garantis par des actifs» désigne des titres :
(a) qui sont émis dans le cadre d‟une opération de titrisation dans laquelle les actifs sont transférés à un tiers qui émet les titres; (b) qui sont principalement alimentés, en ce qui concerne à la fois les opérations sur titres et le rendement sur des titres, par des flux de trésorerie provenant des actifs décrits à l‟alinéa (a) ci-dessus; «Détenteur de titres adossés à des actifs» désigne la personne dont le nom apparaît dans le registre des détenteurs de titres garantis par des actifs;

contenant des informations en relation avec une émission de titres adossés à des actifs et un appel d‟offres au public

section thereof;
“originator” means the entity that seeks to transfer its assets in a securitization transaction; “Securitization transaction” means an arrangement which involves the transfer of assets or risk to a special purpose vehicle where such transfer is funded by the issuance of securities to investors and payments to investors in respect of such debt securities are principally derived, directly or indirectly, from the cash flows of the transferred assets. ou à une partie du public à souscrire à l‟achat de titres garantis par des actifs; «Emetteur» désigne une entité qui cherche à offrir ou offre au public ou à une partie du public des titres garantis par des actifs. «Donneur d‟ordre » désigne l‟entité qui cherche à transférer ses actifs dans une opération de titrisation; «Opération de titrisation» désigne un accord qui concerne la cession d‟actifs ou de risques à un véhicule de titrisation lorsque ce type de cession est financé par l‟émission de titres à des investisseurs et que les paiements aux investisseurs en rapport avec ces titres de créance découlent principalement, directement ou indirectement, des flux de trésorerie des actifs transférés.

IGICE CYA II: GUHAMAGARIRA RUBANDA KUGURA IMIGABANE ISHINGIYE KU NGWATE Y‟UMUTUNGO Ingingo ya 4: Ibisabwa kugira ngo umuntu ajye mu batanga umwenda Utanga umwenda agomba kuba ari:
(a) sosiyete ihamagarira rubanda kuyiguramo “selling agent,” means the entity appointed to distribute or offer the asset-backed securities to the public or a section thereof; “servicing agent” means an entity appointed to manage collections on the assets underlying the asset backed securities and administering the cash flows of the asset pool; “Trustee” has the same meaning as in the act.
Article 3: Scope of the regulations
These regulations shall apply to a public issue of asset backed securities where the issuer of those securities is resident in Rwanda and it is intended that the securities shall be listed on an approved securities exchange in Rwanda or elsewhere.
PART II: PUBLIC OFFER OF ASSET
BACKED SECURITIES
Article 4: Eligibility to be originator
The originator shall be:
(a) a public company incorporated or «Agent de vente», désigne l‟entité désignée pour distribuer ou offrir au public ou à une section de celui-ci des titres garantis par des actifs; «Agent de service» désigne une entité désignée pour gérer les recouvrements des actifs sous￾jacents des titres garantis par des actifs et la gestion des flux de trésorerie de la masse d‟actifs; «Fiduciaire» a la même signification que celle prévue par la Loi ;
Article 3: Champ d‟application des présents

Les présents Règlements s‟appliquent à une émission publique de titres garantis par des actifs, auquel cas l‟émetteur de ces titres réside au Rwanda et il est prévu que ces titres doivent être cotés sur une bourse de titres autorisée au Rwanda ou ailleurs. PARTIE II: OFFRE PUBLIQUE DES TITRES GARANTIS PAR DES ACTIFS
Article 4: Conditions pour être un donneur

(a) une société publique constituée ou

Article 5: Purchase of asset backed securities
by originator
An originator may, purchase no more than the cumulative sum of ten percent at any time of the total value of any asset backed securities issued pursuant to a transfer of its own assets to the Issuer unless otherwise permitted by the Authority. The restriction in paragraph (1) shall not apply to the holding of subordinated securities by the originator.
Article 6: The Issuer

Article 6: Emetteur
L‟émetteur doit être une société constituée ou enregistrée en vertu de la Loi relative aux sociétés commerciales ou avoir une telle autre forme qui peut être approuvée par l‟Autorité.

Article 7: Objects of the issuer
The objects of an issuer shall be to:
(a) offer, issue and list of asset backed securities; (b) purchase of eligible assets, enter into principle agreements required in connection to a securitization transaction; (c) the undertaking of any other matters incidental thereto.
Article 8: No relation of issuer to originator

Article 8: Interdiction de relation entre

Article 9: Dissolution of issuer
An issuer shall not be voluntarily wound up until the asset backed securities issued by the issuer are fully redeemed in accordance with the terms and conditions of the asset backed securities.
Article 10: Voluntary winding up of issuer
The written consent of the board of directors or governing body of the issuer and the Authority shall be sought before the commencement of any voluntary winding up proceedings of the issuer.
Article 11: Auditor of the Issuer
An auditor appointed by an issuer shall be a member of the Institute of Certified Public Accountants of Rwanda or such other recognized professional body and shall comply with the international standards on auditing in conducting the audit. en aucun cas impliquer toute relation avec le donneur d‟ordre.
Article 9: Dissolution de l‟émetteur

Article 10: Liquidation volontaire de l‟émetteur
Le consentement écrit du Conseil d'administration ou d‟un organisme dirigeant de l‟émetteur et de l‟Autorité doit être demandée avant que les procédures de liquidation volontaire de l‟émetteur ne soient entamées.
Article 11: Auditeur de l‟émetteur

Article 12: Record keeper of the Issuer
Where an issuer delegates the record keeping functions to another entity, the officer-in-charge of the other entity shall have the necessary expertise to perform such function.
Article 13: Appointment of servicing agent
An issuer shall appoint a servicing agent in accordance with these Regulations.
Article 14: Eligibility for appointment
A servicing agent shall be independent of the issuer, but may be the originator in so far as the originator provides these services on an arms length basis and subject to market terms and conditions.
Article 15: Records to be maintained by
servicing agent
A servicing agent shall keep such books of account, records and statements in the name of the issuer as may be necessary to give a complete record of:

A servicing agent shall permit authorized agents of the Authority to inspect such books of account, records and statements at any time during working hours.
Article 16: Remittance of funds
A servicing agent shall, unless operating as the credit enhancer, be under no obligation to release any funds for the benefit of the asset backed securities holders unless or until it has received the same from the issuer.
Article 17: Provision of liquidity by servicing
agent
A servicing agent may operate as a liquidity provider to ensure that timely payments are made to the asset backed securities holders where there is a cash-flow shortfall on a payment or repayment date in respect to the relevant asset (a) tous les recettes et paiements en ce qui concerne les actifs éligibles et de titres garantis par des actifs; (b) le portefeuille des actifs éligibles; (c) toute transaction effectuée par l‟émetteur. Article 18: Resignation of servicing agent
A servicing agent who intends to resign shall give three months notice in writing to the issuer and copy the notice to the Authority, stating such intention and the reasons for resignation. Notwithstanding the notice period stipulated in paragraph (1), the resignation shall not come into effect until a replacement has been duly appointed by the issuer.
Article 19: Removal of servicing agent
An issuer who intends to terminate the appointment of a servicing agent shall inform the Authority of such intention at least three months prior to the termination and shall provide the Authority with the copy of the relevant notice and the reasons for termination.
Article 20: Appointment of new servicing
agent
An issuer shall appoint a new servicing agent at least thirty days before the expiry of the term of the outgoing servicing agent and ensure that paiement ou de remboursement en ce qui concerne les titres garantis par des actifs concernés.

Un émetteur qui envisage de révoquer un agent de service doit informer l‟Autorité de son intention au moins trois (3) mois avant la révocation et réserver à l‟Autorité une copie de son intention et les raisons de la résiliation.
Article 20: Nomination d'un nouvel agent de
service
Un émetteur doit désigner un nouvel agent de service au moins trente (30) jours avant l‟expiration de la durée de service de l‟agent de

Article 21: Handover to new servicing agent
An outgoing servicing agent shall hand over to the incoming servicing agent all the books of account, documents and records that are required to be kept under these Regulations.
Article 22: Liquidity Provider
A liquidity provider may decline to advance sums to an issuer unless it is certain that such amounts are recoverable and payable in full from the issuer pari passu or in priority to credit enhancers and asset backed securities holders. Un apporteur de liquidités peut refuser d‟avancer des sommes à un émetteur, sauf si il est certain que ces montants sont recouvrables et exigibles en totalité de l‟émetteur pari passu ou en priorité aux rehausseurs de crédit et aux détenteurs des titres garantis par des actifs. Il est interdit à un apporteur de liquidités d‟assumer le risque de crédit d‟un émetteur ou d‟agir comme un rehausseur de crédit à moins qu‟il soit nommé pour agir comme un rehausseur de crédit.

Article 23: Appointment and role of trustee
(1) An issuer shall appoint a trustee who shall:
(a) be the trustee for the asset backed securities holders; (b) enforce the rights of the asset backed securities holders as against the issuer, credit enhancer or any other such person against whom the trustee and the asset backed securities holders have recourse; (c) have such other duties and obligations as indicated by the terms and condition of its trust deed.
Article 24: Rights of trustee
A trustee shall have all such rights as may accrue to the asset backed securities holders including

PART III: ISSUE OF ASSET BACKED
SECURITIES
Article 25: Sponsors
An originator shall appoint a sponsor who shall be responsible for liaising with the Authority on the offer, issue and listing of the asset backed securities. An originator may also appoint such other advisers as it deems necessary.
Article 26: Form of application

Compliance with the requirements set out in these Regulations does not guarantee an applicant‟s suitability which shall be determined by the Authority. The application to be submitted shall be accompanied by:
(a) a term sheet setting out the salient terms and conditions of the proposed structure of the proposed securitization transaction including:
(i) name, date and place of incorporation, names and professions of directors, names and interests of shareholders and proposed structure of the Issuer ; (ii) name, date and place of incorporation, names and professions of directors, names and interests of shareholders of the originator; (iii)names and addresses of the transaction advisers; (iv)securitization transaction overview; (v) proposed arrangements for the transfer of eligible assets and nature of the eligible assets; Le respect des exigences énoncées dans les présents Règlements ne garantit pas l‟aptitude d‟un requérant qui doit être déterminée par l‟Autorité. Article 27: Documents to be lodged and
available for inspection
The information memorandum and all required information relating to the proposed securitization and asset backed securities shall be submitted to the Authority within a period of not less than twenty eight days before the opening of the offer period and the Authority may require additional disclosures as it deems fit. All documents which are required to accompany the application and the documents referred to in the information memorandum shall be made available for inspection at the registered office of the issuer for the period which the asset backed securities are in issue, unless otherwise advised by the Authority. The Authority, may at its own discretion, waive any requirements imposed by these regulations.
Article 28: Offer Period

Article 29: Manner of subscription
Subscription for the issue of asset backed securities shall be made through one or more of the selling agents.
Article 30: Subscription proceeds
The subscription amount shall be deposited with the selling agent and all the proceeds shall be held in a separate trust account in the name and for the benefit of the issuer and shall be applied by the issuer for the purposes specified in the information memorandum immediately after the offer period is closed. Notwithstanding paragraph (1) where the minimum subscription is not raised, the issuer shall refund the subscribers their subscription amount.
Article 31: Allotment of securities
The allotment of securities offered to the public si l‟Autorité approuve le contraire.

Article 32: Publication of results of offer
The results of the allotment of a public offer shall only be published after the Authority has received prior notification of not less than twenty four hours.
PART IV: ASSETS TO BE SECURITIZED
Article 33: Eligible assets
The assets to be securitized for purposes of en stricte conformité avec la politique d‟attribution décrite dans la note d‟information. (a) capable of generating a true and identifiable revenue stream that is projected to be sufficient to service the return of and return on securities as well as allowable expenses for the life of the asset backed securities; (b) Free from any encumbrances or impediments to their free transfer and their transfer shall not constitute an event of default or acceleration trigger under any security agreement relating to the assets of the originator; (c) transferred at fair value.
Article 34: Right to transfer of assets
An originator shall have and demonstrate an unencumbered right to transfer all legal and beneficial interests in the eligible assets and the rights to the eligible asset. à des fins de l‟émission des titres garantis par des actifs doivent être :

Article 34: Droit de transférer des actifs
Un donneur d‟ordre doit avoir et démontrer un droit sans restriction de transférer tous les intérêts juridiques et bénéficiaires liés aux actifs éligibles et les droits aux actifs éligibles.

Article 35: Transfer of assets
An originator shall transfer all its rights, title, interests and obligation in the assets to the Issuer and shall not retain any beneficial interest or liability. Where the eligible assets have declined to a level that renders the asset securitization transaction uneconomical to carry on, the originator may retain a first right of refusal to repurchase assets from an Issuer at a fair value. The originator may repurchase assets from the issuer where the originator is under an obligation to do so under a securitization transaction when it has breached any conditions, representation or warranty in respect of the securitization transaction.
Article 35: Transfert des actifs
Un donneur d‟ordre doit transférer à l‟émetteur tous ses droits, titres, intérêts et obligations liés aux actifs et ne doit pas conserver un intérêt bénéficiaire ou un passif. Lorsque les actifs éligibles ont diminué à un niveau qui rend l‟opération de titrisation d‟actifs non rentable au point de ne pas être effectué, le donneur d‟ordre peut conserver le droit de préemption en ce qui concerne le rachat des actifs auprès d‟un émetteur à une juste valeur. Le donneur d‟ordre peut racheter des actifs de l‟émetteur lorsque le donneur d‟ordre se trouve dans l‟obligation de le faire en vertu d‟une opération de titrisation quand il a violé les conditions quelconques, une déclaration ou une garantie dans le cadre de l‟opération de titrisation.

PART V: CREDIT RATING AND CREDIT
ENHANCEMENT
Article 36: Credit rating
All securitization transactions shall, as far as is practicable, be rated by an independent credit rating agency.
Article 37: Credit enhancement
An issuer may seek credit enhancement of the issue, which enhancement may be in the form of:
(a) over-collateralization; (b) a standby letter of credit or line of credit issued by a bank or financial institution that is licensed by the National Bank of Rwanda; PARTIE V: NOTATION DE CREDIT ET REHAUSSEMENT DE CREDIT

(c) a guarantee by a bank or financial institution that is licensed by the National Bank of Rwanda; (d) surety bond issued by a duly licensed insurance company other than the originator or its subsidiary, its parent company or the parent company; (e) an instrument issued by a bilateral or multilateral institution of which Rwanda is a member; (f) issue of subordinated tranches; (g) an instrument issued by the Government of Rwanda; (h) such other instrument or mechanism from such other entity as may be approved by the Authority. Where the credit enhancement is to be provided by a bank, financial institution or insurance company licensed in Rwanda, the credit enhancement shall only be provided with the prior written consent of the National Bank of Rwanda in the case of a bank or financial institution or the Insurance Regulator in the case of an insurance company. Article 38: Listing
Following the approval and issue, the asset backed securities approved under these regulations, shall be listed on the fixed income securities market segment at an approved securities exchange in Rwanda or elsewhere. An issuer of asset backed securities seeking to list on a fixed income securities market segment of an approved securities exchange in Rwanda shall comply with the listing requirements of the securities exchange. An issuer of asset backed securities approved to offer, issue or list shall pay the prescribed fees.
Article 39: Repealing inconsistent provisions
All prior regulatory provisions contrary to these regulations are hereby repealed.
Article 40: Commencement
This regulation shall come into force on the date of its publication in the Official Gazette of the Republic of Rwanda.
Article 38: Cotation
Suite à l‟autorisation et à l‟émission, les titres garantis par des actifs approuvés en vertu des présents règlements, doivent être cotés sur le segment du marché des titres à revenu fixe sur une bourse de titres agréée au Rwanda ou ailleurs. Un émetteur de titres garantis par des actifs qui cherchent faire la cotation sure un segment d‟un marché des titres à revenu fixe d‟une bourse de titres approuvée au Rwanda doit se conformer aux exigences de cotation de bourse des titres. L‟émetteur des titres garantis par des autorisés à offrir, émettre ou coter les titres doit payer les droits prescrits.
Article 39: Disposition abrogatoire
Toutes les dispositions réglementaires antérieures contraires aux présents Règlements sont abrogées.
Article 40: Entrée en vigueur
Les présents Règlement entrent en vigueur le jour de sa publication au Journal Officiel de la République du Rwanda.

The originator shall disclose the following information regarding eligible assets and explanatory notes where applicable:
