Article 74;
Pursuant to the Law N° 40/2011 of 20/09/2011 regulating the Collective Investment Schemes especially in its Article 64; The Capital Market Authority hereinafter referred to as the “AUTHORITY”, decrees:
CHAPTER I: DEFINITIONS
Article 1: Definitions

CHAPITRE PREMIER : DEFINITIONS
Article 1 : Définitions
Aux fins des présents règlements, les termes repris ci-après ont les significations suivantes:

In these Rules the following words shall have the meanings thereby assigned; “A recognized stock exchange” means a stock exchange approved under Capital Markets legislation in any jurisdiction. “Act” means the Law N°01/2011 of 10/02/2011 regulating the Capital market in Rwanda ; “Authority” means the Capital Market Authority. “Eligible applicant” means a body corporate, which satisfies the criteria for eligibility specified in the regulations on capital markets Public offer and issue of Securities «Une bourse de titres reconnue» désigne une bourse de titres approuvée en vertu de la Loi régissant les marchés des capitaux dans n‟importe quel ressort. «Loi» désigne la Loi N°01/2011 du 10/02/2011 Portant regulation du marche des Capitaux au Rwanda; «L’OFFICE» désigne l‟Autorité du marché des capitaux; «Requérant éligible» désigne une personne morale, qui satisfait aux critères d'éligibilité spécifiée dans les règlements sur les marchés financiers offre publique et l'émission de valeurs mobilières. « Note d’information » désigne un document accompagnant une demande d‟approbation d‟une introduction, et contenant les

Ingingo ya 3: Inyandiko zigomba gutangwa Ubusabe butanzwe hakurikijwe aya Mabwiriza bugomba guherekezwa n‟inyandiko zikurikira:
(a) Inyandiko ndangabikorwa; “Primary regulator” means the securities regulator in the primary Jurisdiction. Any word, term or expression used in these Rules, and which has been defined in the Act, has the meaning assigned to it by the Act.
Article 2. Eligibility criteria for cross listing
of securities
An applicant for the approval of an Introduction shall meet the requirements specified in the regulations on capital markets Public offer and issue of Securities.
Article 3: Documents to be submitted
présents Règlements et qui a été défini dans la Loi, garde la signification qui lui est donnée dans la Loi.
Article 2. Critère d’éligibilité pour la double
cotation des titres
Un requérant qui demande l‟approbation d‟une Introduction satisfaire aux exigences précisées dans les règlements sur les marchés des capitaux offre publique et l'émission de valeurs mobilières.
Article 3: Documents à soumettre
Une demande adressée en vertu des présents Règlements doit être accompagnée par :
(a) une Note d‟information; (b) Une lettre de «non objection» délivrée par régulateur principal du requérant;

(b) Ibaruwa usaba yahawe n‟umugenzuzi w‟ibaze w‟aho akorera igaragazako nta nzitizi imubuza gusaba (c) Ibaruwa usaba yahawe n‟isoko ry‟ibanze ry‟ibicuruzwa ry‟aho akorera igaragazako nta nzitizi imubuza gusaba (d) iyo usaba ari banki cyangwa sosiyete y‟ubwishingizi cyangwa se indi sosiyete yose ikorerwa igenzura, hagomba gutangwa ibaruwa usaba yahawe n‟ikigo ngenzuramikorere kibifitiye ububasha igaragazako nta nzitizi imubuza gusaba; (e) Inyandiko igaragaza inama itangwa n‟umwavoka ukorera mu Rwanda cyangwa se undi mwavoka uwo ari we wese wo mu karere k‟Afurika y‟iburasirazuba ufite uwo bakorana mu Rwanda; (f) Ubusabe bwo kugira ngo ibicuruzwa byo ku isoko ry‟imari n‟imigabane ryo mu gihugu iki n‟iki byemerwe ku isoko ryo mu Rwanda bugomba gushyikirizwa Umuyobozi Mukuru w‟Isoko ry‟ibicuruzwa ku isoko ry‟imari n‟imigabane mu Rwanda butanzwe n‟uwunganira amasosiyete mu kuyafasha kuzuza ibyangombwa bituma ashobora kubona amafaranga An application under these rules shall be accompanied by:
(a) an Information Memorandum; (b) a letter of “No Objection” from the applicant‟s primary regulator; (c) a letter of “No Objection” from the applicant‟s primary exchange; (d) in the case where the applicant is a bank or an insurance company or any other regulated corporate body, a letter of “No Objection” from the relevant regulatory authority; and (e) a legal Opinion by an Advocate practicing in Rwanda or any EAC Advocate that has an affiliate in Rwanda; (c) une lettre de «non objection» délivrée par la bourse principale du requérant; (d) lorsque le requérant est une banque ou une compagnie d‟assurance ou tout autre personne morale soumise à la réglementation, une lettre de «non objection» de l‟autorité de régulation compétente, et (e) un avis juridique par un avocat exerçant au Rwanda ou de tout autre avocat exerçant dans l‟EAC mais ayant un affilié au Rwanda ; (f) Une demande de double cotation des titres sur la Bourse des titres au Rwanda (RSE) doit être adressée au Directeur Général de la RSE par un membre autorisé agissant comme sponsor opérant sur le marché de la RSE.

Ingingo ya 4: Amafaranga yakwa kugira ngo ibicuruzwa byo ku isoko ry’imari n’imigabane ryo mu gihugu iki n’iki byemerwe ku isoko ryo mu Rwanda

1. Nta mafaranga yakwa kugira ngo
   ibicuruzwa byo ku isoko ry‟imari n‟imigabane ryo mu gihugu iki n‟iki byemerwe ku isoko ryo mu Rwanda
2. Amafaranga yakwa buri mwaka ku
   (f) An application for cross listing of securities at the RSE shall be made to the CEO of RSE by a sponsoring Licensed Dealing Member of the RSE Market. The Authority may require an applicant to furnish such further information or documentation, as the Authority may deem necessary for purposes of the application for an Introduction. L‟Autorité peut, si elle le juge nécessaire, demander à un requérant de fournir des renseignements ou des documents supplémentaires dans le cadre de la demande pour une Introduction. Une Note d‟information ne peut être publiée ou distribuée sans se conformer aux règlements relatifs au prospectus.
   Article 4. Frais de la double cotation

UMUTWE WA II: INGINGO ZISOZA Ingingo ya 5: Ibisabwa bikomeza kubahirizwa na nyir’ibicuruzwa byemerewe ku isoko ry’imari n’imigabane Sosiyete isanzwe ifite ibicuruzwa byo ku isoko ry‟imari n‟imigabane ryo mu kindi gihugu byemerewe ku isoko ryo mu Rwanda igomba kubahiriza ibisabwa bikomeza kubahirizwa na nyir‟ibicuruzwa byemerewe ku isoko ry‟imari n‟imigabane byagenwe n‟Isoko ry‟imari An Information Memorandum shall not be published or distributed without compliance with regulations related to the prospectus. .
Article 4. Cross Listing Fee
1. No Cross Listing fee shall be charged.
2. Annual Listing fee shall be the normal
listing fees as provided by the Rwanda Stock Exchange Rules;
1. Aucun frais d'inscription de la double
cotation sont à la charge.
2. Les frais de cotation annuelle sont des
frais de cotation ordinaires prévus par les Règlements régissant la Bourse de titres du Rwanda ;
3. Les nouveaux titres supplémentaires
d‟une une société inter-cotée (titres) sont les frais de cotation ordinaires applicables aux titres supplémentaires tels que prévus par les Règlements régissant la Bourse de titres du Rwanda. CHAPITRE II: DISPOSITIONS FINALES
Article 5. Exigences qu’il faut continuer de
respecter dans la cotation

Ingingo ya 7: Ivanwaho ry’ingingo zinyuranye n’aya mabwiriza Ingingo zose z‟abambwiriza zibanziriza aya mabwiriza kandi zinyuranyije nayo zikuweho. Ingingo ya 8: Igihe aya mabwiriza atangira gukurikizwa
3. New additional securities by a cross￾listed company (securities) shall be the
normal listing fees for additional securities as provided by the Rwanda Stock Exchange Rules.
CHAPTER II: FINAL PROVISIONS
Article 5. Continuing Listing Requirements
A cross listed company shall comply with all the continuing listing requirements of the Rwanda Stock Exchange (RSE) market. Une société inter-cotée doit continuer de respecter les exigences de cotation du marché de la Bourse des titres du Rwanda (RSE).
Article 6. Transactions sur des titres inter￾cotés
Les transactions sur des titres inter- cotés doivent être soumises aux Règlements relatifs à la négociation, à la compensation, au règlement et au dépôt établis par la Bourse des titres du Rwanda (RSE) et le Dépositaire Central de Titres (CSD).

Article 6. Transactions in Cross Listed
Securities
Transactions in cross listed securities shall be subject to the Trading, Clearing, Settlement and Depository Rules of the Rwanda Stock Exchange (RSE) and Central Securities Depository (CSD).
Article 7. Repealing inconsistent provisions
Article 7. Disposition abrogatoire
Toutes les dispositions antérieures contraires aux présents Règlement sont abrogées.
Article 8: Entrée en vigueur
