Regulation on the Structure and Content of Annual and Semi-Annual Reports and Other Reports of UCITS Funds

The regulation mandates management companies to maintain accounting books and prepare annual and semi-annual reports for UCITS funds in accordance with the Law on Open-Ended Investment Funds with Public Offering, accounting regulations, and IFRS. REGULATION
ON THE STRUCTURE AND CONTENT OF ANNUAL AND SEMI-ANNUAL REPORTS AND OTHER REPORTS OF UCITS FUNDS ("Narodne novine", No. 105/17, 98/20, 155/22, 12/24 and 60/26 – unofficial consolidated text)

INTRODUCTORY PROVISIONS
Article 1. (NN 60/26)
This Regulation governs:
– the keeping of accounting records, content, form, publication, method and deadlines for the preparation and submission of annual and semi-annual reports by which the management company reports to the Croatian Financial Services Supervisory Agency (hereinafter: the Agency) and other external users on the financial position, performance and cash flows of the UCITS fund it manages, – other reports prepared for supervisory purposes, – the content of the quarterly business report of the UCITS fund and – the deadlines and method of submission of the document with key information.

KEEPING OF ACCOUNTING RECORDS AND PREPARATION OF ANNUAL AND SEMI-ANNUAL REPORTS
Article 2. (NN 60/26)
(1) The management company is obliged to keep accounting books for the UCITS fund, and to prepare and publish annual and semi-annual reports in accordance with the Law on Open-Ended Investment Funds with Public Offering ("Narodne novine", No. 44/16, 126/19, 110/21, 76/22, 152/24 and 13/26, hereinafter in the text: the Law), regulations governing accounting and International Financial Reporting Standards. (2) The management company is obliged to record business events in the accounting books of the UCITS fund using accounts at least to the extent equal to the chart of accounts prescribed in Annex 1 of this Regulation.

CONTENT AND FORM OF ANNUAL AND SEMI-ANNUAL REPORTS
Article 3.
(1) The annual and semi-annual reports of the UCITS fund consist of the reports from Article 205, paragraph 1 of the Law.
(2) The management company is obliged to prepare annual reports for the management company for the business year period and semi-annual reports for the first six months of the business year for the UCITS fund it manages. (3) The notes to the financial statements which are an integral part of the semi-annual reports of the UCITS fund from Article 205, paragraph 1, point g) of the Law should cover only significant business events and changes in accounting policies compared to the last published annual reports of the UCITS fund.

(4) In the notes to the annual reports from Article 205, paragraph 1, point g) of the Law, the management company is obliged to publish each individual investment:

  1. in transferable securities and money market instruments issued by related persons of the management company,
  2. in shares of investment funds managed by a related person of the management company,
  3. the impact of investments from points 1 and 2 of this paragraph on profit and loss and the financial position of the UCITS fund.
    (5) The management company is obliged to publish in the notes to the annual reports from Article 205, paragraph 1, point g) a summary of fees and other transaction costs incurred during the purchase or sale of financial instruments through a related person of the UCITS fund. (6) Annual reports from paragraph 1 of this Article must be audited by an independent external authorized auditor, and are prepared in accordance with the structure and content defined on the forms in Annex 2 of this Regulation. (7) The management company managing a feeder UCITS fund is obliged to publish in the notes to the semi-annual and annual financial statements of the feeder UCITS fund the information from Article 317 of the Law. (8) Audited annual reports, in the event of incorrect calculation of the UCITS fund share price and in the event of a breach of investment restrictions within the meaning of Article 259, paragraph 4 of the Law, must contain the damage compensation procedures from Article 110, paragraph 5 of the Law. (9) The management company, when preparing the Cash Flow Statement from Article 205, paragraph 1, point c) of the Law for the UCITS fund, may use either the direct or indirect method. (10) The management company is obliged to publish in the notes to the annual reports of the UCITS fund, in the sense of fulfilling the obligation from Article 257, paragraph 4 of the Law, the maximum percentage of management fee charged from the fund's assets and from the assets of another investment fund into which that fund has invested, for all investments in shares or stocks of investment funds if such investments, on an annual level, had a share greater than 20% of the average annual net asset value of the UCITS fund. (11) In addition to the reports from paragraph 1 of this Article, the Agency may request additional data, information and explanations of certain items in the annual and semi-annual reports of the UCITS fund from the management company. (12) The management company is obliged to additionally describe in the annual report of the UCITS fund, in addition to the information prescribed by the Accounting Law:
    – significant economic and macroeconomic trends in the reporting period, which directly or indirectly affected the business operations of the UCITS fund, or their impact on the movement of the net asset value of the UCITS fund and individual asset classes, including the exposure of the UCITS fund to significant risks, – measures and activities undertaken for the purpose of implementing investment policy and making investment decisions in relation to market, economic and macroeconomic trends and activities undertaken for the purpose of managing exposure to significant risks. – achieved effects and results of the measures and activities from the previous bullet point.

TOTAL COST INDICATOR
Article 4.
(1) The total cost indicator, which is expressed in the Report on Special Indicators of the UCITS fund, is calculated by summing the total costs from Article 247, paragraph 2 and Article 248, paragraph 2 of the Law, except for costs from points 2 and 7, dividing by the average annual net assets of the UCITS fund and multiplying by 100. (2) Fees and costs payable to the depositary from Article 248, paragraph 2, point 1 of the Law include fees paid to the depositary based on the performance of depositary activities from Article 218 of the Law.

(3) Costs, commissions or fees related to the acquisition or sale of assets from Article 248, paragraph 2, point 2 of the Law refer to costs, regardless of whether payable to the depositary or another entity, which arose exclusively due to the acquisition or sale of assets of the UCITS fund, and which may include, but are not limited to, commissions and fees to the investment company, stock exchange, clearing house, trustee, payment transaction costs, etc. (4) The management company is obliged to periodically, at least once a quarter, monitor the movement of the total cost indicator on an annual level. (5) The management company is obliged, based on the data on the monitoring of the movement of the total cost indicator, without delay to take measures that will ensure compliance with Article 251 of the Law. (6) The measures from paragraph 5 of this Article are obliged to be taken by the management company exclusively within the year for which the total cost indicator is calculated. (7) The management company, when taking measures from paragraph 5 of this Article, is obliged to strive to ensure equal treatment of all investors in the UCITS fund, on the level of the whole year.

REPORTING ON UCITS FUND SHARE CLASSES
Article 5.
(1) If shares in the UCITS fund give different rights to their holders (share classes) in accordance with Article 104 of the Law, the management company is obliged to disclose for each share class of the UCITS fund in the notes to the annual and semi-annual reports:
– details regarding the rights given by each share class of the UCITS fund, – the number of issued shares by individual share classes of the UCITS fund for the date of preparation of the annual and semi-annual reports and for the date of the previous business year, – the share price by individual share classes of the UCITS fund for the date of preparation of the annual and semi-annual reports and for the date of the previous business year in the case where rights from a particular share class result in a different share price, – distributed profit by individual share classes of the UCITS fund for the annual and semi-annual reporting period and for the previous annual and semi-annual reporting period. (2) If rights from a particular share class result in a different UCITS fund share price, the management company does not disclose data on the positions Net Assets of the Fund, Number of Issued Shares and UCITS Fund Share Price in the UCITS Fund Financial Position Report. (3) Additional reports from Article 6, paragraph 1, bullet points 3 and 4 of this Regulation are obliged to be prepared by the management company for each individual share class of the UCITS fund.

ADDITIONAL REPORTS OF THE UCITS FUND
Article 6. (NN 12/24, 60/26)
(1) Additional reports of the UCITS fund are:
– report on realized profits (losses) from the sale of financial instruments of the UCITS fund, the content of which is prescribed by Annex 3 of this Regulation, – report on unrealized profits (losses) and impairment of assets of the UCITS fund, the content of which is prescribed by Annex 4 of this Regulation, – report on shareholders of the UCITS fund, the content of which is prescribed by Annex 5 of this Regulation, – report on the first 10 investors of the UCITS fund, the content of which is prescribed by Annex 6 of this Regulation and – report on the currency exposure of the UCITS fund, the content of which is prescribed by Annex 7 of this Regulation – statistical reports.

(2) The management company is obliged to prepare additional reports from paragraph 1, bullet points 1 and 2 of this Article for the UCITS fund it manages for the period of the business year and for the period of the first six months of the business year. (3) The management company is obliged to prepare additional reports from paragraph 1, bullet points 3 and 4 of this Article for the UCITS fund it manages as of March 31, June 30, September 30 and December 31. (4) The management company is obliged to prepare, for the UCITS fund it manages, whose net assets on the working day for which the report is filled are equal to or exceed 6,500,000.00 euros, an additional report from paragraph 1, bullet point 5 of this Article. The report is prepared for each working day. (5) Exceptionally from paragraph 4 of this Article, the management company for the UCITS fund whose prospectus stipulates that it must not have currency exposure is not obliged to submit the report from paragraph 1, bullet point 5 of this Article. (4) In addition to the additional reports from paragraph 1 of this Article, the management company is obliged to prepare for each money market UCITS fund it manages the report from Annex to Commission Implementing Regulation (EU) 2018/708 of 17 April 2018 laying down implementing technical standards with regard to the form that money market fund managers should use for reporting to competent authorities as provided for in Article 37 of Regulation (EU) 2017/1131 of the European Parliament and of the Council (Text with EEA relevance); Reporting Form for Money Market Fund Managers. (5) Statistical reports from paragraph 1, bullet point 6 of this Article are reports on the work of UCITS funds whose content, form and deadlines for submission, depending on the need for research/analysis of the non-bank financial services system, public reporting and service users and exchange of information with other supervisory authorities and/or institutions competent for statistics or public supervision, are created by the Agency. (6) Exceptionally from paragraph 5 of this Article, the Agency, without prejudice to the principles of competence, confidentiality and data protection, may accept statistical questionnaires, or the method of data collection created by other supervisory authorities and/or institutions competent for statistics. (7) The management company is obliged to prepare and submit the reports from paragraph 5 of this Article in the manner and within the deadlines according to the request of the Agency.

Quarterly Report of the UCITS Fund
Article 6.a (NN 60/26)
(1) The quarterly report for investors from Article 212 of the Law must minimally contain the following data:

  1. basic information about the UCITS fund,
  2. investment objectives and investment strategy of the UCITS fund,
  3. investment structure of the UCITS fund,
  4. fees of the UCITS fund,
  5. data on the return of the UCITS fund,
  6. graphical representation of the movement of the UCITS fund share price as a line graph for the period of the last 5 years,
  7. investment structure of the UCITS fund related to the promotion of environmental and/or social characteristics or sustainable investments, where applicable.
    (2) The data from paragraph 1 of this Article must be displayed and published in accordance with the form from Annex 7 of this Regulation.
    (3) If colors are used in the form from Annex 7 of this Regulation, they must not reduce the understandability of information when the quarterly report is printed in black and white. (4) If the form from Annex 7 of this Regulation uses the design of corporate branding of the management company or the group to which that company belongs, it must not distract the investor or make the text unclear.

(5) The quarterly report may contain additional data and promotional content in addition to the data from paragraph 1 of this Article.
(6) The provisions from Article 157 of the Law apply to the data displayed in the quarterly report which are considered promotional content.
(7) The quarterly report for investors on the website of the management company must be available for 12 months from the date of publication.
Article 6.b
Basic information about the UCITS fund from Article 6.a, paragraph 1, point 1 of this Regulation must minimally contain the following:

  1. name of the management company,

  2. name of the UCITS fund,

  3. type of UCITS fund,

  4. ISIN of the UCITS fund or individual share classes of the UCITS fund where applicable,

  5. LEI of the UCITS fund,

  6. name of the depositary of the UCITS fund

  7. amount of minimum payment into the UCITS fund,

  8. date of commencement of operations of the UCITS fund,

  9. initial value of the UCITS fund share,

  10. currency of the UCITS fund,

  11. duration of the UCITS fund in the case where it was established as a UCITS fund for a fixed period

  12. data on the basic characteristics of each individual share class of the UCITS fund, where applicable,

  13. NAV of the UCITS fund,

  14. price of the UCITS fund share,

  15. when applicable depending on the fund strategy, the current modified duration of the fund.
    Article 6.c (NN 60/26)
    (1) The quarterly report must minimally contain the following data on the investment structure from Article 6.a, paragraph 1, point 3 of this Regulation, which relate to the last working day of the quarter for which the report is prepared:

  16. ten (10) largest investment positions with indication of the percentage share in the net assets of the UCITS fund in a tabular display,

  17. structure of assets of the UCITS fund by type of assets,

  18. structure of assets of the UCITS fund by countries, groups of countries or regions (geographical exposure),

  19. currency exposure of assets of the UCITS fund,

  20. structure of assets of the UCITS fund by economic sectors,

  21. for securities valued by estimation method, the name of the issuer, identification marks of the securities, current estimated values, and methods and date of the last estimation and the share in the net assets of the fund.
    (2) The data from paragraph 1, points 2 to 4 of this Article are displayed graphically in the form of stacked bars with indication of the percentage share of each category that is displayed graphically. (3) The quarterly report must minimally contain the following data on the investment structure from Article 6.a, paragraph 1, point 7 of this Regulation in relation to the fund's assets, which relate to the last working day of the quarter for which the report is prepared:

  22. share of investments of the UCITS fund for the purpose of achieving environmental and/or social characteristics promoted by the UCITS fund,

  23. share of investments of the UCITS fund in sustainable investments from Article 2, point 17 of Regulation (EU) 2019/2088 of the European Parliament and of the Council of 27 November 2019 on sustainability-related disclosures in the financial services sector and

  24. share of remaining investments of the UCITS fund.
    (4) The quarterly report must also contain an indication of the percentage share of transferable securities in the net assets of the UCITS fund, which are grouped in the following way:

  25. transferable securities from Article 252, paragraph 1, points 1 and 2 of the Law,

  26. transferable securities from Article 252, paragraph 2 of the Law.
    (5) Data on ten (10) investment positions of the assets of the UCITS fund from paragraph 1, point 1 of this Article must clearly display what investment is concerned in such a way that it is visible from it the following:

  27. for transferable securities and money market instruments, the type and name of the issuer and identification mark,

  28. for deposits, the name of the credit institution into which the deposit was placed,

  29. for all other financial instruments and investments located in the ten (10) investment positions of the assets of the UCITS fund, which are not listed in points 1 and 2 of this paragraph, it is necessary to indicate the type, name and identification mark of the financial instrument, where applicable.
    (6) The structure of assets of the UCITS fund by countries, groups of countries or regions from paragraph 1, point 3 of this Article and economic sectors from paragraph 1, point 5 of this Article must clearly display the actual exposure to issuers or markets of individual countries, groups of countries or regions and economic sectors which includes exposure achieved by investing in derivatives and shares or stocks of investment funds and other financial instruments, where applicable.
    Article 6.d.
    Fees of the UCITS fund from Article 6.a, paragraph 1, point 4 of this Regulation should display the percentage amount of the annual management fee, depositary fee, entry and exit fees and, where applicable, fees related to the return of the UCITS fund.
    Article 6.e (NN 60/26)
    The data on the net asset value of the UCITS fund and the price of the UCITS fund share from Article 6.b, points 13 and 14 of this Regulation displays the status on the last working day of the quarter for which the report is prepared. The net asset value of the UCITS fund is displayed in euros while the price of the UCITS fund share is displayed in the currency in which the denomination of the UCITS fund share price is provided.
    Article 6.f
    (1) Data on the return of the UCITS fund from Article 6.a, paragraph 1, point 5 of this Regulation should be displayed:

  30. for the current year,

  31. for the previous year

  32. as an average annual return since the establishment of the UCITS fund,

  33. for each of the previous 5 years or for the entire period for which the UCITS fund was offered if it is shorter than 5 years

  34. with a description and methodology of the way in which it was calculated and listing of fees and costs of the UCITS fund that were taken into account when calculating the return

  35. with a statement that the historical return of the UCITS fund is not an indicator of future returns.
    (2) The management company is obliged to display all information on return from paragraph 1 of this Article in one place without separating them from each other. (3) When displaying information on the return of the UCITS fund from paragraph 1 of this Article, the management company is obliged to adhere to the following:

  36. return for a period shorter than one year must not be displayed on an annual level, except for money market funds where it is allowed to annualize the return for a period of one month or longer, with the mandatory note that it is a display of return on an annual level,

  37. if return for a multi-year period is displayed, the average annual return calculated as a geometric mean must be displayed,

  38. the return of the UCITS fund must always contain the exact time period to which it refers.
    Article 6.g (NN 60/26)
    The chart from Article 6.a, paragraph 1, point 6 of this Regulation must display the movement of the UCITS fund share price from the establishment of the UCITS fund to the last working day of the quarter to which the monthly report for investors refers, or in the last 5 years, depending on which of the indicated periods is shorter.
    Article 6.h (NN 60/26)
    If the management company publishes data on the recognition, reward or ranking of a particular UCITS fund under management as part of the quarterly report for investors, it is obliged to indicate the period for which the award was granted, the name of the person or organization that granted the award and the date of the award.

DEADLINES AND METHOD OF SUBMISSION
Article 7. (NN 60/26)
(1) Semi-annual reports of the UCITS fund from Article 3, paragraph 1 of this Regulation and additional reports from Article 6, paragraph 1, bullet points 1 and 2 of this Regulation which are prepared for the period of the first six months of the business year, are submitted to the Agency within 2 months from the end of the first six months of the business year. (2) Audited annual reports of the UCITS fund from Article 3, paragraph 1 of this Regulation and additional reports from Article 6, paragraph 1, bullet points 1 and 2 of this Regulation which are prepared for the business year, are submitted to the Agency within 4 months from the end of the business year. (3) The deadline for submission of additional reports from Article 6, paragraph 1, bullet points 3 and 4 of this Article is one month from the expiration of the reporting date from Article 6, paragraph 3 of this Regulation. (4) The deadline for submission of the additional report from Article 6, paragraph 1, bullet point 5 of this Article is by 10:00 on the second working day from the day for which the report is prepared. (4) The deadline for submission of the additional report from Article 6, paragraph 4 of this Regulation is twenty days from the expiration of the reporting period in accordance with Article 37, paragraph 1 of Regulation (EU) 2017/1131 of the European Parliament and of the Council of 14 June 2017 on money market funds (text with EEA relevance, Official Journal of the European Union L 169/8, 30. 6. 2017.) and Guidelines on reporting to competent authorities in accordance with Article 37 of the Money Market Funds Regulation ESMA34- 49-173 HR of 22 June 2020 adopted by the European Securities and Markets Authority (ESMA).
Article 8. (NN 60/26)
(1) The management company is obliged to submit to the Agency reports from Article 3, paragraph 1 and Article 6, paragraph 1, subpoints 1., 2., 3. and 4. of this Regulation in electronic form in the manner defined by the technical instructions published by the Agency on its website. (2) The management company is obliged to submit annual reports from Article 3, paragraph 1 of this Regulation for the UCITS fund it manages, together with the auditor's report on the completed audit of the annual reports and the annual report of the UCITS fund, in the manner and in accordance with the Technical Instruction for the use of the system for the submission of data in electronic form of the Croatian Financial Services Supervisory Agency reports.hanfa.hr and the Instruction for filling out WEB forms for funds: UCITS, AIF, OMF and DMF.

(3) It is deemed that the management company has submitted the reports referred to in paragraphs 1 and 2 of this Article at the moment when the report was accepted on the Agency's server for receiving reports.

(4) In justified cases of technical impossibility of submission or submission that was not properly executed (e.g., system failure, inability to read received documentation, etc.) in the manner prescribed by paragraphs 1 and 2 of this Article, the management company is obliged to submit the documentation in written form, directly or by mail, for the purpose of timely reporting. The management company is obliged to submit the documentation in the manner prescribed by paragraphs 1 and 2 of this Article as soon as the reasons for the impossibility of such submission cease, and no later than within 8 days from the cessation of the circumstances that caused the technical impossibility of such submission.

(5) In addition to the reports prescribed by Articles 3, 5, and 6 of this Rulebook, the management company is obliged to submit, upon the Agency's request, other documentation or data for the purposes of supervision or for the performance of other tasks within the competence and scope of the Agency in connection with the operations of the UCITS fund, in the manner prescribed by the provisions of this Article and within the period determined in the request.

(6) The Agency may, in case of need, request the management company to submit certain documentation prescribed by this Rulebook in the original or in a certified copy, regardless of the electronic submission already performed.

PUBLICATION OF FINANCIAL REPORTS

Article 9

(1) The management company is obliged to publish audited annual reports (together with the auditor's report on the performed audit of annual reports and the annual report of the UCITS fund) and semi-annual reports from Article 3 paragraph 1 of this Rulebook on its website within timeframes identical to those in Article 7 paragraphs 1 and 2 of this Rulebook.

(2) The management company is obliged to have published on its website semi-annual reports and audited annual reports from paragraph 1 of this Article for at least the last 5 business years or from the beginning of the establishment of the UCITS fund if the UCITS fund has been operating for less than 5 years.

Article 10

(1) This Rulebook enters into force on the eighth day from the date of publication in the "Narodne novine", and is applied for the first time to semi-annual reports and additional reports as of June 30, 2018.

(2) The management company is obliged to submit the first report from Article 6 paragraph 1 item 5 of this Rulebook to the Agency for the reporting date of November 16, 2020.

Article 11

With the start of application of this Rulebook, the Rulebook on the Structure and Content of Annual and Semi-Annual Reports and Other Reports of UCITS Funds ("Narodne novine" No. 41/17) ceases to be valid.

Rulebook on Amendments and Supplements to the Rulebook on the Structure and Content of Annual and Semi-Annual Reports and Other Reports of UCITS Funds ("Narodne novine", No. 98/20), entered into force on September 10, 2020.

FINAL PROVISIONS

Article 6

This Rulebook enters into force on the eighth day from the date of publication in the "Narodne novine".

Rulebook on Amendments and Supplements to the Rulebook on the Structure and Content of Annual and Semi-Annual Reports and Other Reports of UCITS Funds ("Narodne novine", No. 155/22), entered into force on January 1, 2023.

Transitional and Final Provisions

Article 10

(1) This Rulebook will be published in the "Narodne novine" and enters into force on January 1, 2023.

(2) The management company is obliged to submit the first reports in accordance with Articles 6 and 8 of this Rulebook for reporting periods starting from January 1, 2023.

(3) Reports for periods until January 1, 2023, are submitted on the forms from the Annex of the Rulebook on Annual, Semi-Annual and Other Reports of UCITS Funds ("Narodne novine" No. 105/17 and 98/20) in the manner prescribed by Article 5 of this Rulebook which amends Article 8 paragraph 1 of that Rulebook.

(4) The provisions of Article 4 of this Rulebook which add Articles 6.a to 6.h to the Rulebook on the Structure and Content of Annual and Semi-Annual Reports and Other Reports of UCITS Funds apply from July 1, 2023, for the monthly report compiled for June 2023.

(5) With the start of application of the provisions from Article 4 of this Rulebook which add Articles 6.a to 6.h to the Rulebook on the Structure and Content of Annual and Semi-Annual Reports and Other Reports of UCITS Funds, the Rulebook on Promotion and Other Information for Investors of UCITS Funds ("Narodne novine" No. 102/16) ceases to be valid.

Rulebook on Amendments and Supplements to the Rulebook on the Structure and Content of Annual and Semi-Annual Reports and Other Reports of UCITS Funds ("Narodne novine", No. 12/24), entered into force on February 8, 2024.

FINAL PROVISIONS

Article 3

This Rulebook enters into force on the eighth day from the date of publication in the "Narodne novine".

Rulebook on Amendments and Supplements to the Rulebook on the Structure and Content of Annual and Semi-Annual Reports and Other Reports of UCITS Funds ("Narodne novine", No. 60/26), entered into force on June 18, 2026.

FINAL PROVISIONS

Article 13

This Rulebook enters into force on the eighth day from the date of publication in the "Narodne novine".

1 Cash and Receivables
