The General Intendant of Supervision of Entities

WHEREAS:

File No. 2024015950 submitted by Credicorp Capital Sociedad Titulizadora S.A., as well as Report No. 667-2024-SMV/10.2 dated 23 May 2024 from the General Intendancy of Supervision of Entities of the Superintendency of the Market in Securities;

CONSIDERING:

That, by Resolution of the General Intendancy of Supervision of Entities No. 110-2013-SMV/10.2 dated 16 September 2013, the registration of the securitization bond program called "First Securitization Bond Program - ATN" was ordered; of the first bond issuance of the "First Securitization Bond Program - ATN"; of the trust estate called "Trust Estate – D. Leg. No. 861, Title XI. LT Carhuamayo - Cajamarca – ATN; as well as the registration of the framework prospectus of the referred program and the complementary prospectus of the first issuance, in the Public Registry of the Securities Market;

That, by communication submitted on 21 May 2024, Credicorp Capital Sociedad Titulizadora S.A. requested the exclusion of the securities corresponding to the first bond issuance of the "First Securitization Bond Program - ATN" from the Public Registry of the Securities Market and from the Securities Registry of the Lima Stock Exchange S.A.;

That, in support of its request, Credicorp Capital Sociedad Titulizadora S.A. submitted a copy of the testimony of the public deed called "Cancellation of the First Issuance of the First Securitization Bond Issuance Program - ATN Trust Estate – D.S. No. 093-2002-EF, Title XI, 2009 - TPUSD E-1", granted by Credicorp Capital Sociedad Titulizadora S.A. as trustee and by ATN S.A., as originator of the trust estate called "Trust Estate – D. Leg. No. 861, Title XI. LT Carhuamayo - Cajamarca – ATN", before notary Eduardo Laos de Lama, on 14 February 2024. Likewise, on 21 May 2024, Credicorp Capital Sociedad Titulizadora S.A. submitted the public deed corresponding to the clarification of the public deed called "Cancellation of the First Issuance of the First Securitization Bond Issuance Program - ATN Trust Estate – D.S. No. 093- 2002-EF, Title XI, 2009 - TPUSD E-1", by which the first clause is amended, in order to introduce clarifications regarding the name of the estate;

That, in the second clause of the agreement of "Cancellation of the First Issuance of the First Securitization Bond Issuance Program - ATN Trust Estate – D.S. No. 093-2002-EF, Title XI, 2009 - TPUSD E-1", Credicorp Capital Sociedad Titulizadora S.A. declares that, through CAVALI S.A. ICLV, it made the payment of the entire principal and interest corresponding to the securitization bonds issued by the trust estate under the first issuance, as stated in the certificate submitted by CAVALI S.A. ICLV dated 05 October 2018;

That, in accordance with the provisions of article 39, literal b) of the Single Ordered Text of the Securities Market Law, Supreme Decree No. 020-2023-EF; in accordance with the provisions of article 23, first paragraph, subsection i) of the Regulation for Registration and Exclusion of Securities in the Public Registry of the Securities Market and in the Stock Exchange, approved by SMV Resolution No. 031-2012-SMV/01 and its amendments, the exclusion of a security from the Public Registry of the Securities Market proceeds at the request of the issuer, by reasoned resolution of the Superintendency of the Market in Securities, when the rights over the security have been extinguished, by amortization, total redemption or other cause, without it being necessary to carry out a public offering of purchase as referred to in article 41 of the Single Ordered Text of the Securities Market Law;

That, in accordance with the provisions of article 21 of the Regulation for Registration and Exclusion of Securities in the Public Registry of the Securities Market and in the Stock Exchange, compliance with the requirements for the exclusion of the bonds corresponding to the first issuance called first issuance of the "First Securitization Bond Program - ATN", from the Public Registry of the Securities Market, as a consequence of their cancellation, was verified, as developed in Report No. 667-2024-SMV/10.2 dated 23 May 2024, from the General Intendancy of Supervision of Entities;

That, in view of the foregoing, it is appropriate to exclude the securities corresponding to the first issuance of the "First Securitization Bond Program - ATN";

In accordance with the provisions of article 38, numeral 8, of the Regulation of Organization and Functions of the Superintendency of the Market in Securities, approved by Supreme Decree No. 216-2011-EF and its amendment.

RESOLVES:

Article 1.- To order the exclusion of the securitization bonds corresponding to the first issuance of the "First Securitization Bond Program - ATN", from the Public Registry of the Securities Market.

Article 2.- To rule in favor of the exclusion of the securities indicated in the preceding article of this resolution from the Securities Registry of the Lima Stock Exchange S.A.

Article 3.- To order the dissemination of this resolution on the Securities Market Portal of the Superintendency of the Market in Securities (www.gob.pe/smv ).

Article 4.- Transcribe this resolution to Credicorp Capital Sociedad Titulizadora S.A., in its capacity as trustee, ATN S.A., in its capacity as originator, as well as to the Bolsa de Valores de Lima S.A. and to Cavali S.A. ICLV.
