File No. 2026031271, as well as Internal Report No. 1225-2026-SMV/11.1, from the General Superintendency of Conduct Supervision of the Deputy Superintendency of Market Conduct Supervision.
Considering:
That, by means of a letter submitted on July 9, 2026, Luz del Sur S.A.A. requested the Superintendency of the Securities Market – SMV, through the Single Window system, the exclusion of the securities called “Primera Emisión de Instrumentos de Corto Plazo de Luz del Sur S.A.A.”, which were registered and placed within the framework of the “Cuarto Programa Bonos Corporativos e Instrumentos de Corto Plazo de Luz del Sur S.A.A.”, from the Public Registry of the Securities Market and the Securities Registry of the Lima Stock Exchange, due to the total cancellation of the obligations derived from them; That it has been verified that, by Resolution of the General Superintendency SMV No. 055-2019-SMV/11.1 of June 28, 2019, within the framework of an anticipated procedure, the registration of the “Cuarto Programa de Bonos Corporativos e Instrumentos de Corto Plazo de Luz del Sur S.A.A.” was ordered, for a maximum amount in circulation of US$ 500’000,000.00 (Five Hundred Million and 00/100 United States Dollars) or its equivalent in Soles, and the registration of the respective Framework Prospectus in the Public Registry of the Securities Market; That, within the framework of the “Cuarto Programa de Bonos Corporativos e Instrumentos de Corto Plazo de Luz del Sur S.A.A.”, by Resolution of the General Superintendency SMV No. 082-2022-SMV/11.1 of November 21, 2022, the securities called “Primera Emisión de Instrumentos de Corto Plazo de Luz del Sur S.A.A.” were registered, for a maximum amount in circulation of S/ 400’000,000.00 (Four Hundred Million and 00/100 Soles), and the respective Supplement to the Framework Prospectus was registered in the Public Registry of the Securities Market and in the Securities Registry of the Lima Stock Exchange; That, from the evaluation of the documentation presented by Luz del Sur S.A.A., the presentation of the documents related to the total cancellation of the obligations derived from the securities called PERU Ministry of Economy and Finance SMV Superintendency of the Securities Market “Decade of Equal Opportunities for Women and Men” “Year of Hope and the Strengthening of Democracy” 2 Electronic document digitally signed under Law N° 27269, Law of Digital Signatures and Certificates, its Regulations and amendments. The integrity of the document and the authorship of the signature(s) can be verified at https://apps.firmaperu.gob.pe/web/validador.xhtml “Primera Emisión de Instrumentos de Corto Plazo de Luz del Sur S.A.A.” of the “Cuarto Programa de Bonos Corporativos e Instrumentos de Corto Plazo de Luz del Sur S.A.A.” has been verified; That Luz del Sur S.A.A. has presented the information and documentation required by the Consolidated Text of the Securities Market Law, Legislative Decree N° 861, approved by Supreme Decree N° 020-2023-EF, as well as by the Regulations for the Registration and Exclusion of Securities in the Public Registry of the Securities Market and on the Stock Exchange, approved by Resolution SMV N°
031-2012-SMV/01 and its amending norms, for the purpose of excluding the securities “Primera Emisión de Instrumentos de Corto Plazo de Luz del Sur S.A.A.” of the “Cuarto Programa de Bonos Corporativos e Instrumentos de Corto Plazo de Luz del Sur S.A.A.”; That Article 39, literal b), of the Consolidated Text of the Securities Market Law; as well as Articles 20 and 23 of the Regulations for the Registration and Exclusion of Securities in the Public Registry of the Securities Market and on the Stock Exchange, establish that the exclusion of a security from the Public Registry of the Securities Market takes place by a reasoned resolution of the SMV, when the extinction of rights over the security occurs, due to amortization, total redemption or other cause; That, regarding the obligation to make a Public Tender Offer for Exclusion – OPC when a security is excluded from the Public Registry of the Securities Market, established in Article 41 of the Consolidated Text of the Securities Market Law and in Article 32 of the Regulations for Public Tender Offers and Purchase of Securities for Exclusion, approved by Resolution CONASEV N° 009-2006-EF/94.10 and its amending norms, it should be noted that the exclusion of the securities called “Primera Emisión de Instrumentos de Corto Plazo de Luz del Sur S.A.A.” of the “Cuarto Programa de Bonos Corporativos e Instrumentos de Corto Plazo de Luz del Sur S.A.A.” falls within the exception cause for not carrying out an OPC, contemplated both in Article 23 of the Regulations for the Registration and Exclusion of Securities in the Public Registry of the Securities Market and on the Stock Exchange, and in Article 37, literal a), of the Regulations for Public Tender Offers and Purchase of Securities for Exclusion; That Article 7, numeral 6, of the Policy on Dissemination of Regulatory Projects, General Legal Norms, Early Agenda and Other Administrative Acts of the SMV, approved by Resolution SMV N° 014-2014-SMV/01 and its amending norms, establishes that decisions contained in administrative resolutions that resolve the exclusion of securities from the Public Registry of the Securities Market must be disseminated through the SMV Institutional Page on the Peruvian State's Single Digital Platform for Citizen Orientation (www.gob.pe/smv); and, In accordance with Article 39, literal b), of the Consolidated Text of the Securities Market Law; Articles 19, 20, 21 and 23 of the Regulations for the Registration and Exclusion of Securities in the Public Registry of the Securities Market and on the Stock Exchange; as well as Article 46, numeral 6, of the Regulations for the Organization and Functions of the Superintendency of the Securities Market, approved by Supreme Decree N° 216-2011-EF and its amendments, which empowers the General Superintendency of Conduct Supervision to order the exclusion of securities from the Public Registry of the Securities Market. Article 1.- To order the exclusion of the securities called “Primera Emisión de Instrumentos de Corto Plazo de Luz del Sur S.A.A.” corresponding to the “Cuarto Programa de Bonos Corporativos e Instrumentos de Corto Plazo de Luz del Sur S.A.A.” from the Public Registry of the Securities Market.
Article 2.- To rule in favor of the exclusion of the securities mentioned in the preceding article, from the Securities Registry of the Lima Stock Exchange.
Article 3.- To disseminate this resolution on the SMV Institutional Page on the Peruvian State's Single Digital Platform for Citizen Orientation (www.gob.pe/smv)
Article 4.- To transcribe this resolution to Luz del Sur S.A.A., as issuer; to Bolsa de Valores de Lima S.A.; and, to CAVALI S.A. I.C.L.V.
