File No. 2026031305, as well as Internal Report No. 1206-2026-SMV/11.1, from the General Superintendency of Conduct Supervision of the Deputy Superintendency of Market Conduct Supervision.
Whereas:
That, by means of a letter submitted on July 09, 2026, Luz del Sur S.A.A. requested the Superintendency of the Securities Market – SMV, through the Single Window system, the exclusion of the securities called «Third Issuance of Short-Term Instruments of Luz del Sur S.A.A.», which were registered and placed within the framework of the «Fourth Program of Corporate Bonds and Short-Term Instruments of Luz del Sur S.A.A.», from the Public Registry of the Securities Market and the Securities Registry of the Lima Stock Exchange, due to the total cancellation of the obligations derived from them; That, it has been verified that, by means of General Superintendency Resolution SMV N° 055-2019-SMV/11.1 of June 28, 2019, within the framework of an anticipated procedure, the registration of the issuance program called «Fourth Program of Corporate Bonds and Short-Term Instruments of Luz del Sur S.A.A.», for a maximum outstanding amount of US$ 500,000,000.00 (Five Hundred Million and 00/100 United States Dollars) or its equivalent in Soles, and the registration of the respective Framework Prospectus in the Public Registry of the Securities Market, was ordered; That, within the framework of the «Fourth Program of Corporate Bonds and Short-Term Instruments of Luz del Sur S.A.A.», on October 11, 2023, under an automatic approval procedure, the securities called «Third Issuance of Short-Term Instruments of Luz del Sur S.A.A.», for a maximum outstanding amount of S/ 500,000,000.00 (Five Hundred Million and 00/100 Soles), were registered, and the respective Supplement to the Framework Prospectus was registered in the Public Registry of the Securities Market; and, subsequently, in the Securities Registry of the Lima Stock Exchange; That, from the evaluation of the documentation presented by Luz del Sur S.A.A., the submission of documents related to the total cancellation of obligations derived from the securities corresponding to the «Third Issuance of Short-Term Instruments of Luz del Sur S.A.A.» has been noted;

The integrity of the document and the authorship of the signature(s) can be verified at https://apps.firmaperu.gob.pe/web/validador.xhtml That, Luz del Sur S.A.A. has complied with submitting the information and documentation required by the Consolidated Text of the Securities Market Law, Legislative Decree N° 861, approved by Supreme Decree N° 020-2023-EF; as well as by the Regulations for the Registration and Exclusion of Securities in the Public Registry of the Securities Market and on the Stock Exchange, approved by SMV Resolution N° 031-2012-SMV/01 and its amending regulations, for the purpose of excluding the securities called «Third Issuance of Short-Term Instruments of Luz del Sur S.A.A.» from the «Fourth Program of Corporate Bonds and Short-Term Instruments of Luz del Sur S.A.A.»; That, Article 39, literal b), of the Consolidated Text of the Securities Market Law; as well as Articles 19, 20 and 23 of the Regulations for the Registration and Exclusion of Securities in the Public Registry of the Securities Market and on the Stock Exchange, establish that the exclusion of a security from the Public Registry of the Securities Market takes place by a reasoned resolution of the SMV, when the extinction of rights over the security occurs, due to amortization, total redemption or other cause; That, regarding the obligation to make a Public Tender Offer for Exclusion – OPC when a security is excluded from the Public Registry of the Securities Market, established in Article 41 of the Consolidated Text of the Securities Market Law and in Article 32 of the Regulations for Public Tender Offers and Purchase of Securities for Exclusion, approved by CONASEV Resolution N° 009-2006-EF/94.10 and its amending regulations, it should be noted that the exclusion of the securities called «Third Issuance of Short-Term Instruments of Luz del Sur S.A.A.» falls within the exception for not carrying out an OPC, contemplated in Article 23 of the Regulations for the Registration and Exclusion of Securities in the Public Registry of the Securities Market and on the Stock Exchange, as well as in Article 37, literal a), of the Regulations for Public Tender Offers and Purchase of Securities for Exclusion; That, Article 7, numeral 6, of the Policy on Dissemination of Regulatory Projects, General Legal Norms, Early Agenda and Other Administrative Acts of the SMV, approved by SMV Resolution N° 014-2014-SMV/01 and its amending regulations, establishes that decisions contained in administrative resolutions that resolve the exclusion of securities from the Public Registry of the Securities Market must be disseminated through the SMV's Institutional Page on the Peruvian State's Single Digital Platform for Citizen Orientation
(www.gob.pe/smv); and, In accordance with the provisions of Article 39, literal b), of the Consolidated Text of the Securities Market Law; Articles 19, 20, 21 and 23 of the Regulations for the Registration and Exclusion of Securities in the Public Registry of the Securities Market and on the Stock Exchange; as well as Article 46, numeral 6, of the Regulations for the Organization and Functions of the Superintendency of the Securities Market, approved by Supreme Decree N° 216-2011-EF and its amendments, which empowers the General Superintendency of Conduct Supervision to order the exclusion of securities from the Public Registry of the Securities Market. Resolves:
Article 1.- Order the exclusion of the securities called «Third Issuance of Short-Term Instruments of Luz del Sur S.A.A.», corresponding to the «Fourth Program of Corporate Bonds and Short-Term Instruments of Luz del Sur S.A.A.», from the Public Registry of the Securities Market.
Article 2.- Rule in favor of the exclusion of the securities mentioned in the preceding article, from the Securities Registry of the Lima Stock Exchange.
Article 3.- Disseminate this resolution on the SMV's Institutional Page on the Peruvian State's Single Digital Platform for Citizen Orientation (www.gob.pe/smv).
Article 4.- Transcribe this resolution to Luz del Sur S.A.A., as issuer; to Bolsa de Valores de Lima S.A.; and, to CAVALI S.A. I.C.L.V.
