In accordance with paragraphs 1, 30, 36 of Part One of Article 7, Article 29, 30 of the Law of Ukraine "On State Regulation of Capital Markets and Organized Commodity Markets"

The National Commission for Securities and Stock Market

H A S D E C I D E D:

1. Approve the Regulation on the Procedure for Compiling and Submitting Reporting Data Regarding the Activities of Managers to the National Commission for Securities and Stock Market, attached hereto.

2. Declare invalid the resolution of the National Commission for Securities and Stock Market of July 9, 2020 No. 346 "On Approving the Regulation on the Procedure for Compiling and Submitting Reporting Data Regarding the Activities of Managers to the National Commission for Securities and Stock Market", registered in the Ministry of Justice of Ukraine on August 7, 2020 under No. 757/35040 (with amendments).

3. The Department of Methodology of Professional Participants' Activities shall ensure the submission of this resolution for state registration to the Ministry of Justice of Ukraine.

4. The Management Department for the Activities of Collegial and Advisory Bodies shall ensure the publication of this resolution on the official website of the National Commission for Securities and Stock Market.

5. The Legal Department, after state registration of the resolution by the Ministry of Justice of Ukraine, shall ensure the publication of this resolution on the official website of the National Commission for Securities and Stock Market.

6. This resolution enters into force on October 1, 2026, but not earlier than the day following the day of its official publication.

7. Control over the execution of this resolution shall be entrusted to a member of the National Commission for Securities and Stock Market I. Baramiya.

REGULATION on the procedure for compiling and submitting reporting data regarding the activities of managers to the National Commission for Securities and Stock Market

I. General Provisions

1. This Regulation determines the list, deadlines, and procedure for submitting to the National Commission for Securities and Stock Market (hereinafter - NCSPSM) reporting data by financial institutions conducting professional activities in capital markets - asset management activities for financing construction objects and/or conducting real estate operations (hereinafter - Manager).
   The list of reporting data includes data specified in Section II of this Regulation (hereinafter - Data), and annual (interim) financial statements / annual (interim) consolidated financial statements (in case of preparation of consolidated financial statements), which are submitted in accordance with the Requirements for Disclosure of Financial Statement Indicators in XBRL Format for Reporting Entities that are Participants of Capital Markets and Professional Participants of Organized Commodity Markets, approved by the resolution of the NCSPSM of June 6, 2025 No. 36/21/2383/K03, registered in the Ministry of Justice of Ukraine on June 20, 2025 under No. 958/44364 (hereinafter - Requirements).

2. The scope of this Regulation extends to legal entities conducting professional activities in capital markets - asset management activities for financing construction objects and/or conducting real estate operations, including those that had the right according to legislation to conduct such professional activities or economic activities providing financial services (except for professional activities in the securities market), namely asset management for financing construction objects and/or conducting real estate operations in accordance with the Law of Ukraine "On Financial-Credit Mechanisms and Asset Management in Housing Construction and Real Estate Operations" during the period for which Data is submitted, on the basis of a corresponding license.

3. In this Regulation:
   under the term "date of occurrence of irregular data" is meant the date of preparation by the Manager of an act of execution of financed works, in which the fact(s) of violation by the developer of the conditions of the contract concluded with him are fixed, which are specified in subparagraph 2 of paragraph 5 of this Regulation, or the date of occurrence of the event specified in subparagraphs 3-5 of paragraph 5 of this Regulation, or the date of occurrence of the last of such events: approval by the Manager of the Rules of the construction financing fund, conclusion by the Manager of a contract or additional agreement with the developer and opening by him of accounts for this construction financing fund; identification code - identification code of a legal entity in the Unified State Register of Enterprises and Organizations of Ukraine; the terms "construction financing fund" (hereinafter - CFM), "real estate operation fund" (hereinafter - ROF) are used in the meanings defined by the Law of Ukraine "On Financial-Credit Mechanisms and Asset Management in Housing Construction and Real Estate Operations"; the terms "guarantee share of construction of a real estate object", "special property right" are used in the meanings provided in the Law of Ukraine "On Guaranteeing Property Rights to Real Estate Objects that Will Be Constructed in the Future".

4. Data is submitted to the NCSPSM in the volume established by this Regulation, no later than the deadlines specified in paragraph 13 of this Regulation.
   Data must contain all references defined by this Regulation. A reference on the Manager's activity in managing ROF assets is not submitted if the Manager does not manage any ROF. All Data references must be filled out, contain accurate and complete information. Information in the references must be filled out in accordance with Appendices 1-14 to this Regulation.

5. Irregular Data is submitted by the Manager regarding:

1. creation of CFM;
2. identified facts of violations by the developer of conditions and obligations under the contract, which led to:
   changes in technical characteristics of construction objects and/or investment objects; deterioration of consumer properties of construction objects and/or investment objects; increase in construction cost by more than twenty percent; increase in construction terms by more than ninety days compared to the terms specified in the contract or additional agreement between the manager and the developer as of the day of its signing;
3. acceptance of a construction object into operation;
4. cessation of CFM/ROF functioning;
5. establishment of the presence among the founders of asset management persons to whom personal special economic and other restrictive measures (sanctions) are applied in accordance with the legislation on sanctions.

6. Irregular Data compiled for one date is submitted once during a working day.

7. Data is compiled using the Reference and Classifier System of the National Commission for Securities and Stock Market, approved by the resolution of the National Commission for Securities and Stock Market of May 8, 2012 No. 646, registered in the Ministry of Justice of Ukraine on May 25, 2012 under No. 831/21143 (with amendments) (hereinafter - Reference and Classifier System).

8. Data is compiled in the form defined by this Regulation, in accordance with the description of sections and XML file schemas defined by a separate normative-technical document published on the official website of the NCSPSM, and submitted in accordance with the Regulation on Submission of Administrative Data and Information in the Form of Electronic Documents to the National Commission for Securities and Stock Market, approved by the resolution of the State Commission for Securities and Stock Market of May 13, 2011 No. 492, registered in the Ministry of Justice of Ukraine on June 25, 2011 under No. 789/19527.

II. Composition of Data and Deadlines for Submission to NCSPSM

9. Data is compiled and submitted to the NCSPSM as:
   monthly; annual; irregular.

10. Monthly Data of the Manager consists of:

1. reference on the Manager (Appendix 1 to this Regulation). The reference is submitted as of the last day of the reporting month;
2. reference on CFM and ROF, assets of which are managed by the Manager (Appendix 2 to this Regulation). The reference is submitted as of the last day of the reporting month;
3. reference on the Manager's activity in managing CFM assets (Appendix 3 to this Regulation);
4. reference on the Manager's activity in managing ROF assets (Appendix 4 to this Regulation);
5. reference on funds in current and deposit (savings) accounts of CFM and ROF (Appendix 5 to this Regulation).

11. Annual Data of the Manager consists of:

1. reference on the Manager (Appendix 1 to this Regulation). The reference is submitted as of the last day of the reporting period;
2. reference on information regarding the audit report on the Manager's annual financial statement for the reporting year (Appendix 14 to this Regulation), compiled regarding the audit report by which the annual financial statement submitted together with this reference was confirmed.
   The reference on information regarding the audit report on the Manager's annual financial statement for the reporting year (Appendix 14 to this Regulation) is submitted within the deadlines established by the Requirements for submission of annual financial statements.

12. Irregular Data of the Manager consists of:

1. reference on changes in technical characteristics of the construction object and/or investment objects (Appendix 6 to this Regulation);
2. reference on deterioration of consumer properties of the construction object and/or investment objects (Appendix 7 to this Regulation);
3. reference on increase in construction cost (Appendix 8 to this Regulation);
4. reference on increase in construction terms (Appendix 9 to this Regulation);
5. reference on acceptance of the construction object / stage of construction into operation (Appendix 10 to this Regulation);
6. reference on creation of CFM (Appendix 11 to this Regulation);
7. reference on cessation of CFM functioning (Appendix 12 to this Regulation);
8. reference on establishment of the presence among the founders of asset management persons to whom personal special economic and other restrictive measures (sanctions) are applied in accordance with the legislation on sanctions (Appendix 13 to this Regulation).
   The registration number of the control protocol, under which irregular Data containing a reference on the creation of CFM (Appendix 11 to this Regulation) was accepted, is considered the number of the CFM regarding which this Data was submitted. In case of submission on a certain date of irregular Data, the composition of which included more than one reference on the creation of CFM regarding different CFMs, the number of the corresponding CFM is considered the registration number of the control protocol, under which such irregular Data was accepted, with the addition of the sequential number in which the corresponding reference was included in the composition of this Data.

13. The Manager submits Data within the deadlines:
    monthly - no later than the last day of the month following the reporting month; annual - no later than April 30 of the year following the reporting year; irregular - within 5 working days after the date of their occurrence.

14. In case the last day for submission of Data is a non-working day, the next working day after it is considered the last day for submission.

15. The Manager, in case of detection of discrepancies in Data submitted to the NCSPSM, must eliminate these discrepancies and resubmit Data in the volume defined by this Regulation, but no later than the deadlines provided for in paragraph 13 of this Regulation.
    If such Data is resubmitted with violation of the deadlines provided for in paragraph 13 of this Regulation, it is submitted with mandatory indication in the "Notes" field of the corresponding appendix about the correction of Data by the Manager and the reasons for the occurrence of discrepancies.

16. The latest Data submitted to the NCSPSM is considered current.

17. The deadline for submission of Data is extended in case of receipt by the NCSPSM of a written notification about the impossibility of submitting Data within the established deadline due to:
    seizure of software and technical means and/or documents by law enforcement agencies (with submission of copies of documents confirming the seizure of said means and/or documents); occurrence of force majeure circumstances (with submission of copies of documents confirming said circumstances).

18. The Manager is obliged to inform the NCSPSM by letter in arbitrary form every month about the non-elimination of circumstances that determined the impossibility of submitting Data, and in case of their elimination, submit Data to the NCSPSM within 15 working days from the day of elimination of such circumstances, as well as copies of documents confirming the return of software and technical means and/or documents (in case of their return).
