Rule · SBS · 22 Jun 2023 · Resolución SBS 02186-2023
AFPs must maintain a legal reserve per pension fund type at least equal to the required quota number, covering any deficit within the first five business days of each month, and constitute a reserve for investment excesses by the fifth business day of receiving the Superintendency's communication. AFPs must ensure local issuers send updated risk classification reports annually, prepared on audited 31 December information and delivered by 31 May. Custody institutions must hold long-term debt ratings of at least "A" and short-term "A-1". Non-compliance makes instruments ineligible, and failure to constitute the excess reserve is a serious infraction. Effective 1 January 2024.
SUPERINTENDENCY OF BANKING, INSURANCE AND AFP Republic of Peru
Lima, 22 June 2023
The Superintendent of Banking, Insurance and Private Pension Fund Administrators,
That article 23 of the Law of the Private Pension Fund Administration System, whose Single Ordered Text is approved by Supreme Decree No. 054-97-EF, hereinafter the SPP Law, provides that the Legal Reserve, constituted with the own resources of the Private Pension Fund Administrator, hereinafter AFP, serves to guarantee the minimum profitability of the pension funds, as well as to cover the potential damages that the AFP causes to the pension funds due to the breach of the obligations established in the SPP Law and its regulations;
That subparagraphs h) and i) of article 57 of the SPP Law establish that the following are attributions and obligations of the Superintendency: to supervise the constitution, maintenance, operation and application of the Legal Reserve and the other profitability guarantees and the investment of the resources destined to said funds; and to supervise the investment of the resources of the funds administered by the AFP, including the aforementioned Legal Reserve;
That article 86 of the Regulation of the SPP Law, approved by Supreme Decree No. 004-98-EF, hereinafter Regulation of the SPP Law, provides that the Superintendency is responsible for establishing the guarantees of the minimum profitability corresponding to each fund, which must be used to compensate the pension fund in case the AFP does not reach the minimum profitability;
That the seventh final and complementary provision of the aforementioned Regulation of the SPP Law provides that it corresponds to the Superintendency to establish the nature, application and mechanisms for the constitution and instrumentation of the Legal Reserve;
That by Resolution No. 052-98-EF/SAFP, Title VI of the Compendium of Regulatory Superintendency Rules of the Private Pension Fund Administration System is approved, referred to Investments, where the methodology for calculating the Legal Reserve required of the AFPs is regulated;
That by Resolution SBS No. 724-2001, Title X of the Compendium of Regulatory Superintendency Rules of the Private Pension Fund Administration System is approved, referred to Qualification and Risk Classification of
Investments, replacing the one approved by Resolutions No. 248-98-EF/SAFP and No. 284-98- EF/SAFP and its amendments;
That it is necessary to modify the methodology for calculating the Legal Reserve in order to solve the inconsistency between the required reserve rates and the volatility of the value of the pension funds, solve the operational inconveniences in the application of the reserve rates, as well as the inconsistencies between the eligibility requirements and the risk classification requirement of the investment instruments for purposes of the Legal Reserve;
That the Legal Reserve must be consistent with the long-term investment horizon of the pension funds and foster a better alignment of the interests of the AFP and the affiliates in the management of the funds;
That the new methodology for calculating the Legal Reserve does not depend on the risk classification of the investment instruments, so it is necessary to make adjustments to the aforementioned Title X, in order to eliminate all reference to reserve rates based on risk classification, as well as to repeal category "V" of the annexes of said title;
That after having reviewed the guarantee regulated in articles 86, 87, 88 and 89 of Title VI, which can only be executed once the resources of the Legal Reserve have been exhausted, it is deemed convenient to leave it without effect in order to promote greater efficiency of the SPP that redounds to the benefit of the affiliates;
That it is necessary to modify the Regulation of Infractions and Sanctions of the Superintendency of Banking, Insurance and Private Pension Fund Administrators, approved by Resolution SBS No. 2755-2018 and its amendments, in order to incorporate infractions due to the breach of the constitution of the "reserve for excess investments"; as well as to leave without effect those infractions linked to the current methodology for determining the Legal Reserve based on the risk classification of the investment instruments and the letter of guarantee, considering the change of methodology for determining the Legal Reserve in the SPP at portfolio level;
That additionally, it is necessary to modify the Accounting Manual for Private Pension Fund Administrators and the Accounting Manual for Managed Portfolios, approved by Resolution No. 435-2005 and its amendments, to adapt to the measures referred to the constitution of the Legal Reserve and the reserve for excess investments, as well as the surplus of the minimum retirement balance established in Law No. 31670;
That it is necessary to modify Circular No. AFP 148-2015 in order to harmonize it with the measures approved by this resolution related to the Legal Reserve and the creation of the reserve for excess investments;
That in order to gather the opinions of the general public regarding the proposals for modification to the SPP regulations, the prepublication of the draft resolution on the matter was ordered on the electronic portal of the Superintendency, under the provisions of Supreme Decree No. 001-2009-JUS;
In accordance with the opinion of the deputy superintendencies of Private Pension Fund Administrators, Risks, Legal Advice and Economic Studies; and,
In use of the attributions conferred by the General Law of the Financial System and the Insurance System and Organic of the Superintendency of Banking and Insurance, Law No. 26702 and its amendments, in articles 25 and 57 of the SPP Law, and in the third final and transitory provision of the Regulation of the SPP Law,
