Revised framework for computation of Net Distributable Cash Flow (NDCF) by Infrastructure Investment Trusts (InvITs)

All Infrastructure Investment Trusts (InvITs) and their parties must compute Net Distributable Cash Flow (NDCF) at the Trust and HoldCo/SPV levels, distributing at least 90% of NDCF subject to statutory provisions. The framework applies from April 1, 2024, replacing the July 6, 2023 Master Circular. Entities must exclude reserves required by loan agreements, debt securities, or external commercial borrowings, and cannot distribute restricted cash or funds from external debt, except for working capital squared off within the quarter. Surplus cash and proceeds from asset sales intended for reinvestment may be distributed or temporarily parked, provided they are disclosed separately in the NDCF computation and reporting templates.
