SEBI amends its Master Circular on Schemes of Arrangement by listed entities to require stock exchanges to refer draft schemes only after confirming full compliance with regulations. The amendments mandate that listed entities submit valuation undertakings, declarations of past debt defaults, and No Objection Certificates from lending institutions. Additionally, the rules establish procedures for aggregating fractional share entitlements, require audit committee and independent director reports on shareholder compensation within seven days, and impose quarterly non-compliance reporting by exchanges.
