The Securities and Exchange Commission establishes the regulatory framework for security custodial services, requiring entities to obtain a registration certificate valid for five years to operate. The rules mandate specific eligibility criteria, including infrastructure and clean records for directors, and impose obligations for separate custodial accounts, internal audits by independent auditors, and monthly reporting of transactions. Non-compliance with these provisions, such as failing to provide information or violating conduct codes, can result in the suspension or cancellation of the registration certificate, while the Commission retains the authority to impose monetary penalties.
