Securities Industry (Corporate Governance) Rules, 2019

The Securities Industry (Corporate Governance) Rules, 2019 apply to public companies listed in The Bahamas, state-owned enterprises, and private companies seeking capital market funding or listing. The Rules mandate that the majority of board directors be non-executive, with at least one independent director, and require specific composition standards to ensure oversight independence. Companies must establish formal orientation and training programs for directors, implement whistle-blowing policies, and conduct annual enterprise-wide risk assessments. Additionally, the Rules require the appointment of external auditors, the maintenance of internal audit units, and the publication of remuneration policies and performance evaluations in annual reports.
