The Collective Investment Schemes (Open-ended Investment Companies) Regulations 2003

The Capital Markets Authority of Uganda issued these regulations to establish the constitutional and operational framework for open-ended investment companies incorporated locally. The rules mandate specific requirements for company incorporation, share classification, prospectus preparation, and pricing mechanisms governing initial offers, share issuance, and redemptions. Furthermore, the regulations delineate investment and borrowing limits, outline the fiduciary duties of authorised corporate directors and depositaries, and prescribe comprehensive reporting, income allocation, and termination procedures to ensure robust investor protection.
